2.25.11 Additional Provisions. It is the objective of the Government to obtain complete and satisfactory performance in accordance with the terms of the specifications and requirements in this contract. To this end, the Government is contracting for the complete performance of each task identified in the specifications, and deductions may therefore, be made as stipulated in this Section. Deductions for work performed improperly may be made as though the work had not been performed.
2.25.12 Calculation of Deductions. The deduction criteria in this Section will be used by the Government in determining monetary deductions for nonperformance of work under this contract or for deficiencies in the work performed, and supplements the default clause contained in the CONTRACT CLAUSES, but does not reduce or limit the Government’s rights there under.
2.25.13 Determination of Deduction Amounts. Inadequate performance is just as undesirable as nonperformance and the cost of correcting inadequate performance may equal or exceed the cost of initial performance. Therefore, the deduction criteria shall control in determining equitable holdbacks.
2.25.14 Withholding Monies for Failure to Maintain and/or Provide Parts. If the Contractor fails to provide the parts specified in this PWS, within 24 hours of establishment of the need for such parts, the Government may withhold all payments until the required parts are provided and are deemed satisfactory to the COR.
2.25.15 Removal of Elevator(s) from Service. When the Government removes one or more elevators & lifts listed in this contract from service for any reason, the monthly payments due the Contractor may be reduced. The Contractor shall be notified, in writing by e-mail or letter, at least 3 full work days in advance of the elevator(s) or lift(s) being removed from, or returned to, service. If the elevator(s) or lift(s) is to be removed from service for 30 consecutive calendar days or less, the contracting officer (CO) will issue a modification to the contract and negotiate an equitable adjustment in the contract price in accordance with the Changes clause. The period for reducing payments will begin on the effective date specified in the notice and will continue through the day before the elevator(s) or lift(s) is returned to service.
2.25.16 Withholding Monies for Equipment Outages. The Government reserves the right to take a deduction for any piece(s) of equipment which remains out of service in excess of three (3) consecutive calendar days commencing the first day notification was given the contractor of the outage. The deduction shall be determined on a daily rate calculated by dividing the number of days in the respective month(s) into the monthly price for the related piece(s) of equipment. The number of days shall be computed from the first day after the fifth consecutive calendar day after notification through the last day prior to service being restored.
2.25.17 Inspection and Acceptance. The Government reserves the right to have a representative observe the Contractor’s performance to confirm compliance with all the requirements of this contract. In the event that the Contracting Officer determines that the terms of this contract have not been complied with, the Government reserves the right to issue partial acceptance of the work performed and to withhold a portion of the payment pending disbursement adjustment. The Government reserves the right to perform such inspection and tests as are deemed necessary to insure contract compliance. Should it be determined that the standards herein are not being maintained the Government may immediately demand that the Contractor place the elevators & lifts in a condition that meets the requirements.
2.25.18 Compliance. If the Contractor fails to comply and complete the requirements within seven business days, the Government may by written notice terminate the right to proceed with the work. In such an event the Government may unilaterally take over management of the work and process it to completion with another Contractor if deemed appropriate.
