About this file

This is a Contractor Non-Disclosure Agreement template for contractor employees providing support services to the Defense Logistics Agency (DLA) under the FPCS Support contract (RFP SP4702-26-R-XXXX).

The agreement establishes confidentiality obligations for contractor employees with access to nonpublic information, including Planning, Programming, Budgeting and Execution (PPBE) data, Controlled Unclassified Information (CUI), source selection information, proprietary information, advance procurement information, trade secrets, attorney work product, Privacy Act-protected information, and other sensitive materials exempt from Freedom of Information Act release. Recipients agree to limit access requests to only information necessary for contract performance, disclose their contractor status when accessing government information, restrict use and disclosure of nonpublic information solely to contract support services, report any improper disclosures to the Contracting Officer's Representative in writing, and return or destroy all nonpublic information upon contract termination. The agreement specifies that unauthorized use, release, or disclosure of nonpublic information subjects the recipient to administrative, civil, or criminal remedies as authorized by law. The document includes a standard provision preserving employee rights related to classified information, congressional communications, Inspector General reporting of violations or mismanagement, and whistleblower protections, with controlling Executive orders and statutory provisions incorporated into the agreement.
