STATEMENT OF WORK (SOW)

FOR

DLA STORAGE COVER SOLUTIONS

SECTION C-1: INTRODUCTION

1.0 BACKGROUND

The Defense Logistics Agency (DLA) is the largest logistics support agency in the United States (U.S.) Department of Defense (DOD). The DLA Director reports to the Under Secretary of Defense for Acquisition, Technology and Logistics (USD AT&L) through the Assistant Secretary of Defense for Logistics and Materiel Readiness (ASD L&MR). DLA provides worldwide logistics support, acquisition, and technical services to the military services, other federal and civilian agencies, and partner nations in peacetime and wartime.

The primary mission of DLA is to provide supplies and services to United States Military forces worldwide. Within the general scope of DLA’s mission involves managing and supporting DOD warehouse operations via a worldwide enterprise consisting of over 34 distribution centers and facilities. The scope of operations involves over 10,000 personnel who manage a $105 billion inventory of over 2.4 million items and process approximately 15 million transactions annually for over 243,000 customers.

DLA has a requirement to provide Storage Cover Solutions for various distribution centers, warehouses, and operations. The requirement includes not only DLA owned sites, but other DOD sites as well. The intent is to leverage the best, most suitable emerging technologies to improve its equipment readiness capabilities to support the Warfighter to the utmost extent practicable.

To achieve operational efficiencies, DLA is planning the implementation of innovative and emerging technology advancements in Storage Cover Solutions to combat deterioration of equipment. Distribution Operations seeks to enhance logistics support capabilities and reduce equipment maintenance expenditures thru cost-effective storage solutions.

The Government has determined that a multiple award Indefinite Delivery/Indefinite Quantity (IDIQ) contract is the best type of contract vehicle to accomplish the high volume and variety of storage solution projects anticipated by DLA. An IDIQ contract of this nature can act as the primary support vehicle for the Storage Solution requirements with the resultant contracts allowing for centralized ordering. As such, the IDIQ is anticipated to be well suited to accommodate acquiring solutions comprised of current, innovative, emerging, and custom designs for storage solutions in addition to ancillary services such as on-site design services, on-site installation training, on-site installation, and periodic inspection services.

The multiple award IDIQ contract approach will enable DLA to complete the Requirement Analysis phases of each project in a more cost-effective and efficient manner. It will also provide a competitive pool of Contractors who are, or will become familiar with, procedures and regulations governing supplies procured for DLA. Individual Delivery Orders (DOs) will be competed among successful Offerors and subsequent contracts are anticipated to support DLA requirements originating within the Contiguous United Stated (CONUS) and Outside the Contiguous United States (OCONUS).

1.1 OBJECTIVE

The DLA Storage Cover Program will provide a singular, consolidated acquisition mechanism through which all of DLA can maximize its opportunities to achieve the following Program Objectives:

• Increased production efficiency through technology, equipment, hardware, and software solutions

• Reduced operating costs and improved realization of Return on Investments (ROI)

• Enhanced audit readiness and accountability of operations

• Process improvement and simplification

• Streamlined warehouse control, management, and operations

1.2 REQUIREMENT

DLA has a requirement to provide Storage Cover Solutions for its distribution centers, warehouses, and operations. The requirement includes not only DLA owned sites, but other DOD sites as well, both CONUS and OCONUS. The intent is to leverage the best, most suitable emerging technologies to improve its equipment readiness and capabilities to support the Warfighter to the utmost extent practicable. This includes procurement of current as well as innovative, emerging, and custom designs for storage solutions in addition to ancillary services such as on-site design services, on-site installation training, on-site installation, and periodic inspection services.

SECTION C-2: GENERAL CONDITIONS AND REQUIREMENTS

2.0 SCOPE

DLA intends to deliver solutions that meet the capabilities and instructions that meet the Care of Supplies in Storage (COSIS) Program to the utmost extent possible. As such, the scope of this IDIQ will require awardees of individual DOs to render a variety of supplies necessary for current, innovative, emerging, and custom designs for storage solutions in addition to ancillary services such as on-site design services, on-site installation training, on-site installation, and periodic inspection services. Delivery location for the supplies rendered by awardees of individual DOs are expected to be at DOD Installations and the DLA Enterprise located within CONUS and OCONUS. Each DO awarded under the subject IDIQ will describe the types of supplies to be rendered. All DOs issued under the IDIQ will be supply-based acquisitions using a Statement of Work (SOW). The SOW will include detailed additional technical information/requirements.

2.1 DESCRIPTION OF SUPPLIES

The Contractor must provide all supplies (expect for those items specified as Government Furnished Equipment or Property incidental to the place of performance) as specified in the individual DO’s SOW. All DOs placed against the base IDIQ Contract will define the requirements for each individual storage solution. The Contractor must complete delivery within timeframes negotiated between the Government and Contractor and specified on the DO.

Supplies provided under the auspices of this IDIQ will be described by the Government within each DO to the highest component level and maximum extent practicable. However, the Contractor will have the ultimate responsibility for providing acceptable supplies to meet the requirements described therein. Unless otherwise specifically stated, all supplies provided by the Contractor must be in new condition and of the most suitable grade for the intended purposes. The Government reserves the right to perform any necessary inspections to ensure conformance of supplies rendered by the Contractor to stated requirements.

All services performed under the auspices of this IDIQ must be non-personal in nature and will provide support to DOD sites. The Government will not exercise any supervision or control over the contract staff performing the services described herein. Such contract service providers will be accountable solely to the Contractor who, in turn, is responsible to the Government. The Government and the Contractor understand that the services to be provided under this contract by the Contractor are non-personal services and that no employer-employee relationship exists between the Government and the Contractor.

2.2 OPERATING CONDITIONS

2.2.1 Delivery Locations

The basic IDIQ contract will be issued through DLA Distribution in New Cumberland, PA. However, the delivery locations under this contract will be at various DOD Installations and the DLA Enterprise, both within CONUS and OCONUS. Each individual DO placed under this contract will identify the delivery location for that specific DO.

2.2.2 Period of Performance

The Period of Performance for the basic IDIQ is not to a five (5) year ordering period from the date of contract award. Additionally, each individual DO will include a delivery date specific to that project.

2.3 VEHICLE REGISTRATION

2.3.1 Contractor will be required to register Contractor vehicles used in performance of the contract requirements and ensure that Contractor employee vehicles driven on the DOD Installation (to include motorcycles) are registered with the DOD Installation security office and are in conformance with State and local laws / regulations in effect at the time of registration so long as they are employed by the Contractor. Evidence of a valid driver’s license, vehicle registration card, and insurance are required for registration. Contractor employees must maintain current registration and proof of insurance on all Privately-Owned Vehicles (POV) brought on DOD Installations. The Contractor must maintain current registration and proof of insurance on all Contractor-owned vehicles brought on the DOD Installations.

2.3.2 Contractor and its employees must abide by DOD Installation parking regulations. All vehicles must be parked in designated parking areas only. The Contractor and its employees must conform to Federal, State and DOD Installation driving regulations.

2.4 SECURITY

2.4.1 The Contractor or any representative of the Contractor entering DOD locations to perform delivery order requirements shall abide by all security regulations and may be subject to security inspections. Contractor personnel and property shall be subject to search and seizure upon entering, while on, and upon leaving the DOD locations pursuant to regulatory guidance.

2.4.2 All Contractor personnel shall conduct themselves IAW acceptable business decorum at all times. The Contractor shall remove any individual from the site whose continued presence or employment on this delivery order is deemed by the KO to be contrary to the public interest, deemed to adversely affect health, morale, welfare, or good order and discipline on the installation, or inconsistent with the best interests of national security. IAW USC Title 18, Crimes and Criminal Procedure, Part I, Crimes, Chapter 67, Military and Navy, Section 1382, the Installation Commander has the authority to bar individuals from the host installation.

2.4.3 The Contractor shall ensure the physical security of all Government property, accountable property or information provided under this delivery order is secured and protected against theft, sabotage, or other acts constituting illegal destruction. The Contractor and its personnel shall comply with all DOD and DLA regulatory guidance:

2.4.5 The Contractor shall report any security deviation or Practices Dangerous to Security (PDS), to include COMSEC, OPSEC, INFOSEC, etc., to the KO or designee within one (1) hour of discovery. PDS have the potential to jeopardize the security of sensitive information and material if allowed to perpetuate.

2.5.6 Reporting of Criminal Violations

The Contractor shall report immediately to the KO or COR, any suspected, alleged, or actual criminal incidents IAW DLAI 5105, Reporting of Criminal Incidents.

2.5 AUTHORIZED VISITOR CONTROL

Authorized visitors on official business related to this delivery order shall obtain approval from the host installation Law Enforcement and Security Office and the KO for entrance to the host installation. The Contractor shall submit a DLA Form 1818, Visitor Request Form or equivalent form to the KO at least one (1) week in advance for all planned off-base visitors needing base access and shall follow the host installation policy for all visitors.

2.6 PERSONNEL CLEARANCE

Contractors are not required to have security clearances for the scope of this contract.

2.7 SAFEGUARDING INFORMATION

2.7.1 The Contractor shall not allow access or disclosure of contract related information regarding the operations of DLA to any government agency, non-government agency, or individual unless specifically authorized by the KO. The Contractor shall provide documents and files requested by such parties to the KO within one (1) hour of receipt of the authorized request. All files are the property of the Government and the Contractor shall turn all files over to the at the completion or termination of this task order.

2.7.2 The Contractor may be required to access data and information that is proprietary to a government agency or Contractor or that is of such nature that its dissemination and use other than as specified in this contract would be adverse to the interests of the Government or others. The Contractor and its personnel shall not divulge or release data or information developed or obtained under performance of this contract except to government personnel who are authorized to receive the information or upon written approval of the KO. The Contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend other than as specified in this contract.

2.7.3 Disclosure of information regarding operations and services of DLA to persons not entitled to receive it, or failure to safeguard any classified information that may come into the Contractor’s control in connection with work under this contract, may subject the Contractor, its agent, or its employees to criminal liability under USC Title 18, Crimes and Criminal Procedure, Part I, Crimes, Chapter 37, Espionage and Censorship, Sections 793, Gathering, Transmitting or Losing Defense Information, and Section 798, Disclosure of Classified Information. Neither the Contractor nor its employees shall disclose or cause to be disseminated any information concerning the operations of the activity, which could result in, or increase the likelihood of, the possibility of a breach of DLA’s security or interrupt the continuity of DLA’s operation.

2.8 CONTACT OF A SUSPICIOUS NATURE

2.8.2 Contact with an individual (regardless of nationality) that suggests to the Contractor employee that an intelligence gathering or terrorist organization may have targeted him or her for possible intelligence exploitation.

2.8.3 A request by anyone (regardless of nationality) for illegal or unauthorized access to classified or unclassified sensitive information.

2.8.4 Contact with a known or suspected intelligence officer from any country.

2.8.5 Contact with a foreign diplomatic establishment, whether in the U.S. or abroad, for personal or official reasons. Certain Contractor personnel in positions designated as “sensitive” by the Government may also be required to inform their chain of command in advance of the nature and reason for contacting a foreign diplomatic establishment or travel to countries on the State Department list whose interests’ may be adverse to the United States. Additionally, Contractor personnel who have information about activities pertaining to espionage, terrorism, unauthorized technology transfer, sabotage, sedition, subversion, spying, treason, unauthorized release of classified or unclassified controlled information, or unauthorized intrusions into automated information systems shall report that information immediately to the KO or COR for action.

SECTION C-3: DEFINITIONS, ACRONYMS AND APPLICABLE DOCUMENTS

3.0 GENERAL

The following documents of the exact issue form a part of this requirement to the extent specified herein. In the event of a conflict between the documents referenced herein and the contents of this SOW, this SOW will be considered by the Government and Contractor as superseding. Any final interpretation of standards involving compliance with any applicable regulatory standard, other pertinent Federal/state laws or codified regulations (e.g. OSHA, DLA Issuances) will rest with the KO.

3.1 DEFINITIONS AND ACRONYMS

The DOD Dictionary of Military and Associated Terms is available on the Internet at http://www.dtic.mil/doctrine/dod_dictionary. Acronyms utilized throughout this SOW are defined herein and inquires to clarify use of acronyms may be sent to the Contracting Officer.

3.2 APPLICABLE DOCUMENTS AND PUBLICATIONS

The Government may provide reference documents (e.g., Data Item Descriptions (DIDs), design drawings, Systems Requirements Documents (SRDs), Interface Control Documents (ICDs), Enterprise Capability Requirements Documentation (ECRD) etc.) and publications (e.g., Government and Industry publications, specifications, regulatory requirements, etc.) in support of each individual DO issued against the Base IDIQ Contract. These documents will be issued, when applicable, as part of the individual DOs and must be controlled by the Contractor against unauthorized distribution / disclosure.

SECTION C-4: CONTRACTOR FURNISHED MATERIAL, SUPPLIES, EQUIPMENT, TRAINING, SUPPORT SERVICES and RESPONSIBILITIES

4.0 GENERAL

The Contractor will furnish, unless provided by the Government IAW paragraph 4.0 of this SOW, to the delivery of the supplies, equipment, systems and training on each individual DO issued under this Contract. Title to all Contractor furnished items will remain with the Contractor unless such items are to be delivered to the Government as described within each DO.

SECTION C-5: SPECIFIC DELIVERABLES & TASKS

5.0 GENERAL

DLA anticipates a broad range in size, scope, and complexity among the various Storage Solution DOs. The DOs will also have a variety of delivery locations (single location to multiple Enterprise wide (34 locations) throughout CONUS and OCONUS).

SECTION C-6: CERTIFICATION AND ACCEPTANCE

6.0 GENERAL

A. Only a warranted KO acting within their delegated limits has the authority to issue modifications or otherwise change the term and conditions of this contract. If an individual other than the KO attempts to make changes to the term and conditions of this contract, the Contractor must not proceed with the change and will immediately notify the KO. The COR (if assigned) may be designated as the point of final inspection and acceptance by the Government of all items and services required by the contract.

B. Guidance and regulations identified in the base contract and specific DOs must be complied with for the duration of performance. The Contractor will use the most current publications available unless otherwise directed by the KO, COR (if assigned), or Government designee.
