ADDENDUM

TERMS AND CONDITIONS OF PURCHASE ORDER

TRANSPORTATION & SHIPPING TERMS

The F.O.B. point for this Delivery Order is indicated in block 11 of page 1 of the Delivery Order document. The following provides an explanation of F.O.B. points as defined in the FAR, Part 47, and are applicable to this Task Order.

"F.O.B." means free on board. This term is used in conjunction with a physical point to determine (a) the responsibility and basis for payment of freight charges and (b) unless otherwise agreed, the point at which title for goods passes to the buyer or consignee.

"F.O.B. Origin" means free on board at origin; i.e., the seller or consignor places the goods on the conveyance by which they are to be transported. Unless this Delivery Order provides otherwise, the cost of shipping and risk of loss are borne by the buyer or consignee (Government).

For this Delivery Order, "F.O.B. Origin" is to be interpreted as "F.O.B. Origin Freight Prepaid." All items will be delivered to the Contracting Officer Representative (COR). The vendor is responsible for prepaying the freight charges and shall bill freight charges as a separate line item on the invoice.

"F.O.B. Destination" means free on board at destination; i.e., the seller or consignor delivers the goods on seller's conveyance at destination. Unless the Delivery Order provides otherwise, the cost of shipping and risk of loss are borne by the seller or consignor (Contractor).

For this Delivery Order, "F.O.B. Destination" is to be interpreted as "F.O.B. Destination, within Consignee's Premises." The vendor will prepay all freight charges and will deliver to the COR. The vendor may not bill for shipping charges, except as described under "Special Shipping/Handling Charges" below.

DELIVERY OF MATERIAL/SERVICES

Delivery schedules will be negotiated by the COR at the time the Delivery Order is awarded. The delivery of goods and services must be performed between the hours of 8:30 a.m. and 4:30 p.m., Monday through Friday, except when special arrangements are made by the COR.

All shipments delivered herein shall be addressed as directed by the COR and marked as indicated below.

DELIVERY TICKETS

All shipments/deliveries/services under this Delivery Order shall be accompanied by a delivery ticket or packing slip and shall contain the following:

a. Name of Vendor

b. Delivery Order Number

c. Date of Purchase

d. Itemized List of Supplies or Services

e. Quantity, Unit Price and Extension of Each Line Item, Less any Applicable Discounts

f. Date of Delivery or Shipment

g. Name, Building and Room Number of Person Placing Order

h. Delivery/Consignee Address

Upon delivery, the receiving activity shall sign the packing slip/delivery ticket and retain one copy. One copy may subsequently be required to support the invoice.

PROMPT PAYMENT DISCOUNTS

The Prompt Payment Discount period, if any, shall commence on the final date of the billing period, or on the date of the receipt of a proper invoice for all deliveries accepted during the billing period, whichever is later.

INVOICE INSTRUCTIONS – See Attached Electronic Invoicing Instructions.

Note: The approving official may require the invoice copy to be submitted electronically as an attachment to an e-mail instead of a paper copy. An electronic copy shall be submitted to wei.ma@nih.gov, derricf@mail.nih.gov, and kathy.elliott@nih.gov.

PRICES

This is a Firm Fixed Price Purchase Order.

Upon delivery and acceptance of the professional services during the Base Year as specified in of the Statement of Work, the Government shall pay to the Contractor the fixed unit prices specified in the Contractor’s Quotation dated TBD.

OPTION PRICES

Unless the Government exercises its option pursuant to the option provisions referenced in Section 13.0., OPTION PRICES, and Section 17.0, FEDERAL ACQUISITION REGULATION (FAR) CLAUSES INCORPORTATED BY REFERENCE, this Purchase Order consists only of the Base Period of Date of Award through end of base period, as specified in PERIOD OF PERFORMANCE OF PURCHASE ORDER; and of the Statement of Work; for the fixed prices set forth in the Contractor’s Quotation dated 02-18-2020 which is referenced and made a part of this Purchase Order.

Pursuant to FAR clauses 52.217-8, Option to Extend Services (November 1999), and 52.217-9, Option to Extend the Term of the Contract (March 2000), set forth in Section 17.0, FEDERAL ACQUISITION REGULATION (FAR) CLAUSES INCORPORTATED BY REFERENCE, of this Purchase Order, the Government may, by unilateral modification, require the Contractor to deliver additional services during the Base Year and four (4) Option Years as specified in PERIOD OF PERFORMANCE OF PURCHASE ORDER; and of the Statement of Work; for the fixed unit prices set forth in the Contractor’s Quotation dated TBD which is made a part of this Purchase Order. If the Government exercises this option, notice must be given before the expiration date of this Purchase Order. Specific information regarding the time frame for this notice is set forth in Section 14.0, OPTION PROVISIONS, of this Purchase Order.

OPTION PROVISIONS

This Purchase Order incorporates the following additional Federal Acquisition Regulation (FAR) clauses by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. Also, the full text of a FAR clause may be accessed electronically at http://www.arnet.gov/far/.

a. FAR 52.217-8, Option to Extend Services (NOV 1999)

The third sentence is revised to read as follows:

“The Contracting Officer may exercise the option by written notice to the Contractor within thirty (30) calendar days prior to the expiration date of the Task Order.”

b. FAR 52.217-9, Option to Extend the Term of the Contract (MAR 2000)

• Part (a) is revised to read as follows:

“(a) The Government may extend the term of this Task Order by written notice to the Contractor within the period of performance of this Delivery Order;

provided that the Government shall give the Contractor a preliminary written notice of its intent to extend at least thirty (30) days before the Delivery Order expires.”

• Part (c) is revised to read as follows:

“(c) The total duration of this Task Order, including the exercise of any options under this clause, shall not exceed the period of 24 months.”

c. FAR 52.217-6 Option for Increased Quantity.

As prescribed in 17.208(d), insert a clause substantially the same as the following:

Option for Increased Quantity (Mar 1989) The Government may increase the quantity of supplies called for in the Schedule at the unit price specified. The Contracting Officer may exercise the option by written notice to the Contractor within [30 days]. Delivery of the added items shall continue at the same rate as the like items called for under the contract, unless the parties otherwise agree.

d. FAR 52.217-7 Option for Increased Quantity—Separately Priced Line Item.

As prescribed in 17.208(e), insert a clause substantially the same as the following:

Option for Increased Quantity—Separately Priced Line Item (Mar 1989) The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within [30 days]. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

(d) Comptroller General Examination of Record. FAR 52.232-39 Unenforceability of Unauthorized Obligations.

As prescribed in 32.706-3, insert the following clause:

Unenforceability of Unauthorized Obligations (Jun 2013)

(a) Except as stated in paragraph (b) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti- Deficiency Act violation (31 U.S.C. 1341), the following shall govern:

(1) Any such clause is unenforceable against the Government.

(2) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.

(3) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(b) Paragraph (a) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

FAR 52.233-2 Service of Protest.

As prescribed in 33.106, insert the following provision:

HHSAR 352.239-73 Electronic Information and Technology Accessibility Notice.

(a) As prescribed in HHSAR 339.203-70(a), the Contracting Officer shall insert the following provision:

(a) Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d), as amended by the Workforce Investment Act of 1998 and the Architectural and Transportation Barriers Compliance Board Electronic and Information (EIT) Accessibility Standards (36 CFR part 1194), require that when Federal agencies develop, procure, maintain, or use electronic and information technology, Federal employees with disabilities have access to and use of information and data that is comparable to the access and use by Federal employees who are not individuals with disabilities, unless an undue burden would be imposed on the agency. Section 508 also requires that individuals with disabilities, who are members of the public seeking information or services from a Federal agency, have access to and use of information and data that is comparable to that provided to the public who are not individuals with disabilities, unless an undue burden would be imposed on the agency.

(b) Accordingly, any offeror responding to this solicitation must comply with established HHS EIT accessibility standards. Information about Section 508 is available at http://www.hhs.gov/web/508. In order to facilitate the Government’s determination whether proposed EIT supplies meet applicable Section 508 accessibility standards, offerors must submit an HHS Section 508 Product Assessment Template, in accordance with its completion instructions.
