About this file
This is a HUD contract clause document titled AS-2604 Vendor Lock-In Protections, prescribed for use in all HUD solicitations and contracts above the micropurchase threshold.
The clause establishes eight mandatory requirements designed to protect government control over systems, data, and AI Systems throughout the contract lifecycle. Contractors must implement open standards and support interoperability across all AI Systems, platforms, and formats, with documentation demonstrating compliance. Knowledge transfer obligations require contractors to provide comprehensive documentation, training, workflows, system maps, and technical knowledge to enable agency personnel or successor contractors to manage and operate delivered AI Systems. All data, metadata, models, configuration files, and artifacts must be provided in machine-readable, non-proprietary formats supporting full portability to alternate environments or successor contractors. The government retains sufficient rights to custom-developed code, AI models, and deliverables for operational use, continued development, inspection, and reuse under federal data and IP policies. Contractors must disclose all licensing terms, including third-party software and components, clearly delineating government usage rights, renewal options, and cost implications. Pricing structures must be itemized and transparent, including projected future costs for upgrades and extensions. Upon contract expiration or termination, contractors must support smooth transitions to alternative providers or internal capabilities with complete documentation and assistance. All vendor lock-in protections must be flowed down to subcontractors providing or utilizing AI components. Contractor failure to comply may result in government exercise of contract remedies, including disincentives, liquidated damages, actual damages, and work stoppage until compliance is demonstrated.
