About this file
This is an Agency Specific clause (AS-2602) for HUD federal contracts addressing privacy, intellectual property, and government data use requirements.
The clause applies to all HUD solicitations and contracts above the micropurchase threshold and establishes comprehensive requirements for contractor handling of federal information, particularly data involving Privacy Act protected information and Artificial Intelligence (AI) Systems. Contractors must comply with the Privacy Act of 1974, Federal Records Act, E-Government Act 2002, OMB Circular A-130, OMB Memo 17-12, and HUD-specific policies. Key requirements include: (1) Government retention of ownership of all government data, queries, prompts, searches, and outputs generated by AI Systems; (2) strict prohibition on using non-public government data to train or enhance contractor AI algorithms without explicit written consent; (3) prohibition on using non-HUD approved AI to process HUD Controlled Unclassified Information (CUI), Personally Identifiable Information (PII), Federal Tax Information (FTI), or classified data; and (4) contractor provision of all AI System components, including models, algorithms, documentation, and data, to the Government for operations and oversight. Contractors must obtain Contracting Officer approval before engaging subcontractors for disclosure of contract-related information and must flow down all privacy and data use requirements to subcontractors providing AI components. Data transfers must use Secured File Transfer Protocol in formats prescribed by HUD or mutually agreed. Contractors are responsible for preventing unauthorized destruction of federal records, must ensure appropriate personnel, administrative, technical, and physical safeguards for record security, and must complete HUD-provided records management training. Violation of clause requirements may result in disincentives, liquidated damages, actual damages, or work stoppage until compliance is demonstrated.
