About this file

This document is a standard Terms and Conditions template for fixed-price commercial products and commercial services used by Ames National Laboratory, operated by Iowa State University under DOE Prime Contract No. DE-AC02-07CH11358. The document establishes the legal and operational framework governing subcontracts and purchase orders issued by the Laboratory.

The template addresses fundamental contractual obligations including acceptance procedures, order of precedence, dispute resolution through negotiation and Alternative Dispute Resolution before litigation in Iowa courts, and termination rights for both convenience and cause. Key operational requirements include compliance with environmental protection laws, electronic signature authorization, and an employee concerns program based on DOE Order 442.1B with escalation procedures to the ISU Compliance and Ethics Hotline, Ames Site Office, or DOE Office of Inspector General. The document establishes payment terms upon acceptance and delivery, risk of loss provisions based on FOB terms, tax responsibilities, and warranty obligations including merchantability and fitness for purpose with one-year correction periods. Specific requirements address laboratory site access and non-U.S. national participation (Form AL-473 required), export controls under ITAR and EAR, suspect counterfeit parts compliance, information technology security standards from NIST, and indemnification obligations for patent infringement and general liability. The template incorporates by reference numerous FAR and DEAR clauses addressing whistleblower protections, equal opportunity, labor standards, buy American provisions, cybersecurity safeguards, small business utilization, and various environmental and social compliance requirements. An attachment provides a headmark list for identifying suspect counterfeit fasteners and components by manufacturer origin.
