About this file
This document is a General Contract - Services Only template from the City of Lafayette, Colorado, designed for establishing independent contractor agreements for municipal services. The contract specifically relates to a mowing, trimming, and weed control services opportunity for the 2024 season, covering the Lafayette Cemetery, Coal Creek Cemetery, Highway 287 corridor, Baseline Road, and select native areas. The contract term will be defined by specific start and end dates to be filled in, with provisions for termination by either party under specified conditions.
The compensation structure allows for multiple payment methods, including a fixed sum or rates based on services rendered, with a maximum total compensation to be specified. The contractor is required to maintain comprehensive insurance coverage, including commercial general liability (minimum $1,000,000 per occurrence), professional liability (if applicable), workers' compensation, and automotive liability insurance. The contract is subject to annual appropriation by the City Council and follows Colorado governmental regulations, with Boulder County designated as the venue for any potential litigation. The contractor will be responsible for all taxes, operating as an independent entity, and must comply with all applicable federal, state, and local laws.

CONTRACTOR shall at all times be and act as an independent contractor and not as an employee of LAFAYETTE. CONTRACTOR further understands that CONTRACTOR’s business operations will remain separate and distinct from the business operations of LAFAYETTE. CONTRACTOR understands that CONTRACTOR is not entitled to unemployment insurance benefits from LAFAYETTE. CONTRACTOR shall be responsible for payment of all taxes, including federal, state and local taxes arising out of CONTRACTOR’s activities under this Agreement, including, by way of illustration but not limitation, federal and state income tax, social security tax, unemployment insurance taxes, and any other taxes or business license fees as required.
Section 5. Compensation/Payment:

D. Nothing herein shall constitute a multiple fiscal year obligation pursuant to Colorado Constitution Article X, Section 20. Notwithstanding any other provision of this Agreement, LAFAYETTE's obligations under this Agreement are subject to annual appropriation by the City Council of LAFAYETTE. Any failure of a City Council annually to appropriate adequate monies to finance LAFAYETTE's obligations under this Agreement shall terminate this Agreement at such time as such then-existing appropriations are to be depleted. B. This Agreement may be terminated by LAFAYETTE without cause upon seven (7) days written notice to the CONTRACTOR. In the event of termination, LAFAYETTE will pay CONTRACTOR for all services satisfactorily performed to date of termination. The policy shall be applicable to all premises and operations. The policy shall include coverage for bodily injury, broad form property damage (including completed operations), personal injury (including coverage for contractual and employee acts), blanket contractual, independent contractors, products, and completed operations. The policy shall endorse LAFAYETTE and its employees and agents as additional insureds. Additionally, the policy shall provide that such insurance is primary coverage with respect to work contemplated under this Agreement by all insureds and additional insureds.

A copy of each such policy or certificate shall be provided to LAFAYETTE within five (5) business days of the complete execution of this Agreement and shall be attached to this Agreement. CONTRACTOR shall be responsible for notifying LAFAYETTE within five (5) business days of any material modification to, or cancellation of, these policies during the term of this Agreement, including but not limited to, any pending or paid claims against the aggregate amount of the policy, and of any cancellation of coverage for non-payment.
Section 9. Colorado Governmental Immunity Act: The parties hereto understand and agree that LAFAYETTE is relying on, and does not waive or intend to waive by any provision of this Agreement, the monetary limitations or any other rights, immunities and protections provided by the Colorado Governmental Immunity Act, Sections 24-10-101 et seq., C.R.S., as from time to time amended, or those otherwise available to LAFAYETTE, its officers, or its employees.
