About this file

This document is a Special Notices Appendix for the Gulf Beach Water Booster Station Improvements project (County P.I.D. No. 002150A) in Pinellas County, Florida, involving compliance requirements from the Florida Department of Transportation (FDOT) and Pinellas County. The project encompasses rehabilitation of the Gulf Beach Booster Station, originally constructed in the 1960s, to meet current industry and operational standards and improve facility resilience. The contractor must comply with all FDOT Construction Agreement requirements, including technical specifications, design and construction standards, maintenance of traffic requirements, insurance requirements, permitting obligations, and indemnification provisions, despite the project not being FDOT-funded. Work performed within or affecting FDOT right of way is subject to these provisions in their entirety.

The contractor is required to review and incorporate the Geotechnical Report dated August 2022 into its work plan, ensuring proper evaluation and preparation of foundation subgrade conditions prior to construction. The contractor must provide adequate proof-rolling, foundation preparation, and compaction to achieve uniform foundation support and long-term performance, with foundation dimensions appropriately designed for anticipated loading conditions. Additionally, the contractor shall indemnify and hold harmless Pinellas County, FDOT, and their respective officers, agents, and employees from all claims, damages, and liabilities arising from negligent acts or omissions by the contractor, its subcontractors, or consultants. This indemnification requirement must be included in all subcontracts and consultant agreements and shall survive termination of the agreement, subject to Florida's sovereign immunity limitations under Florida Statutes Section 768.28.

APPENDIX 4 - SPECIAL NOTICES

County P.I.D. No. 002150A

GULF BEACH WATER BOOSTER STATION IMPROVEMENTS

In Pinellas County, Florida

NOTICES TO CONTRACTOR

FLORIDA DEPARTMENT OF TRANSPORTATION (FDOT) CONSTRUCTION AGREEMENT REQUIREMENTS

The Project includes work within FDOT right of way and is therefore subject to the requirements of the FDOT Construction Agreement included as an Appendix 6 attachment. Although this Project is not funded by FDOT, the Contractor shall comply with all applicable provisions of the FDOT Construction Agreement, including project-specific requirements, technical specifications, design and construction standards, maintenance of traffic requirements, insurance requirements, permitting obligations, and indemnification provisions. The Contractor is responsible for reviewing Appendix 6 – FDOT Construction Agreement in its entirety and incorporating all applicable requirements into its work plan, means and methods, and project execution activities. The provisions of the Construction Agreement shall apply to all work performed within or affecting FDOT right of way.

GEOTECHNICAL REPORT

The Contractor’s attention is directed to the Geotechnical Report dated August 2022 (Appendix 6). The report summarizes the results of a geotechnical subsurface exploration.

The Contractor shall ensure that foundation subgrade conditions are properly evaluated and prepared prior to construction. Adequate proof-rolling, foundation preparation, and compaction are essential to achieving uniform foundation support and long-term performance. Foundation dimensions shall be appropriately designed for the anticipated loading conditions to provide adequate bearing capacity and minimize settlement.

INDEMNIFICATION

The Contractor shall indemnify, defend, save and hold harmless Pinellas County, the State of Florida Department of Transportation (FDOT), and their respective officers, agents, and employees from all suits, actions, claims, demands, damages, losses, liabilities, costs, and expenses of any nature whatsoever arising out of, because of, or due to any negligent act, error, omission, occurrence, or commission of the Contractor, its officers, agents, employees, subcontractors, consultants, or any person or entity acting on its behalf in connection with the performance of the Work.

The Contractor agrees to include the following indemnification requirement in all contracts with subcontractors, consultants, or subconsultants (each referred to as “Entity” for the purposes of the below indemnification) who perform work in connection with this Agreement:

“To the extent provided by law, [ENTITY] shall indemnify, defend, and hold harmless the [RECIPIENT] and the State of Florida, Department of Transportation, including the Department’s officers, agents, and employees, against any actions, claims, or damages arising out of, relating to, or resulting from negligent or wrongful act(s) of [ENTITY], or any of its officers, agents, or employees, acting within the scope of their office or employment, in connection with the rights granted to or exercised by [ENTITY].

The foregoing indemnification shall not constitute a waiver of the Department’s or [RECIPIENT’]’s sovereign immunity beyond the limits set forth in Florida Statutes, Section 768.28. Nor shall the same be construed to constitute agreement by [ENTITY] to indemnify [RECIPIENT] for the negligent acts or omissions of [RECIPIENT], its officers, agents, or employees, or third parties. Nor shall the same be construed to constitute agreement by [ENTITY] to indemnify the Department for the negligent acts or omissions of the Department, its officers, agents, or employees, or third parties. This indemnification shall survive the termination of this Agreement.”
