SECTION L
INSTRUCTIONS, CONDITIONS,
AND NOTICES TO OFFERORS
L.1
PROPOSAL COMPOSITION
.1 Proposals shall be submitted in two major subdivisions: Technical Proposal whose content and arrangement shall be as described in the articled, “INSTRUCTIONS FOR PREPARING THE TECHNICAL PROPOSAL” of this section, and a Price Proposal, which shall be prepared in detail on a basis as described and set forth in the article entitled, “INSTRUCTIONS FOR PREPARING THE PRICE PROPOSAL” of this section.
.2 This solicitation is for Indefinite Quantity/Indefinite Delivery (IDIQ) Multiple Award Contract for Construction Management Services (CMS) for the Architect of the Capitol (AOC), Washington, D.C. with a total contract value not expected to exceed a maximum value of $80,000,000.00. The Government intends to award three contracts without discussions with offerors (except clarifications as described in AOC Order 34-1, Section 9.1.11). Therefore, the offeror's initial proposal should be clear and complete and contain the offeror's best terms from a price standpoint. The Government reserves the right to conduct discussions if later deemed necessary. The Government further reserves the right to reject any or all offers if such action is in the Government's best interest. The Government reserves the right to reduce proposals with a competitive range of the top nine (9) proposals based only on an evaluation of Part A – Minimum Requirements. Unsuccessful Offerors may request a pre or post-award debriefing within three (3) calendar days after the date on which the Offeror(s) received notification of the contract award. There will be no point-by-point comparisons with other Offerors’ proposals.
.2 The Technical Proposal and the Price Proposal portions of each proposal submitted by any offeror shall each be identified with a cover letter in the article entitled “SUBMISSION OF OFFERS” of this section and submitted in the following number of copies:
.1 Technical Proposal - One electronic (.pdf) copy via e-mail to Darwin Thomas. The proposal should be typed, double-spaced, with one inch margins, unreduced in size, on 8-1/2" by 11" paper, not exceeding 25 pages exclusive of resumes, teaming agreements, and past performance questionnaires. Proposals shall be read-only format, using searchable PDF files, and each factor and attachment shall be bookmarked. A list of bookmarked factors and attachments required in each proposal .2 Price Proposal - One electronic (.pdf) copy via e-mail to Darwin Thomas at: Darwin.thomas@aoc.gov.
.3 Technical and Price Proposal information may be submitted in a single via e-mail to Darwin Thomas, but must remain separate (.pdf) files.
.4 Proposals are due no later than November 13, 2020, at 2:00 p.m. local time to the contract specialist specified in Clause AOC52.215-1. Questions concerning this procurement action must be submitted no later than October 26, 2020 at 2:00 p.m. local time.
.3 Each offeror may submit one or more proposals; however, each proposal shall be configured as described above, shall be considered on its own merits as to the completeness of submission and shall not share required documentation, or other requirements of submission with any other proposal submitted by the same offeror.
.4 A virtual Pre-Proposal conference will be held Wednesday, October 21 at 10:00AM (EST) utilizing Skype software. Offerors should RSVP to Darwin Thomas (Darwin.thomas@aoc.gov) with your interest in attending the virtual Pre-Proposal conference. The RSVP must include the email addresses of those attending the conference. The attendee limit per offeror is two (2). The Skype technology will only allow 250 attendees.

INSTRUCTIONS FOR PREPARING THE TECHNICAL PROPOSAL - SOURCE SELECTION PROCEDURES
.1 The Technical Proposal shall be organized in accordance with the following format to facilitate evaluation by the Government. The Technical Proposal shall be subdivided into two (2) parts: Part A – Minimum Requirements and Part B – Evaluation Factors. Part B will be subdivided into four (4) subsections: Past Performance, Corporate Experience and Expertise, Management Approach, and Key Personnel. The Technical Proposal shall be indexed by Parts and subdivided Evaluation Factors shall be clearly tabbed and labeled to allow the material to be viewed and removed easily.
Part A – Minimum Requirements: The offeror shall provide evidence of the ability to meet the Minimum Requirements. The minimum requirements will be assigned an adjectival rating. Failure to meet an acceptable adjectival rating of the minimum requirements would result in no further evaluation of your proposal. Proposals may be ranked based on the Adjectival rating of the Minimum Requirement in order to establish a competitive range. Part A – Minimum Requirements are listed in equal order of importance.
.1 Minimum Requirement 1 - The Offeror shall provide a written narrative of their relevant experience, capacity, and ability to accomplish at least four individual task orders of a value of a minimum of $500,000 simultaneously. The page limit is five.
.2 Minimum Requirement 2 - The Offeror shall demonstrate that the ability to staff within either the prime, or proposed Core Team Members, to provide all Labor Categories for Standard Services as defined in Section B. The page limit is five.
.3 Minimum Requirement 3 - The offeror shall provide a written narrative that demonstrates that the offeror has previous experience performing the services defined in the Section C. Scope of Work for projects in similar type facilities.
.2 Part B Evaluation Factors. Evaluation Factors are listed below in descending order of importance:
.1 Factor 1: Past Performance The Government reserves the right to use any source of information available on the Offeror’s past performance to either evaluate past performance or verify information provided by the Offeror. The Offeror shall provide information that demonstrates the Offeror’s past performance. The enclosed “AOC PAST PERFORMANCE QUESTIONNAIRE” shall be provided to each of the companies/agencies submitted by the offeror in response to Evaluation Factor 2. The questionnaire(s) must be emailed to the Darwin Thomas by the date and time established for receipt of offers in order to be considered in the evaluation process. A neutral rating will be applied for those projects/contracts for which a questionnaire is not received.
The Offeror shall identify four (4) contracts/task orders with the Federal Government and/or commercial customers that demonstrate recent and relevant past performance. Recent is defined as within the last three years. Relevant is defined as work similar in complexity and magnitude of the work described in this Statement of Work. A neutral rating shall be applied for those past performance questionnaires not received for which a questionnaire is not received. The offeror may submit no more than three recent and relevant CPARS records for projects with similar scope, size, and complexity to this solicitation.
.2 Factor 2: Corporate Experience and Expertise:
The offeror shall provide narrative describing the experience and qualifications of the offeror in managing and providing CMS on IDIQ/Task Order Contracts similar in scope, size, and complexity and which involved tasks similar to those described in Section C of the RFP (e.g., Construction Management services and Inspection services) completed by the offeror during the last three years or are presently on-going. The Offeror shall provide a listing of at least 4 but not more than 7 past projects/contracts of similar scope, size and complexity which involved similar tasks, identified in its narrative, completed by the offeror during the last three years or are presently on-going. For each project/contract listed, provide the following:
.1 Contract Number;
.2 Start Date/Completion Date (Dates - Month/Year);
.3 Project/Contract Description;
.4 Client Agency;
.5 Technical Point of Contact;
.6 Current Phone Number and Facsimile Number for Point of Contact;
.7 Amount of Contract (Award Amount and Final Amount); and
.8 Relevance of Experience to This Project.
Similar Scope, Size and Complexity: The selected offeror shall demonstrate the capacity to accomplish at least four individual task orders of a value of a minimum of $500,000 simultaneously.
.3 Factor 3: Management Approach The offeror shall provide an executive summary which addresses the manner in which it will organize and manage the staff resources it will assign to undertake tasks performed under this contract providing key management functions and managerial authority, including an organizational diagram. The offeror shall include whether or not it plans to use subcontractors, include the names of subcontractors it proposes to use, and identify by discipline the services it anticipates it will subcontract. Additional consideration will be given to offerors whose management plan demonstrates that the Offeror has more than 50% in-house staff to provide the diverse services specified in this requirement. The Small Business Offeror must demonstrate that it has more than 50% in-house staff to provide the diverse services specified for requirements of up to $500,000, as an individual company or within the Core Team partnership.
.4 Factor 4: Key Personnel The Offeror shall provide a resume for the Construction Executive (CEx) as well as all Labor Categories defined in Section B. The resume shall document recent and relevant experience within the past five years, shall be a maximum of four pages, and include the following information:
.1 A list of projects/contracts and the level of involvement;
.2 A list of three references who can provide appropriate feedback regarding the technical capabilities, including a contact name, company, address and current telephone and facsimile numbers;
.3 Position and years with the Offeror, and if less than 5 years with the Offeror, position and years with previous employer;
.4 Beginning and ending month and year for each position.
.5 List relevant education, training and skills to include at a minimum that for Prolog, E-Builder, Primivera, and MS Project software.
Teaming Agreements (No page limit)
Teaming is NOT required in order for an Offeror to submit a proposal, and/or be awarded a contract under the AOC Construction Management IDIQ Contract. However, Offerors may consider teaming as a means to more fully meet the array of requirements and resources potentially required by AOC under the AOC Construction Management IDIQ Contract. If the Offeror is proposing as a Core team, the proposal must include duly executed teaming agreements by the parties of the Offeror’s team. Letters of commitment are acceptable examples of teaming agreements, and are considered teaming agreements for the purpose of responses to this solicitation. If submitted, letters of commitment shall include, at a minimum:
(1) signatures of the principals and/or owners of the respective parties;
(2) statements on the division of tasks, relationship of the parties, and responsibilities of parties; and
(3) statements on the handling of disputes. Teaming agreements and/or letters of commitment must state that they are valid and in effect for a period of not less than five (5) years from the submission of the offer. Offerors must submit a statement in this proposal section indicating an understanding that AOC will evaluate the data received from the team and if an award is made based upon this information, AOC will not allow substitutions of the AOC Construction Management IDIQ Contract Core team members or the addition of new Core team members except as specified in Section H, Teaming Arrangements.
Rules concerning the makeup of teams: For evaluation purposes, the core team is one (1) prime plus up to four (4) other businesses. The Core Team must remain together for the life of the contract (base period and option) except for extraordinary circumstances and with the Contracting Officer’s approval.
The Offeror shall propose fully burdened hourly rates for each labor category. Burdened rate for each team member shall include the proportional costs for the Construction Executive (CEx). The rates will apply to the core team members, if applicable. The fully burdened hourly rates will not change after the contract award when a team member is removed or added. If the Offeror is not proposing as a team, the response in this Section shall so indicate.

INSTRUCTIONS FOR PREPARING THE PRICE PROPOSAL
.1 A firm fixed-price shall be entered by each offeror on the Schedule page for each line item (line item pricing, options, and unit prices) which shall represent the cost for performing the work required by this Request for Proposal. The Architect reserves the right to request from each Offeror information regarding the breakdown of all costs that are included in the total price, to include copies of all work sheets used in forming the proposed pricing. Erasures or other changes on any or all submissions shall be initialed by the signer of the proposal or by his duly authorized agent.
.2 In addition, the Representations and Certifications, with applicable information included in the spaces provided shall be included as a part of the Price Proposal.
.3 The Price Proposal will be submitted with the required documents in the following order:
.1 The “SOLICITATION, OFFER, AND AWARD” FORM (original signature required in Block 15);
.2 Section B - The “SCHEDULE” pages;
.3 Section K - The “REPRESENTATIONS AND CERTIFICATIONS”;
.4 Solicitation Fill-ins;
.5 Subcontracting Plan in accordance with AOC52.219-3;
