About this file

This is Amendment One to a Solicitation for Snacks, Vending & Pouring Rights issued by the State of South Carolina's Division of Procurement Services on behalf of Coastal Carolina University. The solicitation seeks a contractor to provide vending machine services, fountain beverages, bottled and canned carbonated beverages, and bottled water across campus locations including dining facilities managed by Aramark and athletic facilities. A non-mandatory pre-bid conference was scheduled for April 4, 2019 at 11:30 a.m. at Coastal Carolina University's Atlantic Hall Conference Room in Conway, South Carolina. Questions from offerors were due by April 18, 2019 at 3:00 p.m., with offers due by April 26, 2019 at 11:00 a.m. submitted online through SCEIS. Award was posted on May 10, 2019. The contract is structured as a one-year initial term with four one-year renewal options, subject to price adjustments that may be requested no later than 120 days prior to the end of each contract year.

The University has established fixed selling prices that are not subject to change until after the first initial contract term, which generated significant discussion during the bidding process regarding margin constraints given 2018 cost-of-goods increases. The incumbent contractor is Pepsi, which currently holds a partnership with the University Athletics Department. Only the awarded contractor's products will be permitted for fountain, bottled, and canned carbonated beverages and bottled water in concessions, though non-competitor beverages such as Monster Energy drinks are excluded from this exclusivity. The University's purchasing preference emphasizes nutrient-dense options including whole grain, low-sodium, plant-based protein, and items with no or minimal-added sugar. Contractors must provide annual summary reconciliations showing volume sold, vend prices, total sales, commissions paid to the University, and guaranteed minimum amounts. Coastal Carolina University must be named as additional insured on the contractor's liability insurance policy.

THE “STATE’S RESPONSE” SHOULD BE READ WITHOUT REFERENCE TO THE QUESTIONS. THE QUESTIONS ARE INCLUDED SOLELY CROSS-REFERENCE TO THE POTENTIAL OFFEROR THAT SUBMITTED THE QUESTION. STRICKEN TEXT IS DELETED. [02-2A097-1]

Snacks, Beverage & Pouring Rights Q&A Page 15 – Scope of Work Specifications

· Are there any guidelines or restrictions around healthy choices or certain beverage categories?

Response: The University’s goal is to offer nutrient-dense items for patrons seeking a convenient alternative to conventional vending machine options, such as options for whole grain, low sodium, plant-based protein, whole-food ingredients, and no or minimal-added sugar items.

· Vending and fountain volume includes 2017 and 2018 volume by category but food service volume is only for 2018 year. Can 2017 volume for food service bottle-can be included?

Response: The information requested is not available.

Page 18 – Scope of Work Specifications – “The Selling prices have been established by the University and are not subject to change until after the first initial term period of contract.”

· Our industry experienced significant cost of goods increases in 2018 and the pricing listed for several of these categories barely covers the cost of goods, cost of delivery and cost of equipment when review on a per price per case basis for several of these categories. Of those categories we have category leading brands and the inability to vend at an economic rate will drastically reduce the amount we can invest and guarantee in commissions. Is there any flexibility to provide suggested vend rates for brands/categories we are most concerned over for review?

Response: Selling prices have been established by the University and are not subject to change until after the first initial contract term (see page 18 of the Invitation For Bid).

Page 19 – Fiscal Matters – 2.

· Does this partnership guarantee that only the selected vendors products will be sold through concessions?

Response: Only the awarded contractor’s products will be used for fountain, bottled and can carbonated beverages and bottled water in concessions.

· Our beverage portfolio is encompassing of all known categories and competes against all other brands within each category. What is an example of a beverage supplier/brand/category that would be deemed as non-competitor?

Response: Monster Energy drink is an example of a non-competitor type drink (see page 19 of the Invitation For Bid.)

· If selected when will we have opportunity to discuss partnership with Department of Athletics?

Response: Partnership discussions with University Athletics can occur after an award is final.

· What existing beverage providers have a partnership with the Department of Athletics? For reference, what are the financial and material details of the partnership?

Response: The current beverage and pouring rights contractor, Pepsi, has a partnership with University Athletics (details are provided on page 20 of the Invitation For Bid).

Page 20-Section III – Number 2:

· As states “The University requires that the Contractor provide an annual summary reconciliation including “Vend price.” – Can the University please provide clarification as to what this means?

· Maximum Contract Period – “This is a one year contract with four one year renewal options.”

What does the renewal process look like/entail?

Response: At the end of every contract year, the University requires that an annual summary be provided that shows volume sold, price of the item (“Vend price”), total sales, commissions paid to the University, and the final amount issued to the University to satisfy the guaranteed minimum if the minimum had not already been reached during the year.

Section III –

· The Foodservice contractor (Aramark): Can the University confirm how many .5L Water cases are in the volume assumptions?

Response: Water cases totaled 4,927 cases.

Page 34 & 35 – Price Adjustments

· Can vend rate adjustments be made for year 2 if submitted 120 days prior to the end of year 1? Restrictions on adjustments “during year 1” is misleading and seeking confirmation.

Response: Price adjustment requests for year 2 are to be submitted no later than 120 days prior to the end of year 1’s contract term. This allows for approvals and a change order to be issued prior to the beginning of year 2. The approved price adjustments would then be implemented on day 1 of year 2 as long as the change was approved and the change order was complete.

Section VII – Terms and Conditions – Contractors Liability Insurance:

· Who will be the holder of the Certificate of Insurance at the University?

Response: Coastal Carolina University, including its current and former trustees, officers, directors, employees, volunteer workers, agents, assigns and students, is added to this policy as additional insured.

Page 40 – Exhibit A – Locations and Quantities of Machines

· Exhibit indicates vending 20oz bottle machines but does not specify number of coolers/fountains required for Aramark locations. Can you provide number of coolers/fountain units and type of equipment for all Aramark dining and athletic facilities? (Total equipment need) Response: Aramark’s current beverage equipment has been provided on page 15 of the Invitation For Bid. There will be the need for additional equipment as new locations and services are offered at the University. In the near future the expansion of Brooks Stadium (football stadium) will be complete which includes additional concessions stands and options that will require beverage equipment and support.

· Can we see the statements for the last 8 years of commissions?

Response: The University does not have this information available.
