AMENDMENT NO. 1

TO AGGREGATE CONTRACT MA-080-23011241

BETWEEN

COUNTY OF ORANGE

AND

RECON ENVIRONMENTAL, INC.

FOR

MIGRATION MAINTENANCE SERVICES

This Amendment (“Amendment”) to Aggregate Contract MA-080-23011241 for Mitigation Maintenance Services (“Contract”) is made and entered into as of the date fully executed by and between the County of Orange, a political subdivision of the State of California (“County”), Orange County Flood Control District, a body corporate and politic (“District”), and Recon Environmental, Inc. (“Contractor”), with County, District and Contractor sometimes referred to as “Party” or collectively as “Parties.”

RECITALS

WHEREAS, County, District, and Contractor entered into Aggregate Contract MA-080-23011241 for Migration Maintenance Services, effective October 12, 2023, through October 11, 2026, in the Total Contract Not-to-Exceed Amount of $2,250,000.00; and

WHEREAS, the County now desires to renew the Aggregate Contract effective October 12, 2026, through October 11, 2028, in an amount not to exceed $1,500,000, for a new Total Contract Not-to-Exceed Amount of $3,750,000;

NOW, THEREFORE, the Parties mutually agree as follows:

AMENDMENT TO CONTRACT ARTICLES

1. Aggregate Contract MA-080-23011241 shall be renewed effective October 12, 2026, through October 11, 2028, in an amount not to exceed $1,500,000, for a new Total Contract Not-to-Exceed Amount of $3,750,000.

2. All other terms and conditions in this Contract shall remain unchanged and with full force and effect.

IN WITNESS WHEREOF, the Parties hereto have executed this Contract on the date following their respective signatures.

Recon Environmental, Inc.

If the Contractor is a corporation, signatures of two specific corporate officers are required as further set forth.

• The first corporate officer signature must be one of the following: 1) Chairman of the Board, 2) President, 3) Vice President; and

• The second corporate officer signature must be one of the following: 1) Secretary, 2) Assistant Secretary, 3) Chief Financial Officer, 4) Assistant Treasurer.

In the alternative, a single corporate signature is acceptable when accompanied by a corporate resolution demonstrating the legal authority of the signature to bind the company.
