The contract involves cutting, herbicide treatment, and stacking of woody plants, primarily invasive eastern redcedar, across approximately 0.75 acres of hill prairie terrain. The work will include felling trees, cutting stumps within 1 inch of the ground, and treating non-conifer stumps with a specific herbicide solution. The project involves working on moderate to steep slopes near a cliff edge, requiring safety equipment like climbing harnesses. The contract term runs from execution through March 31, 2027, with work to be completed by that date, though access is limited between December 1 and March 1 due to potential inclement weather.
The contract requires the vendor to have a valid Illinois Department of Agriculture Commercial Herbicide Applicators License, with specific experience working in natural areas with endangered species. This contract, consisting of the signature page and numbered sections listed below and any attachments referenced in this contract, constitute the entire contract between the Parties concerning the subject matter of the contract, and in signing the contract, the Vendor affirms that the Certifications and Financial Disclosures and Conflicts of Interest attached hereto are true and accurate as of the date of the Vendor’s execution of the contract. This contract supersedes all prior proposals, contracts and understandings between the Parties concerning the subject matter of the contract. This contract can be signed in multiple counterparts upon agreement of the Parties.
1. SCOPE OF WORK
1.1. OVERVIEW AND PURPOSE:
Cutting, herbicide treatment, and stacking of woody plants (trees and brush).
1.2. SUPPLIES AND/OR SERVICES REQUIRED:
1.2.1. Vendor shall clear woody plants, primarily invasive eastern redcedar, from approximately 0.75 acres of hill prairie. Cedars, for the most part, can be felled or rolled over the side of the bluff to consolidate at the base of the cliff below. Broadleaf trees, brush, and smaller cedars can be stacked on the hill prairie as terrain and safety allows. Cut stumps shall be within 1” (inch) of the ground.
1.2.2. Non-conifer stumps shall be treated with a solution of 20% triclopyr ester mixed with 80% methylated seed oil as the carrying agent. Work shall proceed along the hill prairie/cliff edge and proceed uphill. Total project area is estimated at 0.75 acres.
1.2.3. Non-target species include hop hornbeam (Ostrya virginiaia), white oak (Quercus alba), black oak (Quercus velutina), and burr oak (Quercus macrocarpa). There are no known brush species present that are considered native to hill prairie natural communities. Vendor shall contact primary job coordinator with any uncertainties.
1.2.4. If there are hours remaining upon completion of work within the target area Vendor shall use the remaining time to conduct woodland/forest restoration work in the natural communities immediately behind the hill prairie. This work will involve cutting and possible stacking of invasive mesophytic tree species. Vendor shall inform Primary Job Coordinator of any hours remaining and schedule an on-site visit to review additional work areas.
1.2.5. The project area consists of moderate to steep slopes. The secondary project area consists of gentle to steep slopes.
1.2.6. To ensure safety clearing trees near the cliff edge, climbing harnesses or similar safety equipment will be necessary. Trees upslope from the edge that are large enough to secure ropes and belay sawyers shall be left standing until project is near completion and they are no longer required. For safety purposes the 1” stump height rule is waived for all trees close enough to the edge to require safety gear to access.
1.2.7. Due to difficulty in accessing work area, vendor should consider storage options for equipment that can be kept at the project area. Such options are to be reviewed with the Primary Job Coordinator to ensure minimal impact to the natural communities.
1.2.8. General Work Details
1.2.8.1. Vendor shall provide all herbicide, adjuvants, and dye identified in the job specifications and follow all label restrictions for mixing and applying herbicides and shall use all herbicides according to the manufacturer’s label directions. Materials safety data sheets (MSDS) for all pesticides shall be kept on the work site. Vendor shall post required signage for re-entry restrictions per label.
1.2.8.2. Foliar spraying shall be conducted with winds not to exceed ten (10) mph. Extreme caution shall be exercised to avoid over-spray and drift. Vendor’s herbicide applicator shall use spray nozzle apertures to minimize drift and with precision shut-off valves to avoid over-spray and to minimize contact with native species.
1.2.8.3. Extreme care shall be taken to avoid non-target contamination with herbicides or herbicide spills within high quality natural areas. The Primary Job Coordinator shall provide a map and list of species of special concern to familiarize the Vendor’s staff with the species present and to assist Vendor’s staff in preventing unintentional treatment of endangered or threatened species. Notable damage to non-target species shall result in the termination of the contract and contract obligations.
1.2.8.4. Vendor shall not apply herbicides to target plants if leaves maintain any surface moisture (e.g., dew) or if rain is predicted within time constraints of labeled rain fast duration.
1.2.8.5. The Primary Job Coordinator reserves the right to restrict access of Vendor to the job site with 24 hours’ notice. Vendor shall abide by all site rules and all site and job-based restrictions imposed by the Primary Job Coordinator.
1.2.8.6. Vendor shall limit vehicular access to paved roads or limestone trails or to routes approved by the Primary Job Coordinator. The Primary Job Coordinator may suspend all vehicle access or work if excessive damage to the area is noted.
1.2.8.7. The Vendor shall meet with the Primary Job Coordinator on-site prior to initiating work to identify access routes and locations for staging equipment and materials and for mixing of chemicals and filling of herbicide sprayers, site conditions for work and chemical selection.
1.2.8.8. All mixing of herbicide and filling of herbicide sprayers shall be done outside of the natural area over a plastic tub to collect any spills. If a spill occurs, it shall be reported immediately to the Site Superintendent or Primary Job Coordinator and shall be cleaned up by the Vendor. Empty herbicide containers shall be properly disposed of as required by Federal law.
1.2.8.9. All equipment and work clothing including boots shall be clean and free of any weed seeds prior to entering or leaving the work area to prevent the spread of invasive species within and among job sites and other areas where the Vendor may have worked.
1.2.8.10. Keyed access may be required to reach project areas. Keys shall be provided to the Vendor for the duration of the project. They must be returned prior to any payment being made.
1.2.8.11. All questions or communications related to this Project from the public or news media shall be forwarded immediately to the Primary Job Coordinator.
1.2.8.12. INSURANCE: Vendor shall, at all times during the term of this contract and any renewals or extensions, maintain and provide a Certificate of Insurance naming the State as an additionally insured for all required bonds and insurance. Certificates may not be modified or canceled until at least thirty (30) days’ notice has been provided to the State. Vendor shall provide: (a) General Commercial Liability insurance in the amount of $1,000,000 per occurrence (Combined Single Limit Bodily Injury and Property Damage) and $2,000,000 Annual Aggregate; (b) Auto Liability, including Hired Auto and Non-owned Auto (Combined Single Limit Bodily Injury and Property Damage), in amount of $1,000,000 per occurrence; and (c) Worker’s Compensation Insurance in the amount required by law. Insurance shall not limit Vendor’s obligation to indemnify, defend, or settle any claims.
1.2.8.13. Modifications to Scope of Work: Change orders must be determined by the Primary Job Coordinator to be germane to the original contract and that the price is fair and reasonable. When changes in or modifications to the work become necessary, the Vendor shall submit an itemized cost for the work and shall include appropriate documentation to support the cost for the labor, material, and equipment. A fully executed contract change order, signed by both parties, must be in place for any contract changes to be effective.

Vendor acknowledges and agrees that compliance with this subsection in its entirety for the term of the contract and any renewals is a material requirement and condition of this contract. By executing this contract Vendor certifies compliance with this subsection in its entirety and is under a continuing obligation to remain in compliance and report any non-compliance.
This subsection, in its entirety, applies to subcontractors used on this contract. Vendor shall include these Standard Illinois Certifications in any subcontract used in the performance of the contract.
A contractor or subcontractor that has entered into a contract for more than one year in duration for the initial term or any renewal term shall certify, by January 1 of each fiscal year covered by the contract after the initial fiscal year, to the applicable chief procurement officer of any changes that affect its ability to satisfy the requirements of Article 50 of the Procurement Code pertaining to eligibility for contract award. If a contractor or subcontractor is not able to truthfully certify that it continues to meet all requirements, it shall provide with its Standard Illinois Certifications a detailed explanation of the circumstances leading to the change in certification status. If a contractor or subcontractor continues to meet all requirements of this Article, it shall not be required to submit any certification or if the work under the contract has been substantially completed before contract expiration, but the contract has not yet expired. If the Parties determine that any certification in this section is not applicable to this contract it may be stricken without affecting the remaining subsections.
1. As part of each certification, Vendor acknowledges and agrees that should Vendor or its subcontractors provide false information, or fail to be or remain in compliance with the Standard Illinois Certification requirements, one or more of the following sanctions will apply:

The legal entity must be authorized to transact business or conduct affairs in Illinois prior to execution of the contract. 30 ILCS 500/20-43.
5. For construction contracts subject to 30-20 and 33-10 of the Procurement Code, Vendor shall be registered with the Secretary of State as part of the pre-qualification process. 30 ILCS 500/20-43.
