NOTICE TO OFFERORS:
This Task Order RFP solicitation is for the Base Year, covering the 2012 performance period, under the multi-award fixed-price IDIQ NAIP contract. Prospective contractors are instructed to submit a single proposal in response to this task order solicitation and the contract solicitation AG-8447-S-12-0001. Proposals will be evaluated based on the combined response to both documents. Contracts will be awarded prior to award of any task orders. Task orders are the method by which project item areas are awarded. See Section L of the contract for proposal preparation instructions.
Proposals must be presented in two parts: a pricing proposal and a technical proposal. Two complete printed copies of the entire proposal are required. The pricing proposal shall contain two signed documents, the contract form SF-33 (page 1 of the IDIQ contract RFP), and the task order pricing proposal (pages 1-3 of the task order RFP). Please do not secure your proposal using a “plastic comb” or spiral type bindings, and limit the size to a maximum of 100 double-sided, letter sized pages (camera reports and documents may be placed in separate volume without page limitations).
Task order awards will be made based on procedures established in Section L-3, Paragraph 3.2 of the contract RFP.
Contractors proposing states with restricted airspace areas are required to provide detail explanations on how they plan on acquiring imagery in those areas. The explanation should include discussions on airspace clearance, possible DoD imagery review, alternate acquisition approaches, and potential impacts to delivery schedule.
Contractors are requested to identify in their technical proposals any prospective or known secondary contract requirements. If the requirement may add risk in completing this Task Order on time, please describe in your proposal how you plan on minimizing the risk. The Government expects all NAIP acquisition and delivery schedules to be on time and failure due to increased risk may be reason for terminating the contract for default.
PLEASE NOTE: The Government’s obligation under this task order RFP is contingent upon the availability of funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment, other than the minimum guaranteed amount, may arise until funds are made available to the Contracting Officer for all or part of the task order requirements. See Paragraph 4.4 of the task order.

NATIONAL AGRICULTURE IMAGERY PROGRAM
1.0
AERIAL PHOTOGRAPHY AND DIGITAL IMAGERY SERVICES
Furnish aerial photography and all related services and supplies in accordance with the requirements, specifications, terms, conditions, clauses, and provisions specified herein and in the original indefinite-delivery, indefinite-quantity (IDIQ) contract, effective for the periods stated in the schedule. The Government’s proposed project areas, quantities, and other parameters listed in Paragraphs 1.2, Proposed Project Item Areas and Quantities, and 2.1, General Requirements
, are subject to change through the negotiation process of selecting the “Best Value” source for task order award.
1.1
Pricing Proposal
In the spaces provided, please indicate your company’s name and authorized signature, quantities of digital orthoimagery quarter quadrangles (DOQQ) for imagery acquisition and digital image processing, unit prices, and extended total amounts consistent with the state(s) you are offering.

PRICING PROPOSAL INSTRUCTIONS:
Indicate the state(s) proposed in your offer in the table at Paragraph 1.2 below, and enter the cumulative values in the space provided above. Please ensure that the total amount can be calculated by multiplying the quantity times the average unit price. If your proposal includes adjoining states with the same photographic periods, duplicate DOQQs along the boundary will be eliminated from the total quantity during final task order award negotiations.
Please note that in the table at paragraph 1.2, each state has been prioritized (1=high to 3=lowest) to determine the order of awards based on final funding levels. A high priority state is likely to be considered for an award, where a low priority state may not. State priorities should be used for your proposal planning purposes. The Government reserves the right to select any state or area for award independent of the stated priority.

1.3
Delivery Schedule
All delivery materials required under the NAIP task order shall be delivered on or before the dates listed in the table below. DOQQ delivery dates are 30 days after the end of the acquisition period and CCM delivery dates are 45 days after the acquisition period. The Contractor shall maintain a copy of the digital data until APFO acknowledges receipt. The Government strongly encourages the Contractor to submit any/all DOQQs when available and not wait for a “complete set” prior to submission.
This incremental approach will allow the Government to inspect the data more efficiently and provide a timelier acceptance/rejection response to the Contractor.

Task Order Performance Period
The task order performance period for the acquisition and delivery of NAIP imagery in the Base Year 2012 is: Date of Award through December 31, 2012.
1.5
Photographic Periods
The photographic period for each project item area is listed in Paragraph 2.1, General Requirements. Several project item areas have multiple seasons (see Attachment 2, State Coverage Maps
, for detail information on multiple season dates). It shall be the Contractor’s responsibility to properly flight plan each area to acquire all imagery within the designated period.
2.0
PROJECT REQUIREMENTS
2.1
General Requirements
(a) The following task order deliverables shall be prepared and submitted by the Contractor:
(1) Quarter Quadrangle Image Tiles
(2) Compressed County Mosaics (CCMs)
(3) Accuracy and Quality Control Reports
(4) Progress Reports
(5) Metadata and other text files

(b) All materials shall be prepared in accordance with IDIQ contract specifications and work statement (Section C), packaging and marking (Section D), inspection and acceptance (Section E), and delivery schedule (Section F) requirements.
(c) A product warranty shall be provided on all deliverables in accordance with
Section I-8, Warranty of Supplies of a Noncomplex Nature of the contract.
2.2
Project Flight Planning
The contractor is responsible for all necessary flight planning, including, but not limited to determination of exposure locations, altitudes, and flight directions, required to acquire the imagery. See section C-5.2, Flight Planning of the contract.
2.3
Imagery Acquisition
Digital acquisitions require the Contractor to comply with the technical requirements and specifications of this contract, and Attachment A: Specification for Digital Camera Based Acquisition which defines the essential elements in securing high quality direct digital imagery. The digital system shall be a tested, stable, geometrically calibrated system with appropriate documentation, suitable for use in the acquisition and production of precision photogrammetric orthoimagery, and in accordance with NAIP contract requirements.
2.4
Priorities for Project Item Areas
The Contracting Officer or Contracting Officer Representative (COR) may direct, by written order, certain project item areas or regions within those areas listed under a Contract Award Item to be acquired in a priority order, weather and ground conditions permitting. All reasonable effort will be directed toward providing a schedule of operations favorable to both the Government and Contractor.

General Requirements
The Contractor shall provide digital ortho-rectified imagery in accordance with the requirements specified in the following table.

3.0
GOVERNMENT-FURNISHED PROPERTY
Pursuant to the Government-Furnished Property (GFP) clause (see Contract Section I-9, Clauses Incorporated by Reference) the Government shall furnish the items of property, in addition to items identified in the contract, listed below as GFP to the Contractor.

3.1
Metadata Template
The Contractor will be furnished upon award three (3) data text files (.txt) containing Federal Geographic Data Committee (FGDC) compliant metadata template to be used when creating the CCM metadata (as required in Section C-6.3(f)(1), Mosaic Metadata) and creating the county-based and state-based shapefile metadata (as required in paragraph 6.3(f)(3), Seamline Shapefile Metadata, and 6.2(h)(3), Metadata respectfully).
3.2 The Contractor will be furnished upon award one (1) Esri Required Coverage compatible shapefile containing the required contract coverage. The shapefile contains, at a minimum, the following attributes: USGS Geographic Name Information System (GNIS) quad name, latitude and longitude of the southeast corner (expressed in both decimal degrees and degrees, minutes, seconds), and UTM zone.
3.3
State Project Area – DOQQ List
The Contractor will be furnished upon award one (1) data text file (.txt) containing a list of all Digital Ortho Quarter Quadrangles (DOQQ) tiles required for complete physical coverage of that state project area. The data text file will contain quad name, quadrant, state, latitude and longitude of the SE corner of the quad, USGS quad number, NAPP station number, latitude and longitude of the quad center, USDA arckey number, flying height AGL (for reference only), and the native UTM zone. The following is a sample of the data:

3.4
Compressed County Mosaic (CCM) Coverage – DOQQ List
The Contractor will be furnished upon award one (1) data text file (.txt) containing a list of all DOQQ tiles required for the creation of the CCM coverage for each county in that state project. The data text file will contain the same information and same format as the state list above (paragraph 3.3, State Project Area – DOQQ List
). All CCMs shall be projected in the NAD83 UTM zone listed in this data file.

3.0 ADMINISTRATIVE MATTERS
3.1 Annual Representations and Certifications
Contractors shall complete electronic annual representations and certifications at http://orca.bpn.gov in conjunction with the required registration in the Central Contractor Registration (CCR) database. Contractors shall submit updates to the Online Representations and Certifications Application (ORCA) as necessary, but at least annually, to ensure they are kept current, accurate, and complete. The representations and certifications are effective until one year from the date of submission or update to ORCA. Please refer to Section K-1, Annual Representations and Certifications, FAR Clause 52.204-8 of the contract.
3.2 Small Business Subcontracting Plan
If applicable, all Contractors, except those certified as a small business concern, shall submit a subcontracting plan that separately addresses subcontracting with small business, veteran-owned small business, service-disabled veteran-owned small business, HUBZone small business concerns, small disadvantaged business and women owned small business concerns. The subcontracting plan shall be included and made a part of the resultant task order award and be negotiated with the Contracting Officer during the task order negotiation period. Failure to submit and negotiate the subcontracting plan shall make the offeror ineligible for award. Please refer to Section I-9, Clauses Incorporated by Reference, Small Business Subcontracting Plan, FAR Clause 52.219-09 of the contract.
3.3
Task Order Ombudsman
The Director of USDA-FSA-Aerial Photography Field Office shall serve as the Task Order Ombudsman and is responsible for reviewing complaints from the contractors and ensuring that all of the contractors are afforded a fair opportunity to be considered for task orders issued under this contract. The Task Order Ombudsman may be contacted at telephone (801) 844-2907, or mail to: Director, APFO, 2222 West 2300 South, Salt Lake City, UT 84119.
3.4 Availability of Funds (FAR 52.232-18, April 1984)
Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

Each offeror proposing to use a digital camera shall have on file with the Aerial Photography Field Office (APFO), or shall submit camera documentation for approval. Please refer to Contract Attachment A, Paragraph 4, Digital Camera Approval Requirements

CURRENT FINANCIAL STATEMENT
Offerors may be required to provide a "current" financial statement. For purposes of this solicitation, a current financial statement would be the most recent annual report, updated, if necessary, so that information reflects the company's financial status over the past 6 months.
All data shall be certified by an authorized company officer as to its accuracy and veracity or be validated by an independent certified public accountant. If necessary, the Contracting Officer may request additional financial information.
