I. INTRODUCTION

Agency/Office:

National Aeronautics and Space Administration (NASA) Kennedy Space Center (KSC) Location:

Kennedy Space Center, Florida Title:

Announcement for Proposals – Lease of vacant, undeveloped land in Exploration Park at Kennedy Space Center, Florida

A. Description This Announcement for Proposals (AFP) solicits proposals for the lease of land adjacent to Space Commerce Way (SCW) in Exploration Park at Kennedy Space Center, specifically SCW Parcel 3 and SCW Parcel 4 (the “Property”). The Property can be leased in whole or in part.

The Property in Exhibit A-Graphical Descriptions, is located within the boundaries of KSC.

SCW Parcel 3 is approximately 40 acres where access would stem off Space Commerce Way. The Property can accommodate multiple users performing concurrent, discrete activities. SCW Parcel 4 is approximately 130 acres where access could stem off State Road 3. The Property can accommodate multiple users performing concurrent, discrete activities.

Upon grant of a leasehold, the Property will be available for lease in “as is”, “where is” condition with no warranties express or implied for a twenty-year (20-year) base term with two five-year (5-year) options. During the Question-and-Answer (Q&A) Period, proposers may request alternate base or renewal terms based on their business model for NASA’s consideration if the NASA-proposed term is insufficient.

B. Purpose and Objectives KSC seeks to lease non-excess, underutilized land. As envisioned in the KSC Master Plan, NASA KSC seeks commercial industry entities (“Proposers”) interested in leasing and developing land in a manner that complements the KSC mission and that contributes to U.S. commercial competitiveness in activities related to space. The intent of this AFP does not include acquiring property or services for the direct benefit of or use by NASA or the Government.

NASA’s intent is to ensure fairness to all parties and to ensure best value to the Government in granting use of the Property in a manner that optimizes support for the

AFP-KSC-ExParkParcels3and4-2026 Page 3 of 20

Agency’s missions and objectives and the U.S. National Space Policy. The selected Proposer(s) will be given the opportunity to enter into a lease agreement with NASA in the form set out in Attachment A, Model Enhanced Use Lease (Model Lease), which will grant the selected Proposer sufficient rights to occupy, develop, operate, modify, and maintain the Property in order to support the selected Proposer’s proposed use. KSC demand or support services not otherwise reasonably available from the private sector, including technical services and utilities, may be provided by KSC with reimbursement by the tenant under a separate services agreement described herein.

The Government objectives for this AFP are to:

• Lease NASA land for development;

• Increase commercial access to space;

• Enhance U.S. commercial competitiveness in activities related to space and/or aerospace;

• Promote relationships that will build, expand, or modernize activities related to space and/or aerospace; and

• Diversify the user base and operations at KSC.

Proposals must include documentation supporting and enabling these objectives stated above. KSC supports NASA’s mandate to “seek and encourage, to the maximum extent possible, the fullest commercial use of space” as stated in 51 U.S.C. § 20112(a)(4).

NASA will not consider proposals for use of KSC land that do not contribute to enabling the Government objectives listed above in this AFP, including without limitation,

• Proposed uses that NASA deems incompatible with the current KSC Master Plan, NASA or KSC facility use policies, or existing environmental conditions;

• Proposed uses other than aerospace-related or space-related activities;

• Proposed uses that could negatively impact any NASA mission;

• Proposed transfer of title of NASA-owned land;

• Proposed residential uses; or

• Proposed uses that NASA, in its sole discretion, determines not to be in the best interest of the U.S. Government.

The Selection Official will consider the results of the evaluation and select a proposal. NASA reserves the right to select one, some, or none of the proposals received in response to this AFP. All respondents who submitted proposals will be notified of their selection status.

Upon selecting a potential proposal, NASA will send the potential selectee a draft lease in the form attached as the Model Lease and with blanks completed and exhibits finalized by NASA in reference to the particulars identified in the proposal and any Proposer-required modifications submitted during the Question-and-Answer Period which NASA accepted. If there are clerical corrections needed, Proposer will notify NASA in a timely manner, but NASA will not negotiate any further modifications to the Model Lease. At this time, the candidate Proposer may either sign and return the Lease or return it to NASA unsigned in which case the candidate Proposer will no longer be considered. At any point prior to the candidate Proposer signing the documents, NASA may choose to forego any further negotiations with the Proposer, and the candidate Proposer will no longer be considered. If candidate Proposer signs the Lease in a form agreed by NASA, then NASA will countersign. Selection will only be considered final upon execution of the lease by both parties.

Public announcement by any party will occur only after the Lease is signed by both parties. Any announcement prior to final signatures of all parties may result in NASA withdrawing the selection.

Prior to the execution of the Lease Agreement, the selectee will be required to execute the RSAA to have NASA perform environmental due diligence for the Property and prepare a Phase I Environmental Site Assessment. After execution of the Lease Agreement, the RSAA can be used to obtain demand services from NASA as more specifically set out in the Model Lease.

Execution of the Lease Agreement requires environmental analysis in accordance with the National Environmental Policy Act (42 U.S.C. §4321 et seq.).

Existing National Environmental Policy Act (NEPA) documentation, Space Commerce District Environmental Assessment, related to these parcels can be found at:

https://netspublic.grc.nasa.gov/EA_EIS_Documents.cfm?key=KSC.

The selectee may be required to conduct additional NEPA analysis and prepare additional NEPA documentation based on the selectee’s proposed site use and activities. The additional NEPA analysis and documentation must be completed prior to the execution of the Lease Agreement.

Following the execution of the Lease Agreement, the selected tenant will be required to execute an RSAA to obtain demand services from NASA as more specifically set out in the Lease Agreement.
