About this file

This is Addendum No. 2 to a Request for Proposal (RFP) issued by the West Virginia Parkways Authority (WVPA) for Energy Savings Performance Contracting (ESPC) Services (ARFP TPK26_01). The addendum publishes vendor questions and answers from both written submissions and a mandatory pre-bid meeting. The RFP was revised as of April 21, 2021. Vendors are required to acknowledge receipt of all addenda by completing and submitting the Addendum Acknowledgement Form with their bids; failure to acknowledge addenda may result in bid disqualification. The solicitation requires three proposal attachments: Attachment A (technical proposal questionnaire), Attachment B (measurement and verification methodology documentation), and Attachment C (cost proposal). No electronic submission is required.

Key clarifications from the questions and answers address several critical aspects of the project. WVPA has not conducted previous energy audits or preliminary assessments and will not provide such studies to the successful bidder; only utility expenditure summaries are available. The authority is open to any cost-effective energy conservation measures, including HVAC, lighting, controls, renewable energy, and geothermal systems, evaluated on technical merit and savings guarantee. The 5% bid bond must be calculated as 5% of total fixed-dollar amounts proposed in Attachment C, excluding line items priced as percentages of unburdened construction costs. WVPA is willing to consider various financing structures—including self-funded, lease-purchase, tax-exempt financing, and third-party Energy-as-a-Service models—provided they comply with West Virginia Code 5A-3B-2. The primary objective is guaranteed energy and operational cost savings; non-energy or deferred-maintenance measures will be considered only if directly supportive of energy savings and subject to negotiation. All measurement and verification must utilize IPMVP Option C (Whole Facility) as the primary methodology unless WVPA expressly approves an alternative in writing. Proposers may cross-reference other sections of their technical proposal when responding to Attachment A, provided responses remain clear and specific.

QUESTIONS AND ANSWERS

ARFP TPK2600000001

Energy Savings Performance Contracting Services

The following questions were submitted in writing and/or raised at the mandatory pre-bid meeting. To the extent a question raised at the pre-bid meeting duplicates a question previously answered in writing, the prior written answer remains unchanged and is incorporated by reference.

I. Written Questions and Answers Question 1: Have any previous preliminary assessments / capital plan studies / energy audits been done previously by WVPA staff or third-party companies? And if so, will these studies be made available to the successful bidder?

Answer: No previous preliminary assessments, capital plan studies, or formal third-party energy audits have been conducted by WVPA staff or outside consultants for the facilities included in this RFP. The only information being provided is the utility expenditure summary in RFP Section 1.7. No additional studies will be made available.

Question 2: Does WVPA have any specific technologies that they are interested in that they want to be considered in the project (ie Geothermal/Geoexchange, Solar, Resiliency/Generator/Battery Storage, etc.)?

Answer: WVPA does not have a pre-determined list of required or preferred technologies. Proposers are encouraged to evaluate and propose any cost-effective Energy Conservation Measures that deliver guaranteed savings, including but not limited to: HVAC, lighting, controls, building envelope, water/wastewater efficiency, renewable energy measures, geothermal systems, energy storage, and resiliency improvements, provided they are consistent with the performance-contracting requirements of West Virginia Code §5A-3B-2 and can be supported under IPMVP Option C. All proposed ECMs will be evaluated on their technical merit, savings guarantee, payback, and overall best value to WVPA.

Question 3: 5% Bid Bond: Since the Cost Proposal categories may be a Percentage of Unburdened Construction Costs (to be determined later by the successful bidder in the Investment Grade Audit stage), what Unburdened Construction Cost value should the bidder assume to determine the Bid Bond value, or should the Bid Bond be based on known fixed soft costs?

Answer: The 5% Bid Bond secures the Proposer’s commitment to the pricing structure submitted in Attachment C – Cost Sheet and to proceed with the Investment Grade Audit and execution of the Energy Savings Performance Contract at the proposed pricing bases.

Because Unburdened Construction Costs are not known at bid time and will be finalized during the post-award Investment Grade Audit, bidders shall calculate the Bid Bond as 5% of the total of all fixed-dollar amounts proposed in Attachment C.

Specifically:

Sum the “Amount / %” column only for those line items where the Proposer has designated the Pricing Basis as “fixed amount”.

Do not include any line items priced as a percentage of Unburdened Construction Cost, annual recurring amounts, or other bases.

No assumed Unburdened Construction Cost value is required or permitted for bid-bond purposes.

Question 4: Does the WVPA intend to fund or finance the Project or would be open to consider other 3rd party Energy-as-a-Service/Operating Expenditure models?

Answer: WVPA is a self-financed, toll-supported public authority. Consistent with RFP Section 1.1, the ESCO may propose self-funded, cash-funded, lease-purchase, tax-exempt financing, or other lawful financing structures. WVPA is open to considering innovative financing approaches, including third-party Energy-as-a-Service or Operating Expenditure models, provided they fully comply with West Virginia Code §5A-3B-2, WVPA’s fiscal control requirements, and all applicable public-procurement and debt limitations. Any proposed financing structure must be clearly described and will be evaluated as part of the overall best-value determination.

Question 5: Does WVPA anticipate adding any capital to the project to support non-energy related and deferred capital upgrades in the project?

Answer: The primary objective of this ESPC is guaranteed energy and operational cost savings. WVPA may consider limited non-energy-related or deferred-maintenance measures only if they are directly supportive of the energy savings measures, improve system reliability, or are otherwise demonstrated to be in the Authority’s best interest. Any such measures must be clearly identified, separately priced, and will be subject to negotiation during the Investment Grade Audit phase. There is no guarantee that WVPA will contribute additional capital; all costs must ultimately be covered by the guaranteed savings or other approved financing.

Question 6: How does WVPA want to handle individually metered sites with less than 10% reduction in energy and high variability, which makes Option C less reliable, but not impossible, to verify?

Answer: Per the Mandatory Requirements in RFP Section 4.3.3 and Attachment B, the ESPC must utilize IPMVP Option C (Whole Facility) as the primary Measurement and Verification methodology unless WVPA expressly approves another method in writing for a specific measure.

For any individually metered sites where savings fall below 10% or exhibit high variability, the successful ESCO shall:

Identify the issue during the Investment Grade Audit and propose appropriate baseline adjustments, normalization methods, or site-specific verification protocols in the M&V Plan.

Seek written approval from WVPA for any deviation from Option C on a measure-by-measure basis.

Ensure the overall project still meets the statutory minimum guaranteed net savings requirement.

Proposers should demonstrate in their technical response (Attachment A, Question 9) how they will address such sites while maintaining a robust, auditable guarantee.

II. Questions Raised at the Mandatory Pre-Bid Meeting

Question 7: I did want to confirm the submissions. It looked like a total of six total submissions required between the cost and the technical proposal portion of it. Any electronic expectation?

Answer: The required proposal attachments are Attachment A, Attachment B, and Attachment C.

Attachment A and Attachment B shall be submitted with the Technical Proposal. Attachment C shall be submitted as the Cost Proposal. No electronic submission is required for this solicitation. Please refer to the RFP for delivery instructions.

Question 8: In reference to Attachment A and the questionnaire portion of the response, is it acceptable to reference other sections of the Technical Proposal where the proposer has already addressed the applicable requirement?

Answer: Yes. A proposer may cross-reference other portions of its Technical Proposal in responding to Attachment A, provided the response is clear, specific, and easy for the evaluation committee to follow. Attachment A must still be completed, and the proposer remains responsible for ensuring that all required information is fully addressed and clearly identified within the submission.

Question 9: Is there any previous assessment or third-party study that has been done previously by WVPA or others?

Answer: See the answer to Question 1 above.

Question 10: Bid bond. Curious about that expectation without a firm bid price and cost, what would that look like? Any comments on that?

Answer: See the answer to Question 3 above.

Question 11: Is there any anticipation of using additional capital for non-energy items or deferred maintenance items that may need to be done at these sites?

Answer: See the answer to Question 5 above.
