About this file
This Addendum 2 to RFP-006-27 clarifies and modifies the occupational health services proposal issued by the Louisville Regional Airport Authority (LRAA) for operations at Louisville International Airport and Bowman Field. The addendum addresses questions and requested changes to the proposal documents and draft agreement, with all modifications incorporated into the original proposal materials. The anticipated service start date is September 1, 2026, and proposers must acknowledge receipt of this addendum no later than 2:00 PM EST on August 17, 2026. The contract term is three years with two optional one-year renewal periods available upon mutual consent. The scope of services includes pre-employment screenings, drug and alcohol testing, physical examinations, fitness-for-duty evaluations, workers' compensation case management, and return-to-work assessments for approximately 150 employees. The contractor must perform routine physicals within two days of request and ensure employees wait no longer than 30 minutes from scheduled appointment time to service commencement.
The Authority has accepted modifications to confidentiality requirements under HIPAA, scheduling and authorization processes, insurance requirements, compensation terms with automatic three percent annual increases, performance bonds, liquidated damages provisions, termination clauses, and medical records retention procedures. Insurance requirements include $1,000,000 in public liability coverage and $1,000,000 in professional liability (errors and omissions medical malpractice) coverage, with the Authority named as an additional insured. Liquidated damages are assessed at $100 per hour for failure to provide services within 30 minutes of scheduled appointments and $100 per hour for late submission of screening results, capped at eight hours per day. The Authority declined a proposed indemnification clause citing Kentucky constitutional restrictions on indemnifying third parties. The contractor will serve as custodian of medical records and must comply with all local, state, and federal retention requirements, with any retention beyond statutory requirements to be invoiced to the Authority.

Therefore, the Company acknowledges and agrees that if the Company refuses or fails to comply with certain requirements there shall be deductions from monies due to the Company, not as a penalty, but as agreed liquidated damages, in sums set forth herein:
a. Failure to perform services within thirty (30) minutes of any scheduled appointment times will result in deductions in the sum of $100.00 per hour of additional time awaiting service.
b. Failure to provide screening results to the Authority in the timeframes specified herein will result in deductions in the sum of $100 per hour, up to a maximum of eight hours per day.

v. Section XIII, Indemnification:
The Company shall, and shall cause any subcontractor to, assume responsibility for loss or damage to property or injury to persons resulting from, arising out of or associated with such subcontractor’s Services rendered pursuant to this Agreement, as well as for any claims made by or on behalf of such subcontractor’s agents, servants and employees arising out of their employment or work pertaining to the Services rendered pursuant to this Agreement. The Company shall, and shall cause any subcontractor at all times to indemnify and hold the Authority and its officers, agents and employees harmless from and against any and all liabilities, demands, claims, suits, losses, damages, cause of action, fines or judgments, including those reasonable and necessary costs, attorney and witness fees and expenses incidental thereto, arising out of, or in connection with the Services rendered under the terms of this Agreement, except to the extent arising out of negligence or willful misconduct of the Authority, its officers, agents or employees. It is the intent of the parties that, where the negligence or willful misconduct of the Authority, its officers, agents or employees, is determined to have been contributory, the principles of comparative negligence as applied by the courts of the Commonwealth of Kentucky to matters governed by the substantive law of the Commonwealth of Kentucky shall be followed and each party shall bear the proportionate cost of any loss, damage or liability attributable to its own negligence or misconduct. This Section shall survive the termination or expiration of this Agreement. The parties hereto shall promptly report to the other any such claim or suit against either of them.
