BIDDER QUESTIONS AND RESPONSES
Question Response
Will a complete set of truck related IPC docs (BOMs included) be made available to determine suppliers and part numbers?
Additional documentation
(“reference documents”) will be made available for review
(read-only) via MARC’s
SharePoint site. A signed Non-
Disclosure Affidavit is required to receive an authorization for access.
Although unlikely, what is the case when a frame or bolster is too far cracked or damaged to safely repair and re-use?
This would necessitate a change to the Scope of Work of the Contract.
If this situation occurs, it will be handled on a case-by-case basis.
What is the scope relative to Brake Units?
Brake Units will be removed from the trucks prior to shipment by MDOT MTA, and reinstalled on the overhauled trucks upon receipt by MDOT MTA. The
Contractor will not be performing any overhaul work on the Brake Units.
Will OEM specs be made available?
See response to Question #1
Can the weight of the trucks be confirmed?
Appendix 3: Truck Overhaul Scope of Work Section 2.1.E. This section notes that all cracks, damage, or signs of rust will be noted and reported to
MDOT MTA. The damaged areas shall be repaired or new parts will be welded as required. Please confirm that these repairs and others like them shall be costed against the Miscellaneous Work Allowance and are not part of the standard pricing provided.
Damage requiring component replacement not mentioned in the Scope of Work will be considered Miscellaneous
Work. Normal wear or surface corrosion are not considered
Miscellaneous Work.
Appendix 3: Truck Overhaul Scope of Work Section 2.1.F. This section notes that after inspection and repair any areas of missing paint shall be painted. Please confirm that ONLY the areas missing paint shall be painted.
Any areas of missing paint shall be painted.
Appendix 3: Truck Overhaul Scope of Work Section 2.1.F. Please confirm the existing truck paint color via RAL or other recognizable system for color determination.
Addendum 1 MRC-23-022-MT Page 3 of 6
Appendix 3: Truck Overhaul Scope of Work Section 2.3.1.E. This notes that all springs (inner and outer) are to be replaced with new. However, Section 1.1.A notes that the springs will be free-issued from MARC. Please confirm that MARC will indeed free-issue the springs and they are not to be supplied by the truck overhauler. Please further confirm that after a truck completes Stage 1, when the truck is overhauled during Stage 2, the springs
(installed in Stage 1) shall be reused at that time.
All Primary Suspension
Springs on all trucks will be replaced with new during
Stage 1. Primary Suspension
Springs will be free-issued by
MARC. The Primary
Suspension Springs will not be replaced during Stage 2.
Appendix 3: Truck Overhaul Scope of Work Section 2.3.1.E. Since springs are free-issued from MARC for this project, please confirm that the springs shall already be color coded.
The Primary Suspension
Springs will be color-coded from the manufacturer.
Appendix 3: Truck Overhaul Scope of Work Section 2.4.2.B.4. Please confirm the existing bolster paint color via RAL or other recognizable system for color determination.
See response to Question #1
Appendix 3: Truck Overhaul Scope of Work Section 2.4.2.E. In regard to this section, can the contractor deliver all of the Secondary Suspension
Lateral Shock Absorbers for the entire project in one delivery as opposed to delivering it with every truck delivery?
The secondary suspension lateral shock absorbers will be delivered with the overhauled truck and packed separately for installation when the truck is installed on a vehicle
General Clarification: Please confirm that any section of the technical specifications which notes that repairs will be made as required or as noted will be invoiced against the Miscellaneous Work Allowance and are NOT part of the standard overhaul price provided by the contractor. If not, please identify the specific sections of the technical specifications where the
Miscellaneous Work Allowance applies and every section where it does not.
Damage requiring component replacement not mentioned in the Scope of Work will be considered Miscellaneous

Addendum 1 MRC-23-022-MT Page 5 of 6
Limitations of Liability
Article 29: As written, the Contractor's liability would be uncapped, and consequential damages are not excluded. This represents an unacceptable level of risk. We propose Article 29.1. b and c be edited and new clause
29.4 be added as follows :
(b) Without limitation for damages for bodily injury (including death) and damage to third party real property and tangible personal property subject to Contractor's indemnity obligations; and
(c) For all other claims, damages, loss, costs, expenses, suits or actions in any way related to this Contract and regardless of the basis on which the claim is made, Contractor’s total aggregate liability whether based upon contract, tort (including negligence and strict liability) or otherwise, shall be unlimited to one hundred percent (100%) of the total Contract value.
29.4 All claims by the State against the Contractor arising under the
Contract shall be brought within three (3) years after the end of the warranty under this Contract. Notwithstanding any other provision of this
Contract, Contractor shall not be liable to the State for loss of profit, loss of subsidy, loss of production, loss of any tax benefit, financing costs, or for any financial or economic loss or for any indirect or consequential damage or loss whatsoever that may be suffered by the State, or any third party.
No changes will be made to the IFB/Contract.
Indemnity
Art. 10.1 Will the State consider limiting indemnity obligations to third party claims arising from Contractor's negligence in performance of the work? Edits as follows:
10.1. At its sole cost and expense, Contractor shall (i) indemnify and hold the State, its employees and agents harmless from and against any and all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited to attorneys’ fees and costs), whether or not involving a arising from third party claims, which arise out of or relate to the Contractor’s, or any of its subcontractors’, negligent performance of this Contract and (ii) cooperate, assist, and consult with the State in the defense or investigation of any such claim, demand, action or suit. Contractor shall not enter into any settlement involving third party claims that contains any admission of or stipulation to any guilt, fault, liability or wrongdoing by the State or that adversely affects the State’s rights or interests, without the State’s prior written consent.
No changes will be made to the IFB/Contract.
Assignment
28. Would the State consider modifying the assignment provision as follows (add as second full sentence): "Notwithstanding the foregoing, the Contractor is permitted to assign the Contract to a related affiliate with sufficient resources and financial capabilities, or parent company, without consent but with written notice to the State."
No changes will be made to the IFB/Contract.
Delays and Extensions of Time
19.1, The current wording makes Contractor bear all costs for delays including if there are delays or actions of the State. Would the State consider revising 19.1 follows: "The Contractor agrees to prosecute the work continuously and diligently and no charges or claims for damages shall be made by it for any delays or hindrances from any cause whatsoever during the progress of any portion of the work specified in this Contract unless such delays impact Contractor's critical path and are
No changes will be made to the IFB/Contract.
Addendum 1 MRC-23-022-MT Page 6 of 6 due to actions or omissions of the State or its agents and the State has been advised in advance of Contractor's schedule requirements."
19.2, Would the state please make clear that delays from hidden damage that are accounted for as Miscellaneous Work are also an excusable delay by adding to the end of 19.2: "Excusable delays shall also include any delays resulting from Contractor's discovery of hidden damage that is not covered under the scope of work and is addressed under the
Miscellaneous Work Allowance."
Compliance with Laws
26.c Contractor should not bear the risk of changes in law as this is a fixed price contract with a long period of performance (i.e. 5 year term).
Would the state please add to 26 " Any changes to federal, State and local laws, regulations, and ordinances applicable to Contractor's activities and obligations after Notice of Award shall entitle Contractor to a change order to the extent such change causes an increase in the
Contractor’s cost of, or the time required for, the performance of any part of the work."
No changes will be made to the IFB/Contract.
Warranty
Contractor requests clarity of its warranty obligations in order to price accordingly. Would the state consider editing Appendix 3, Section 8 as follows:
8.8 The rights and remedies of the Department under this Section are not intended to be exclusive and shall not preclude the exercise of any other rights or remedies provided for in this Contract, or by law or otherwise.
Notwithstanding the foregoing, the warranties in this section 8 are the exclusive warranties that apply and ALL OTHER EXPRESS, IMPLIED
OR STATUTORY WARRANTIES INCLUDING
MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE, ARE HERBY DISCLAIMED.
No changes will be made to the IFB/Contract.
Consideration and Payment
Art. 4 Given the long period of performance and inflation, would the
State consider including a price escalation formula for a contract price adjustment?
No changes will be made to the IFB/Contract.
Consideration and Final Acceptance
A Conditional Acceptance is usually a milestone used for fleet overhaul.
Since there is a 30-calendar day revenue service condition for its approval, would the State agree to remove this requirement and instead perform a Final Acceptance upon the reception of the truck at MARC's facility.
No changes will be made to the IFB/Contract.
The pre-bid agenda, pre-bid attendee list, and the NDA form follow on the next page.

I, _________________________, as an officer or employee of
[Name of Company]
(hereinafter, the Company), hereby consent to the terms and conditions of the Non-Disclosure Agreement
(hereinafter, Agreement) in consideration of my being granted conditional access to certain documents or material containing sensitive security information (hereinafter, SSI) in the course of, and during the implementation of, a security program related activity.
I understand and agree to the following terms and conditions:
1. By being granted conditional access to SSI, special confidence and trust has been placed in me and I am obligated to protect this information from unauthorized disclosure, in accordance with the terms of this Agreement and any applicable federal or state law concerning the handling of SSI.

Any category or categories of state promulgated information matching the general description of federally defined SSI information shall be treated as SSI information.
3. Based on the Maryland Department of Transportation Maryland Transit Administration (hereinafter, MDOT MTA), determination that I have a security-related need to know, I am being granted conditional access to SSI contingent upon my execution of this Agreement for the sole purpose of
Preparing a Bid (hereinafter, Project). This approval will permit me to have conditional access to certain SSI, including but not limited to PROJECT PLANS AND SPECIFICATIONS FOR THE
PROJECT and/or to attend meetings in which such information is discussed or otherwise made available to me. This Agreement will not allow me to have access to materials the MTA has determined, in its sole discretion, are inappropriate for disclosure pursuant to this Agreement. This may include sensitive, but unclassified information provided to the MDOT MTA by other State of
Maryland agencies and the United States Government, or any other SSI that I do not have a security-related need to know. This conditional access is a non-transferable privilege.

Failure to take adequate protective measures is a violation of this Agreement.
7. If I violate the terms and conditions of this Agreement, such violation may result in the cancellation of my conditional access to SSI, and may result in the cancellation of any existing agreements between me and the State of Maryland. The State of Maryland reserves the right to take any other enforcement or corrective action deemed necessary. This may serve as a basis for denying me conditional access to other State of Maryland and United States Government information, both classified and sensitive information in the future. If I violate the terms and conditions of this
Agreement, the United States may institute a civil penalty against me pursuant to 49 U.S.C. 46301, 49
CFR Part 15, and 49 CFR Part 1,520 or take other enforcement or corrective action.
8. Unless and until I am provided a written release by the MDOT MTA from this Agreement or any portion of it, all conditions and obligations contained in this Agreement apply both during my period of conditional access, which shall terminate at the conclusion of my work under this Project specified above in paragraph 3 and at all times thereafter.
9. Each provision of this Agreement is severable. If any administrative or judicial tribunal should find any provision of this Agreement to be unenforceable, all other provisions shall remain in full force and effect.
10. I understand that the State of Maryland and/or United States Government may seek any remedy available to it to enforce this Agreement, including, but not limited to, application for a court order prohibiting disclosure of information in breach of this Agreement, imposition of civil penalties, and any other enforcement or corrective action.
11. By granting me conditional access to information in this context, the State of Maryland and United
States Government does not waive any statutory or common law evidentiary privileges or protections that it may assert in any administrative or court proceeding to protect any SSI to which I have been given conditional access under the terms of this Agreement.
12. Section 783(b)). The definitions, requirements, obligations, rights, sanctions and liabilities created by said Executive Order and listed statutes are incorporated into this Agreement and supersede this
Agreement to the extent of any conflict.
13. My execution of this Agreement shall not nullify or effect in any manner any other secrecy or nondisclosure Agreement which I have executed or may execute with the State of Maryland and
United States Government.
14. The MDOT MTA may, from time to time, make inquiry about your use of SSI, including dissemination of SSI and measures to protect SSI. I understand that I have a duty under this
