About this file
This Addendum 1 document issued by Brevard County, Florida's Purchasing Services addresses clarifications to RFP#1-26-04 for Disclosure Counsel Services, issued January 12, 2026. The addendum confirms that the County will accept digital signatures on required forms, provide confirmation of submittal package receipt, and allows the Certificate of Corporate Officer form to be marked as not applicable or revised to accommodate non-Florida corporate structures, such as Delaware limited liability partnerships. The County maintains its preference that the Professional Fee Structure form not be modified to ensure consistent evaluation and weighted scoring across all responding firms. The proposal opening date and time remain unchanged at January 15, 2026, no later than 4:00 p.m., and all other terms and conditions of the original RFP remain in effect.
The addendum does not introduce new pricing terms, set-asides, or funding requirements beyond what was established in the original RFP. It serves primarily as a procedural clarification document addressing questions from prospective contractors regarding submission format, signature authority, and form customization. These clarifications facilitate compliance for law firms with varying corporate structures while maintaining the County's ability to objectively evaluate pricing and qualifications across all proposals received by the deadline.

DISCLOSURE COUNSEL
RFP#1-26-04
January 12, 2026 Addendum 1
TO ALL PROSPECTIVE CONTRACTORS
This is an Addendum to and shall be considered as part of the original Proposal package for the above-mentioned Proposal. Contractors are requested to acknowledge receipt of this Addendum with their Proposal.
CLARIFICATION TO QUESTIONS ASKED RECEIVED:
1. Will the County accept digital signatures on the required forms?
Yes.
2. Section E., Introduction and Submittal Information states three (3) hard copies and one (1) electronic copy on USB flash drive must be submitted. Is it possible for Purchasing Services to confirm receipt of the submittal package?
Yes.
3. Are we able to modify the proposed Professional Fee Structure form (Item III.
and Tab 5) to include a minimum flat fee and a maximum fee?
We prefer that the Price Sheet not be modified in order to evaluate all pricing and assign a weighted score to each firm.
4. Regarding the Certificate of Corporate Officer form (Tab 6), Butler Snow LLP is a Delaware limited liability partnership and does not require the adoption of a resolution by its board to authorize the execution of the proposed Contract. However, if the form is required, we would need to revise the form to be consistent with our corporate structure as the form is set up for a corporation incorporated under the laws of the State of Florida. Are we able to indicate that this certificate is not applicable, or, in the alternative, revise the form?
Yes.

All other terms and conditions remain unchanged.
