BPA TERMS AND CONDITIONS
1. AUTHORITY: This Blanket Purchase Agreement (BPA) is entered into under the authority of 10 USC (S) 2304 and the Federal Acquisition Regulation Part 13.303.
2. DESCRIPTION OF AGREEMENT: The purpose of the BPA is to provide the types of ammunition as detailed within the Specification sheet and Price List document which will used exclusively by the PFPA for firearms training and for issuing to PFPA law enforcement officers and agents as outlined in PFPA regulations. The projected agreement will include a 5-year ordering period. This BPA provides for the award of individual orders, defined hereinafter as "Calls," to assist with the delivery of items stated above for the Pentagon Force Protection Agency (PFPA). All BPA administration will be affected by the Contracting Officer (CO). Communications pertaining to contract administration will be addressed to the CO.
No changes to the agreement are authorized without a written modification to the BPA executed by the CO. The parties agree that the Terms and Conditions set forth in this BPA and those set forth in individual/call orders shall govern performance on that order.
3. EXTEND OF OBLIGATION: The Government is obligated only to the extent of authorized purchases made under the BPA. Funds will be obligated on individual calls placed against the BPA. In accordance with FAR 16.702(c), no monetary obligation in the form of a minimum guarantee or otherwise will be made with the establishment of the BPA. The Government reserves the right to cancel this BPA at any time. It is bound only to the extent the vendor must be given thirty (30) days' written notification before exercising this right.
4. AUTHORIZED BPA USERS/CALLERS: The principal users of the BPA will be the Pentagon Force Protection Agency.
5. PURCHASE LIMITATION: This BPA will have a 5-ordering period from the time of agreement. The combined value of all Calls (Master BPA Limit) issued under this BPA will not exceed $2,000,000.00. Unless otherwise identified, each individual Call shall not exceed $350,000.00. No additional Calls must be issued should the combined value of all Calls exceed $2,000,000.00 unless the agreement is modified.
6. DELIVERY TICKETS: The vendor shall ensure all shipments under the Agreement are accompanied by delivery tickets that shall contain the following minimum information:
a) Name of the Supplier
b) BPA Number - Call Number
c) Date of Purchase
d) Itemized list of supplies furnished
e) Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems if the invoice is itemized to show this information).
f) Date of Delivery or Shipment
7. INVOICES: An itemized invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received. These invoices need not be supported by copies of the delivery ticket(s).
The requirements of a proper invoice are as specified in FAR 52.212-4. The full text of this clause can be found at the website https://acquisition.gov.
In addition, the reseller shall follow the terms of DFARS 252.232-7003, Electronic Submission of Payment Requests, and Receiving Reports. The reseller shall submit an original invoice through Wide Area Workflow (WAWF) in accordance with the order instructions. Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

9. ISSUANCE OF CALLS: Calls will be issued to the BPA ordering vehicle solely by the WHS/AD using the prices listed in the Specification Sheet & Price List document. The ordering CO will ensure compliance with all rules and regulations. The WHS will provide each Call via email and awarded per the procedures described herein when a Call order is required. There will be no solicitation issuance. Call orders will be placed based on the negotiated prices set forth at the time of the agreement. Each Call order shall be binding, issued on an SF1449, and accepted by the contractor.
10. OBLIGATION OF FUNDS: Funds will be obligated on individual Call order placed against the respective BPA. In accordance with FAR 13.303-3(a)(2), the Government is obligated only to the extent of authorized purchases made under the BPA.
11. PRICING: Prices to the Government are in accordance with Specification Sheet & Price List document submitted by the vendor and approved by the CO. The prices on the BPA will be reviewed annually in accordance with FAR 13.303-6. The contractor must submit a revised price list for any price changes or new items added during the ordering period, with a 5-calendar day grace period for submission.
Prices shall not escalate during the term of the BPA. The Government reserves the right to add new products to the BPA during the term of this agreement. Suppose any products are discontinued, improved, and replaced at any time during the ordering period of this BPA. In that case, the vendor shall provide the proposed new price or a new item, and a new price list must be submitted. Please allow up to 5-calendar day grace period between submissions of the new price list, if any.
12. CALL ORDER MODIFICATIONS: The technical contact from the requiring activity or the vendor may recommend a change to Call orders.
The CO will address such changes via modification at the Call order level. Modifications are necessary if there is a change in the current order or delivery schedule. New Call orders may only be placed if approved by the CO. The vendor may offer voluntary price reductions for previously approved items without written approval. The invoice shall show the reductions as "VPR" (Voluntary Price Reduction).

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) Definitions. As used in this clause-
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall-
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in

(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.
(ii) For fixed price line items-
(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(d) Inspection/Acceptance. The Contractor shall tender for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. The Government must exercise its postacceptance rights-
(1) Within a reasonable period of time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(e) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence, such as acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers.
