About this file

This is a Sole Source Justification for the acquisition of non-personal custodial services under Federal Acquisition Regulation (FAR) 12 for commercial products and services.

The Department of Defense, Washington Headquarters Services Acquisition Directorate is procuring custodial services on behalf of the Defense Security Cooperation Agency (DSCA) and Defense Security Cooperation University (DSCU) for Building 52 at Wright Patterson Air Force Base (WPAFB) in Ohio. This is a follow-on action to ensure continuity of services during a transitional period while custodial services are being incorporated into the master tenant lease agreement between DSCU and WPAFB. The contractor shall provide all management, tools, equipment, and labor necessary to maintain clean, neat, and professional environments for DSCU offices and classrooms in accordance with the Performance Work Statement and applicable commercial and legal standards. The performance periods are: Base Period from 30 March 2026 to 29 September 2026; Option Period I from 30 September 2026 to 29 March 2027; and Base plus All Options extending through 29 March 2027.

The justification for sole source award to Starlight Corporation is based on three key factors: (1) the transitional period to insourcing requires temporary continuity while administrative changes to the lease agreement are finalized; (2) the incumbent contractor is the only vendor capable of guaranteeing seamless service continuation without operational disruption; and (3) Starlight Corporation uniquely possesses active security credentials, base access, and personnel vetting at WPAFB, while any new vendor would face significant unavoidable delays completing security requirements that would exceed the time available before contract expiration and result in a service gap. The Contracting Officer will determine fair and reasonable pricing using historical pricing analysis and comparison to an Independent Government Cost Estimate, with Certified Cost and Pricing Data not required as the acquisition does not meet the statutory threshold.

5. REASON FOR AUTHORITY CITED: Only one source is reasonably available to satisfy the agency's short-term requirements without causing an unacceptable delay and a break in essential services. The unique circumstances are as follows:

Transitional Period to Insourcing to Tenant Agreement: DSCU and WPAFB are actively working to incorporate these custodial services into the master tenant lease agreement. This procurement serves temporary measure to prevent a service lapse while the administrative changes to the existing lease agreement is finalized.

Urgent Need for Continuity: A lapse in custodial services would negatively impact the operational readiness and professional environment of the DSCU mission. The incumbent contractor, Starlight Corporation, is the only vendor capable of guaranteeing seamless continuation of service.

Unique Qualifications of the Incumbent: Starlight Corporation is the only contractor that currently possesses the required, active security credentials, base, and building access for its personnel at WPAFB. A new vendor would face a significant and unavoidable delay to complete the necessary vetting and access requirements, which would exceed the time available before the current contract expires and result in a service gap.

6. EFFORTS TO OBTAIN COMPETITION:

The competitive acquisition process would introduce unacceptable delays and administrative burdens that are not in the Government’s best interest and would directly result in a lapse of service.

7. FAIR AND REASONABLE COST DETERMINATION: The Contracting Officer will determine the anticipated cost to be fair and reasonable in accordance with FAR 15.404-1(b). An analysis of the proposed pricing will be conducted, referencing historical pricing for the same services and comparing it to the Independent Government Cost Estimate (IGCE). Certified Cost and Pricing Data will not be required as the acquisition does not meet the statutory threshold.

8. MARKET RESEARCH: Market research determined that custodial services are commercial in nature. However, for this specific short-term requirement, the incumbent is the only viable source capable of meeting the need for uninterrupted service. Research confirmed that WPAFB is not a mandatory location for an AbilityOne provider for this service.

9. ANY OTHER FACTS SUPPORTING THE USE OF SOLE SOURCE: The efforts to incorporate the custodial service requirement into the WPAFB tenant agreement is actively underway but has not concluded due to standard administrative processing timelines. This follow-on action is essential to ensure continuity of services while the Government finalizes the insourcing process with WPAFB.

10. INTERESTED SOURCES: For the purposes of this specific short-term requirement, the pool of interested and viable sources is limited to the incumbent, Starlight Corporation. Any other vendor would require a significant ramp-up period to secure the necessary personnel vetting, security clearances, and base access. This administrative lead time introduces an unacceptable risk of a service gap between the expiration of the current contract and the start of a new one. Therefore, it is in the Government's best interest to limit this procurement to the only source that can mitigate this risk.

11. ACTIONS TO INCREASE COMPETITION: This sole source action is not a barrier to future competition; rather, it facilitates a transition away from stand-alone contracts entirely. The Government's primary course of action is to successfully integrate this requirement into the WPAFB tenant lease agreement. Should this insourcing effort not be finalized by the end of the option period, DSCU will initiate a full and open competitive acquisition for any subsequent, long-term requirements.

Is this acquisition for a non-competitive follow-on acquisition previously awarded on a non-competitive basis?

Yes. A copy of the previous justification is attached. The actions to remove any barriers to competition cited on the previous justification were were not completed for the following reason:

No. The original acquisition was conducted on a competitive basis.

Not Applicable. This is a new requirement.
