STATEMENT OF WORK (SOW)

PERSONAL LOAN AND CREDIT CARD DATA

COMBINED SYNOPSIS/SOLICITATION

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

This solicitation is being issued as a Request for Proposal (RFP) under 9531CB22R0006.

The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular FAC 2022-05.

The NAICS Code for this procurement is 561450 – Credit Bureaus.

1. BACKGROUND

The Consumer Financial Protection Bureau (CFPB or Bureau) actively conducts research in support of the Bureau’s mission to protect consumers. To better assist in those efforts, the Research, Markets, and Regulations (RMR) Division seeks to acquire personal loan and credit card data.

2. SCOPE

The Bureau would like to retain detailed, nationwide information on consumer personal lending and credit card. The vendor shall provide the Bureau with trended, long-term data on originations, outstanding loan balances, and delinquency rates, split by credit risk tier and originating entity type. Staff throughout the Bureau will use the data on a recurring basis to produce market intelligence products on consumer credit trends, small dollar lending, and credit cards.

3. REQUIREMENTS

The Contractor’s deliverable product must be accessible by CFPB staff at headquarters at 1700 G St. NW, Washington, DC and by Bureau field staff.

Contractor’s deliverable product must provide:

• Aggregated credit reporting tradeline data of individuals in the United States containing originations, outstandings, and delinquencies for unsecured personal loans.

o Specifically at least the four quantitative fields:

Total dollars originated Total originated loans Total dollars outstanding Total dollars delinquent (30-day, 60-day, 90-day)

• Data segmented by credit risk tier

• Data segmented by entity type, including categories for fintech lending, large banks, other banks, and credit unions

• At least five years quarterly historical data

• Aggregated data must be provided in format analyzable in Excel as well as in-application visual functionality (i.e. Credit Trends graphs)

The contractor must grant the CFPB the right to retain product materials received during the contract period following the expiration of the contract. The contractor must grant the CFPB the right to reference data points and findings derived from the product in publicly distributed material, such as reports to Congress or white papers. The CFPB is not required to provide advance notice or to request permission for referencing these findings. Any data license agreement provided by the offeror or with its proposal must provide at least the rights specified above.

4. DELIVERABLES

The following deliverables are required and shall be submitted to the Contracting Officer’s Representative (COR). The Contractor shall ensure all deliverables are clear, concise, technically accurate, well-organized, properly referenced, and complete by the appropriate due dates.

5. ANALYTICAL, TECHNICAL AND ADMINISTRATIVE SUPPORT

REQUIREMENTS

Support for users of the dataset shall be provided throughout the course of the contract. The contractor shall provide a single point of contact for technical and administrative questions (e.g.

relating to the transfer of data). The contractor shall provide a single point of contact for analytical questions (e.g. relating to the representativeness of a segment of loans). This point of contact may be the same as the technical point of contact provided that that person is qualified to handle both types of issues. The contractor shall provide, at a minimum, a response time of two business days or less.

6. The following Government Use Rights must be provided by the vendor at a minimum:

• Right to reference use of the dataset in publications and other public communications using the data is provided during the time period of the contract and for a period of five years after the base period or last exercised option year, which ever is later; Right to archive and continue using the data for any Work Product that existed at the time of the expiration of the contract.

(“Existing Work

Product”), for a period of five years after the base period or last exercised option year, whichever is later. The Existing Work Product includes Work Product that, by the conclusion of the base year or last exercised option year:

i. Has appeared in public, including: submitted to a conference, submitted to a journal, appeared on the Bureau’s own website, published on the SSRN, including CFPB office of research working paper series OR

ii. Had been drafted for internal memo, data report to CFPB executives, other internal CFPB publication, or entered the Bureau’s internal review process for external and internal publication

• Right to merge the data with all other datasets without affecting any CFPB usage or publication rights is provided

• “Government,” for purposes of Government Use, includes the CFPB, CFPB employees, and CFPB contractors with a business need to access the data in order to perform necessary analysis.

8. PLACE OF PERFORMANCE

The work shall be performed at the Contractor’s facilities.

9. TYPE OF CONTRACT

This will be a Firm Fixed Price Contract.

10. QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)

The Contracting Officer’s Representative (COR) will summarize the document the Contractor’s performance in the categories listed below (evaluation based on meeting the requirements of this

SOW):

Quality of Service Timeliness of Data Provided

Surveillance method. Random Evaluation. This method employs a “spot check” style of evaluation and may be adjusted base on quality trends. The Government retains the right to inspect all requirements of the contract. Unacceptable performance will be recorded, and the Contractor shall be required to correct the unacceptable condition within a 24-hour time period.

If the Contractor does not correct the unacceptable condition within 24-hours, the COR will notify the Contracting Officer who will take appropriate administrative action for unacceptable performance. When an observation indicates defective performance, the COR will require the Contractor to initial the observation. The initialing of the observation does not constitute concurrence with the observation, it only indicates acknowledgement that the Contractor has been made aware of a potentially defective performance.

11. FAR 52.212- 1 INSTRUCTIONS TO OFFERORS - COMMERCIAL ITEMS

(JAN 2017)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition is 561450 – Credit Bureaus.

(b) Submission of offers. Offerors must submit their proposal via email to patrick.sisk@cfpb.gov no later than 5:00 p.m. EST on June 26, with any vendor questions due June 10, 2022 at 12:00 p.m. EST. Offers may be submitted on letterhead stationery, or as otherwise specified in the solicitation. As a minimum, proposals must show --

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A description of the offeror’s ability to meet the minimum Government requirements to include all of those in Section 3;

(5) Price in accordance with Attachment 2;

(6) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(7) Acknowledgment of Solicitation Amendments;

(8) Include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation.

(2)

(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(e) Contract award. The Government intends to evaluate offers and award a contract to the Low Price Technically Acceptable (LPTA) offeror without discussions. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint.

However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(f) Unique entity identifier. The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(g) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.

Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(h) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The overall evaluated price of the successful and debriefed offeror.

(2) A summary of rationale for award;

(3) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

12. FAR 52.212-2 EVALUATION -- COMMERCIAL ITEMS (NOV 2021)

(a) Lowest Price Technically Qualified: The Government intends to award a Firm Fixed Price contract to the responsible vendor whose proposal, while conforming to the solicitation, is most advantageous to the Government using Lowest Price Technically Qualified competitive procedures. The determination of “most advantageous” will be based on the technically acceptable proposal that offers the lowest price among those proposals submitted and offers a fair and reasonable price. “Technical Qualification” will be determined solely based on the vendor’s ability to satisfy all the Government requirements. Proposals that do not meet all the requirements specified will not be considered for award.

The following technical factors shall be used to evaluate offers:

Price - To be considered for award, the Offeror must provide completed Rate Tables in accordance with Attachment 2 of this solicitation. The Lowest priced offeror will be determined based upon the Total Evaluated Price as provided in the completed Attachment 2.

The Total Evaluated Price, consisting of the total proposed in the base and each option year, will be evaluated for realism and reasonableness.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

13. TECHNICAL EVALUATION RATING SCALE.

The Government will assess each of the proposals against the solicitation using the following ratings:

Technical Qualification.

Qualified The quote meets all minimum requirements of the

RFQ.

Unacceptable The quote fails to meet one or more of the minimum requirements identified in the RFQ.

Technical Quotes with an “Unacceptable” rating will not be considered for award.

Technical Quotes must meet all technical requirements in order to earn an “Qualified” rating. Only those Quotes determined technically qualified will be considered for award.

14. FAR 52.212-3 OFFEROR REPRESENTATIONS AND

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
