PART IV - REPRESENTATIONS AND INSTRUCTIONS

SECTION M EVALUATION FACTORS FOR AWARD

14. DESCRIPTION OF AMENDMENT/MODIFICATION (CONTINUED):

(a) The purpose of this amendment is to remove the hyperlink URL forwarding function for proposal submission and proposal submission instructions as reflected in Section L provision “Electronic Submission of Proposals – Proposal Marking and Delivery Through NASA’s EFSS Box.” Offerors shall copy and paste the URL directly into a browser to ensure full functionality. Please note that the revised submission link also references the FY25 solicitation number. This amendment replaces the Request for Proposal (RFP) in its entirety in order to both provide the updated links in the referenced provision and reflect Amendment P00003 in the header of each solicitation page.

(b) Failure by the offeror to acknowledge receipt of this amendment either on the Standard Form 1449, Solicitation/Contract/Order for Commercial Products and Commercial Services, SF30, Amendment of Solicitation/Modification of Contract, or transmittal letter by the due date for receipt of proposals may result in a determination that the proposal is unacceptable and therefore ineligible for award.

(c) All other terms and conditions of RFP 80MSFC25R0004 remain unchanged.

(End of clause) MSFC 52.216-91 SUPPLIES AND/OR SERVICES TO BE PROVIDED AND TYPE OF CONTRACT (JUN 2017)

(a) The contractor shall provide all resources (except as may be expressly stated in the contract as furnished by the Government) necessary to perform and/or deliver the services in accordance with Attachment J-1, Performance Work Statement (PWS).

(b) This is a single-award indefinite-delivery, indefinite-quantity (IDIQ) contract with cost-plus-award-fee (CPAF) task orders (TOs). The contract will have the option to transition from CPAF to cost-plus-fixed-fee (CPFF) TOs and the option to transition back to CPAF TOs if appropriate. This option exists on a contract year basis. However, the use of CPAF TOs will occur for no less than the first 11 months of the Base Ordering Period. A transition to CPFF would only be performed if the contractor demonstrates a firm understanding of the unique technical requirements and achieves sufficient history of sustained excellent performance. The option to transition back to CPAF will be included in order to preserve the Government’s ability to return to the full CPAF evaluation process to address poor contractor performance. Additionally, award fee performance will be evaluated in accordance with Attachment J-15, Award Fee Performance Evaluation Plan. Clauses delineated in this contract are applicable as appropriate specific to the type of TO awarded. Center-specific clauses delineated elsewhere in this contract will apply to TO efforts performed at the specified center. CLIN 001 for the phase-in period is firm-fixed-price (FFP) and all FFP clauses are applicable only to this CLIN.

(c) IDIQ ordering shall be performed in accordance with Federal Acquisition Regulation (FAR) 52.216-18, Ordering, FAR 52.216-19, Order Limitations, and NASA FAR Supplement (NFS) 1852.216-80, Task Ordering Procedure, of this contract.

(d) IDIQ Labor Categories and Labor Rates: Labor categories and associated hourly rates to be used in TOs are included in and Attachment J-4, Description of Labor Categories, and Attachment J-6, Schedule of Rates, and in performing IDIQ services. The contractor shall provide all required labor and other direct costs (ODCs), to include travel and training as delineated in the individual TOs proposals based on the rates delineated in Attachment J-6, Schedule of Rates.

(e) ODCs (e.g., travel, material, training, software): All ODCs required to support this contract shall be authorized and accounted for within IDIQ TOs. TO ODC burden rates shall not exceed those rates included in Attachment J-6, Schedule of Rates. Fee shall not be applied to ODCs. Travel shall be performed in compliance with the Federal Travel Regulations (FTR). The Government will not pay for expenses that exceed FTRs. ODCs shall be invoiced on separate line items in all invoices in which these costs are incurred. Travel shall also be invoiced to include complete backup documentation to support the invoiced travel amounts in all invoices in which these costs are incurred. The contractor shall obtain written approval from the contracting officer’s representative (COR) at least five (5) business days prior to the incurrence of any ODC or travel expenses.

(f) Based on availability, the contractor is authorized to drive or use Government-owned or leased vehicles in performance of this contract.

STENNIS SPACE CENTER CONTRACTOR EMPLOYEE BADGING

(a) It is anticipated that performance of the requirements of this contract will require employee picture credentials by the John C. Stennis Space Center (SSC). Contractor requests for credentialing of employees shall be submitted electronically, prior to employee Enter on Duty Date, by the Contractor ’s HR or Security Representative into the Government provided system, Identity Management and Account Exchange (IDMAX). Requests for credentialing will be routed electronically to the appointed COR or other Federal civil service technical personnel responsible for work requirements for approval prior to processing by the SSC Protective Services Office.

(b) Contractor employees must undergo a background investigation prior to being issued a fulltime contractor credential granting access to SSC. Contractor employees not previously cleared for a full-time contractor credential (e.g., not previously included in the NASA/SSC database) must complete the Electronic Questionnaires for Investigations Processing (EQIP) and sign the appropriate Release form(s) as soon as practicable. When these forms are completed and submitted to SSC Protective Services, the Contractor employees may be granted an extended visitor’s badge granting SSC access for a period not to exceed 29 calendar days. This 29-day period is normally more than adequate for the Government to conduct its Background Investigation if the applicant’s submission is truthful, accurate and complete, and there are no preexisting issues noted in the investigation.

If the Contractor employee does not successfully clear the Background Investigation process within 29 calendar days, the extended visitor badge will be revoked. If the visitor badge is revoked, the Contractor employee may not enter SSC and, if the contractual work assignment requires the employee to be onsite and/or have access to Government IT systems, the employee shall discontinue charging their time to the contract immediately. Any Contractor concerns regarding the timeliness of investigation processing should be raised to the contracting officer.

1852.242-72 DENIED ACCESS TO NASA FACILITIES (OCT 2015)

1852.209-71 LIMITATION OF FUTURE CONTRACTING (DEC 1988)

(a) The contracting officer has determined that this acquisition may give rise to a potential organizational conflict of interest. Accordingly, the attention of prospective Offerors is invited to FAR Subpart 9.5 - Organizational Conflicts of Interest.

(b) The nature of this conflict is: There is a concern that the successful Contractor or its proposed subcontractor(s) services performed may give rise to the significant potential organizational conflicts of interest listed below.

(1) The Contractor (or its proposed subcontractors), as part of its performance of a Government contract, could set the ground rules for another Government contract and could skew future competitions, whether intentionally or not, to their advantage. By virtue of their special knowledge of the agency's future requirements, the Contractor or its proposed subcontractors would have an unfair advantage in the competition for those requirements.

(2) There is a concern that the successful Contractor or its proposed subcontractor(s), as part of their performance of a Government contract, could obtain access to another contractor ’s proprietary, business confidential, or financial data and/or non-public Government information, which may provide the firm an unfair competitive advantage in a future competition. The Contractor shall protect this data/information from unauthorized use and disclosure and agrees not to use it, either directly or indirectly, in any proposals responding to a future Government solicitation.

(3) There is a concern that the successful Contractor or its proposed subcontractor(s) judgment and objectivity in performing their contract requirements may be impaired due to the fact that the substance of the Contractor’s performance has the potential to affect other interests of the contractor (e.g., providing evaluation services of own products or services and oversight), thereby impairing the Contractor’s judgment and objectivity.

(c) The restrictions upon future contracting are as follows:

(1) If the Contractor, under the terms of this contract, or through the performance of tasks pursuant to this contract, is required to develop specifications or statements or work that are to be incorporated into a solicitation, the Contractor shall be ineligible to perform the work described in that solicitation as a prime of first-tier subcontractor under an ensuing NASA contract. This restriction shall remain in effect for a reasonable time, as agreed to by the contracting officer and the Contractor, sufficient to avoid unfair competitive advantage or potential bias (this time shall in no case be less than the duration of the initial production contract). NASA shall not unilaterally require the Contractor to prepare such specifications or statements of work under this contract.

(2) To the extent that the work under this contract requires access to proprietary, business confidential, or financial data of other companies, and as long as this data remain proprietary or confidential, the Contractor and its subcontractors shall protect this data from authorized use and disclosure and agree not to use this data, either directly or indirectly, in any proposals responding to a future Government solicitation. Similarly, the Contractor and its subcontractors shall protect Government non-public information from unauthorized use and disclosure and agree not to use it, either directly or indirectly, in any proposals responding to a future Government solicitation. If the Contractor and/or its subcontractor are unable to demonstrate adequate protection to ensure that non-public data/information could not be used to improve their competitive position in a future procurement, they will be ineligible for award of the contract resulting from such procurement.

(3) If the Contractor, through the performance of this contract, is required to participate in technical reviews or provide engineering consultation services on its own proposals/quotations, products, or services (or those of its affiliate(s) or competitor(s)) provided under a different contract(s), the Contractor shall be ineligible to perform such work as a prime or subcontractor unless the Contractor submits a specific plan fully mitigating the OCI and such plan is approved by the SMAS II contracting officer and contracting officer’s representative.

(4) To the extent a future NASA solicitation seeks products or services that are subject to review in performance of this contract, the Contractor will be ineligible to provide those products or services unless the Contractor submits a specific plan fully mitigating the OCI and such plan is approved by the SMAS II contracting officer and contracting officer representative.

(End of clause)

1852.225-70 EXPORT LICENSES (FEB 2000)

(a) The Contractor shall comply with all U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR), 22 CFR parts 120-130, and the Export Administration Regulations (EAR), 15 CFR parts 730-799, in the performance of this contract. In the absence of available license exemptions/exceptions, the Contractor shall be responsible for obtaining the appropriate licenses or other approvals, if required, for exports of hardware, technical data, and software, or for the provision of technical assistance.

(b) The Contractor shall be responsible for obtaining export licenses, if required, before utilizing foreign persons in the performance of this contract, including instances where the work is to be performed on-site at MSFC, MAF, SSC, and KSC, where the foreign person will have access to export-controlled technical data or software.

(c) The Contractor shall be responsible for all regulatory record keeping requirements associated with the use of licenses and license exemptions/exceptions.

(d) The Contractor shall be responsible for ensuring that the provisions of this clause apply to its subcontractors.
