SECTION B – SUPPLIES OR SERVICES AND PRICES/COSTS

B.1 LISTING OF CLAUSES INCORPORATED BY REFERENCE

Clause(s) at the beginning of this Section are incorporated by reference, with the same force and effect as if they were given in full text. Clauses incorporated by reference which require a fill-in by the Government include the text of the affected paragraph(s) only. This does not limit the clause to the affected paragraph(s). The Contractor is responsible for understanding and complying with the entire clause.

The following contract clauses pertinent to this section are hereby incorporated by reference:

I. FEDERAL ACQUISITION REGULATION (48 CFR CHAPTER 1)

None Incorporated by Reference

II. NASA FAR SUPPLEMENT (48 CFR CHAPTER 18) PROVISIONS

None Incorporated by Reference

(End of Clause)

B.2 SUPPLIES AND/OR SERVICES TO BE PROVIDED

The Contractor shall provide all resources and services (except as may be expressly stated in the contract as furnished by the Government) necessary to deliver and/or perform the contract requirements in accordance with the Performance Work Statement (PWS) incorporated in Section C, the Data Requirement Descriptions (DRDs) provided in Section J, PWS for Value Attributes (Attachment J-17), the Phase-in period activities as defined in the Phase-in Plan (Attachment J-05), and all other requirements as specified throughout the contract.

This contract contains cost-plus-fixed-fee (CPFF) and firm-fixed-price (FFP) requirements to be issued as indefinite delivery/indefinite quantity (IDIQ) task or delivery orders. The work described in PWS section 1.0 is fixed price and sections 2.0 and 3.0 may contain both cost-plus-fixed-fee and firm-fixed-price type of work. The Government may issue task/delivery orders as either CPFF or FFP as it deems appropriate throughout the life of the contract and in accordance with Clause F.8, Task/Delivery Order Type.

(End of clause)

B.3 PRE-PRICED FIRM-FIXED-PRICE ELEMENTS (As Defined At Contract Award)

(a) Contract Phase-In: The total firm-fixed-price of phase-in for this contract is shown in Table B.4-1 covering a 45-day phase-in period from April 17, 2018 through May 31, 2018.

B.4 TOTAL CONTRACT VALUE

The total contract value is the price of phase-in plus the total cost/price value of task/delivery orders issued and/or amended under this contract. The total contract value is established by adding the values associated with the Firm-Fixed-Price Elements (clause B.3), the Estimated Cost and Fixed Fee (clause B.6), and the Firm Fixed-Price (clause B.7). The Contract value will be periodically updated unilaterally by the Government as IDIQ task/delivery orders are issued and/or amended during contract performance. Due to this, the total value for the IDIQ task/delivery orders issued and/or amended may be different than the value shown in this clause.

The total contract value for this contract is shown below in Table B.4-1.

The estimated cost of this contract is [see Table B.4-1] exclusive of the fixed fee of

[see Table B.4-1].

The total estimated cost and fixed fee is [see Table B.4-1].

B.7 NFS 1852.216-78 FIRM FIXED-PRICE (DEC 1988) (Applicable only to Fixed-Price Contract Elements/Task Orders)

The total firm fixed price of this contract is shown in Table B.4-1.

B.8 NFS 1852.232-77 LIMITATION OF FUNDS (FIXED-PRICE CONTRACT) (MAR 1989) (Applicable only to fixed-price)

(a) Of the total prices shown in clauses B.4 (Table B.4-1, row #3), the sum of [See Table B.5-1, row #3] is presently available for payment and allotted to this contract. It is anticipated from time to time additional funds will be allocated to the contract in accordance with the following schedule, until the total price of said items is allotted:

SCHEDULE FOR ALLOTMENT OF FUNDS

Date

[The Government will allocate additional funds on periodic basis]

Amount

[The Government will allocate additional funds on periodic basis]

(b) The Contractor agrees to perform or have performed work on the items specified in paragraph (a) of this clause up to the point at which, if this contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause would, in the exercise of reasonable judgment by the Contractor, approximate the total amount at the time allotted to the contract. The Contractor is not obligated to continue performance of the work beyond that point. The Government is not obligated in any event to pay or reimburse the Contractor more than the amount from time to time allotted to the contract, anything to the contrary in the Termination for Convenience of the Government clause notwithstanding.

(c) (1) It is contemplated that funds presently allotted to this contract will cover the work to be performed until TBD.

(2) If funds allotted are considered by the Contractor to be inadequate to cover the work to be performed until that date, or an agreed date substituted for it, the Contractor shall notify the Contracting Officer in writing when within the next 60 days the work will reach a point at which, if the contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause will approximate 75 percent of the total amount then allotted to the contract.

(3) (i) The notice shall state the estimate when the point referred to in paragraph (c)(2) of this clause will be reached and the estimated amount of additional funds required to continue performance to the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it.

(ii) The Contractor shall, 60 days in advance of the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, advise the Contracting Officer in writing as to the estimated amount of additional funds required for the timely performance of the contract for a further period as may be specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (c)(3)(ii) of this clause, additional funds are not allotted by the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, the Contracting Officer shall, upon the Contractor's written request, terminate this contract on that date or on the date set forth in the request, whichever is later, pursuant to the Termination for Convenience of the Government clause.

(d) When additional funds are allotted from time to time for continued performance of the work under this contract, the parties shall agree on the applicable period of contract performance to be covered by these funds. The provisions of paragraphs (b) and (c) of this clause shall apply to these additional allotted funds and the substituted date pertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government's failure to allot additional funds in amounts sufficient for the timely performance of this contract, the Contractor incurs additional costs or is delayed in the performance of the work under this contract, and if additional funds are allotted, an equitable adjustment shall be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the items to be delivered, or in the time of delivery, or both.

(f) The Government may at any time before termination, and, with the consent of the Contractor, after notice of termination, allot additional funds for this contract.

(g) The provisions of this clause with respect to termination shall in no way be deemed to limit the rights of the Government under the default clause of this contract. The provisions of this Limitation of Funds clause are limited to the work on and allotment of funds for the items set forth in paragraph (a) of this clause. This clause shall become inoperative upon the allotment of funds for the total price of said work except for rights and obligations then existing under this clause.

(h) Nothing in this clause shall affect the right of the Government to terminate this contract pursuant to the Termination for Convenience of the Government clause of this contract.

B.9 NFS 1852.232-81 CONTRACT FUNDING (JUN 1990) (Applicable only to Cost- Reimbursement Task Orders)

(a) For purposes of payment of cost, exclusive of fee, in accordance with the Limitation of Funds clause, the total amount allotted by the Government to this contract is [See Table B.5-1, row #4]. This allotment is for Cost-Reimbursement Task Orders issued within the scope of this contract defined in clause B.2 and covers the following estimated period of performance: date of award through TBD.

(b) An additional amount of [See Table B.5-1, row #5] is obligated under this contract for payment of fee.

B.10 FAR 52.216-90 IDIQ MINIMUM AND MAXIMUM ORDERING LIMITS (AUG 2013) (JSC Procurement Instruction)

In accordance with FAR 52.216-22, Indefinite Quantity, the guaranteed minimum to be ordered under this contract is $100,000 and the maximum which may be ordered under this contract is $80,000,000. This value is based on the price/cost specified in each task/delivery order issued during the period of the contract. The Government is not obligated to order more than the minimum specified, but may order up to the maximum. The Contractor is obligated to fulfill orders issued, up to the maximum quantity.

B.11 RATE TABLE FOR PRICING FIRM-FIXED-PRICED TASK/DELIVERY ORDERS

This clause defines the rates to be utilized in the subsequent negotiation of FFP IDIQ Task/Delivery Orders. In accordance with the task ordering procedures, the Contractor shall perform work as authorized by the Contracting Officer.

Pricing of all FFP IDIQ task/delivery orders shall be in accordance with the negotiated rates set forth below. The Contractor shall utilize the fully burdened labor rates shown in Table B.11-1, FFP Fully Burdened Rate Table, when proposing to a Government request for task plan. Under no circumstances shall the rates used to price FFP task/delivery orders exceed the agreed upon rates in the Fully Burdened Rate Table shown below.

The labor, indirect, and profit rates shown below shall be used to establish the price of individual FFP task/delivery orders. The labor rates are fully burdened composite team rates (prime and all subcontractors); but exclude profit. The profit rate is the maximum rate which may be proposed or negotiated for individual FFP task/delivery orders during contract performance. See Clause H.20, Contractor Purchasing, Procurement Practices and Procedures, for allowability of indirect costs as applied to Non-Labor-Resources (NLR).

The parties agree that the fully burdened labor rates established below shall not be subject to any adjustment (upwards or downwards), regardless of actual rates incurred during contract performance, with the exception of changes due to Collective Bargaining Agreement or Service Contract Labor Standards.

B.12 RATE TABLE FOR PRICING COST-PLUS-FIXED-FEE TASK/DELIVERY ORDERS

This clause defines the rates to be utilized in the subsequent negotiation of CPFF IDIQ Task/Delivery Orders. In accordance with the task ordering procedures, the Contractor shall perform work as authorized by the Contracting Officer.

Pricing of all CPFF IDIQ task/delivery orders shall be in accordance with the negotiated rates set forth below. The Contractor shall utilize the fully burdened labor rates shown in Table B.12-1, CPFF Fully Burdened Rate Table, when proposing to a Government request for task plan. Under no circumstances shall the rates used to price CPFF task/delivery orders exceed the agreed upon rates in the Fully Burdened Rate Table shown below.

The labor, indirect, and fee rates shown below shall be used to establish the estimated cost of individual CPFF task/delivery orders. The labor rates are fully burdened composite team rates (prime and all subcontractors); but exclude fee. The fee rate is the maximum rate which may be proposed or negotiated for individual CPFF task/delivery orders during contract performance.
