Contractor shall receive no compensation for investment performance and services provided by the investment advisor to the MRF.

In particular, the allocation method must correctly handle the following conditions:

· When securities are purchased in one fiscal year and redeemed (or matured) in a subsequent fiscal year, the proceeds shall not be attributed to cohorts that were not yet in existence at the time of purchase;

· When securities are purchased, ownership shares shall be attributed to cohorts on the basis of their cash positions in the MRF at the time of purchase; and

· When a cohort has a negative position in the MRF (cumulative outflows to investors have exceeded cumulative inflows from loan payments plus earnings on investments), it shall pay interest to other cohorts at a rate equal to what they would have received in the absence of such borrowing.

16-The SBA Master Reserve Fund - Allocation Method Contractor shall implement the investment earnings allocation method described below. If there is a residual cash shortfall in the fund balance, the COR will provide Contractor with written instructions on which financing account may be debited by the Contractor to make up the shortfall. All extinguished cohorts retain their established positions in long-term investments through the maturity of the affected long-term instruments. When all applicable instruments have matured, the final position of the cohort may be positive or negative. The final position will remain in the MRF pending instructions from the SBA.

· Other Transactions. For various small monetary transactions that impact the MRF either as income or expenses, the Contractor shall allocate expenses by cohort on an accrual basis and the expenses as the date cohort accounting commences cover trustee fees, investment management fees, and sub accounting fees.
