Plot 2483 Tshekedi Crescent, Gaborone, Botswana

Inspection of all deliverables required hereunder shall be made by the Contracting Officer’s Representative (COR), designated in Section G, who has been delegated authority to inspect and accept all construction, reports and other required deliverables. Acceptance of construction, reports and other deliverables by the COR shall be in writing and will form the basis for payments to the Contractor.

E.2 SUBSTANTIAL COMPLETION

Substantial Completion is defined as a stage in the construction where an activity can be considered fit for the purpose of service and occupation without danger or undue inconvenience to USAID. This includes clearing the premises per 52.236-12 Cleaning Up. The status of substantial completion triggers the start of the Warranty Period.

When the Contractor determines the construction is substantially complete, the Contractor must provide USAID a Notice of Substantial Completion. After receiving the Notice the USAID COR will, within 14 days, schedule a joint inspection consisting of USAID COR, the Oversight Contractor, and the prime Contractor. Based on the joint inspection the USAID COR will submit a report to the USAID Contracting Officer. The Contracting Officer will respond to the Contractor and either;

1. Decline to issue the Certificate of Substantial Completion. In which case the report would include a list of defects (Punch List) for the Contractor to remedy or repair.

2. Issue a Qualified Certificate of Substantial Completion. In which case the report would include a list of minor defects (Punch List) for the Contractor to remedy or repair.

3. Issue an Unqualified Certificate of Substantial Completion.

Issuance of either a Qualified Certificate of Substantial Completion, or an Unqualified Certificate of Substantial Completion triggers the beginning of the Warranty Period, and the works will be deemed to have been completed for the purposes of 52-211-12 Liquidated Damages – Construction.

Upon receiving USAID’s Certificate of Substantial Completion (Qualified or Unqualified) the Contractor will hand over the completed facilities to USAID, and USAID shall be entitled to take occupation of the works. If USAID has issued a Punch List, USAID will give the Contractor access to complete the works and remedy any and all Punch List issues.

Upon completion of all remedies the Contractor will notify USAID to trigger another inspection. If USAID finds all of the Punch List items have been remedied, then USAID will issue an Unqualified Certificate of Substantial Completion.

If upon inspection USAID declines to issue a Certificate of Substantial Completion, the Contractor must complete the remedies or repairs on the Punch List, and may again notify USAID and the Oversight Contractor to trigger another inspection.

Upon issuance of the Unqualified Certificate of Substantial Completion, 50% of the retention amount will be released to the Contractor. The remainder of the retained amount will be held until the Notice of Final Acceptance has been issued to the Contractor.

E.3 FINAL COMPLETION AND NOTICE OF FINAL ACCEPTANCE

Final Completion is when the Government accepts the completed facility after the Warranty Period and accepts all liabilities. Notice of Final Acceptance is the official communication from the USAID Contracting Officer to the Contractor demonstrating Final Completion.

At the end of the Warranty Period, if the Contracting Officer is satisfied that the work under the contract is complete, all deliverables have been submitted and accepted, and all Punch List items have been remedied or repaired, the Contracting Officer shall issue to the Contractor a Certificate of Final Acceptance. Per Section B.3, upon issuance of a Certificate of Final Acceptance USAID will release the remainder of the retained amount to the Contractor, less any money applied to rectify warranty issues.

E.4 QUALITY ASSURANCE

Quality Assurance will be provided by a third-party Oversight Contractor. The COR will receive all QA documentation and may request that the Construction Contractor change, revise, or alter procedures based upon findings of the QA inspection.
