The Contractor is authorized to recover applicable indirect costs, if it is part of the contractor’s usual accounting procedures, consistent with FAR Part 31, and Negotiated Indirect Cost Rate Agreement (NICRA).

NOTE 2: A “major subcontractor” is an entity with a proposed price of 20% or more of the Contractor’s total proposed CLIN X001, X002, and X006 cost (this excludes the commodity plug figure of $2.381 billion and prime’s base/award fee).

NOTE 3: The Contractor will make no change in its established method of classifying or allocating indirect costs without the prior written approval of the Contracting Officer.

NOTE 4: Reimbursement for indirect costs shall be at final negotiated rates.

B.8 COST REIMBURSABLE

The U.S. dollar costs allowable will be limited to reasonable, allocable and necessary costs determined in accordance with FAR 31 (Contract Cost Principles), FAR 52.216-7 (Allowable Cost and Payment), AIDAR 752.216-70 (Award Fee) if applicable, FAR 52.232-22, (Limitation of Funds), and AIDAR 752.7003 (Documentation for Payment), may be reimbursable under this contract.

B.9 MULTI-YEAR CONTRACT AND CANCELLATION CEILING

This contract is considered non-severable and is therefore a multi-year contract as defined in FAR 17.103. Therefore, this contract is subject to the requirements of

FAR 17.106.

(a) Performance under this contract during the second and subsequent years is contingent upon the appropriation of funds. All program years except the first are subject to cancellation. Cancellation shall occur by the dates specified below if the Contracting Officer:

(1) notifies the Contractor that the funds are not available for contract performance for any subsequent program year or;

(2) fails to notify the Contractor that funds are available for performance of the succeeding program year.

(b) Cancellation Ceiling:

(c) This is a Cost Plus Award Fee (CPAF) type contract where the Contractor is authorized to be reimbursed for all costs which are allowable in accordance with FAR 52.216-7, “Allowable Costs and Payment.” Therefore, the Contractor will not incur any costs which would have been amortized over the life of the contract should the contract be canceled.

(d) The Government's liability for cancellation charges shall not exceed $[Amount to be completed by Contracting Officer and not be $0]. This amount will be reduced in accordance with FAR 17.106-1(c)(1) at the conclusion of each program year, as follows:

Contract Year 2: (At the beginning of Contract Year 2) Amount: $__________ Contract Year 3: (At the beginning of Contract Year 3) Amount: $__________ Contract Year 4: (At the beginning of Contract Year 4) Amount: $__________ Contract Year 5: (At the beginning of Contract Year 5) Amount: $__________ Contract Year 6: (At the beginning of Contract Year 6) Amount: $__________ Contract Year 7: (At the beginning of Contract Year 7) Amount: $__________ Contract Year 8: (At the beginning of Contract Year 8) Amount: $__________ Contract Year 9: (At the beginning of Contract Year 9) Amount: $__________ Contract Year 10: (At the beginning of Contract Year 10) Amount: $__________

The cancellation dates and ceiling amounts are based on the nonrecurring costs to be incurred by the awardee, which would be applicable to, and which normally would be amortized over the life of the contract, and the items or services to be furnished under the multi-year requirement.

B.10 COST RECOVERY ON COUNTRY BASED OPERATIONS/COMMODITIES

This will be a field-financed program; therefore, the contractor must ensure a method for distributing the direct costs associated with the central management of the contract of headquarters operations across individual countries’ work. For example, the contractor may opt to charge a flat rate to USAID Missions activities, to recover the cost from supporting these functions from headquarters. This is not a profit generating scheme, and any funds generated using the allocable rate, but not exhausted through this charge, will not be kept by the contractor at the end of the contract. It is the contractor’s responsibility to clearly communicate the proposed structure and functionality of charges, fees, and proposed costs to be reimbursed, and to obtain written approval of this method from USAID.

[END OF SECTION B]

SECTION C - DESCRIPTION/SPECIFICATIONS/PERFORMANCE WORK STATEMENT

[USAID will insert the contractor’s Performance Work Statement (PWS) at award; see Section J, Attachment J.1 - STATEMENT OF OBJECTIVES (SOO) that informs the development of Section C.]

[END OF SECTION C]

SECTION D: PACKAGING AND MARKING

D.1 AIDAR 752.7009 MARKING (JAN 1993)

(a) It is USAID policy that USAID-financed commodities and shipping containers, and project construction sites and other project locations be suitably marked with the USAID emblem. Shipping containers are also to be marked with the last five digits of the USAID financing document number. As a general rule, marking is not required for raw materials shipped in bulk (such as coal, grain, etc.), or for semi finished products which are not packaged.

(b) Specific guidance on marking requirements should be obtained prior to procurement of commodities to be shipped, and as early as possible for project construction sites and other project locations. This guidance will be provided through the cognizant technical office indicated on the cover page of this contract, or by the Mission Director in the Cooperating Country to which commodities are being shipped, or in which the project site is located.

(c) Authority to waive marking requirements is vested with the Regional Assistant Administrators, and with Mission Directors.

(d) A copy of any specific marking instructions or waivers from marking requirements is to be sent to the contracting officer; the original should be retained by the Contractor.

D.2 BRANDING AND MARKING POLICY

(a) When applicable, the Contractor must comply with the requirements of the policy directives and required procedures outlined in USAID Automated Directive System (ADS) 320.3.2 “Branding and Marking in USAID Direct Contracting” at http://www.usaid.gov/policy/ads/300/320.pdf; and USAID “Graphic Standards Manual” available at www.usaid.gov/branding or any successor branding policy.

Acceptance of goods/services and reports or other deliverables by the cognizant COR must form the basis for payments to the contractor and will form the basis of the contractor’s permanent performance record with regard to this contract.
