About this file
This is an instructional template for a Certificate of Corporate Resolution document used by the City of Cincinnati for corporations seeking to conduct business with the municipality. The document authorizes a corporation's President and/or Executive Director to execute contracts, agreements, and other documents on behalf of the organization and to receive payments from the City of Cincinnati. The template is specifically designed for for-profit and non-profit corporations and includes fields for the corporation's legal name, state of incorporation, type of corporation, date of Board adoption, and the names and titles of authorized signatories. The document must be signed by the corporate secretary, who cannot themselves be identified as an authorized signatory in the resolution. The template includes detailed comments and instructions for proper completion, including guidance on substituting appropriate titles if the organization does not use standard titles such as "President" or "Executive Director," and notes that alternative authority documents should be used for limited liability companies and partnerships.
This instructional template does not contain pricing terms, set-asides, funding information, or other financial details, as it serves solely as a procedural authorization document. The template is a requirement for corporations seeking to enter into contracts with the City of Cincinnati and does not pertain specifically to the Sewer Backup Cleanup Services contract opportunity issued by the Metropolitan Sewer District of Greater Cincinnati. Organizations bidding on state and local contract opportunities in Ohio and Cincinnati would be required to submit a completed Certificate of Corporate Resolution along with their bid proposals to establish authorized signing authority.
