About this file
This is a Claim of Business Confidentiality Form issued by the State of Utah for use in the Jordan School District's Invitation for Bid (IFB) for a Palo Alto Firewall with 3-Year License and Support. The form allows bidders to assert claims of business confidentiality for specific information submitted with their proposals in accordance with Utah Code Annotated Sections 63G-2-305 and 63G-2-309. Bidders may designate certain categories of information as confidential, including nonpublic financial statements, specific employee names and contact information, specific customer or client lists, and other proprietary information. However, pricing and cost proposals cannot be classified as confidential and will be considered public information. Additionally, entire proposals cannot be marked as "PROTECTED," "CONFIDENTIAL," or "PROPRIETARY."
The form requires bidders to specify the pages and paragraphs containing information they claim should be protected and to provide the legal basis for the confidentiality claim. Acceptable justifications include trade secrets as defined under Utah Code Annotated Section 13-24-2 or commercial information where disclosure could result in unfair competitive injury to the submitting party. Bidders must sign and date the form on behalf of their company. The governmental entity will notify bidders if claimed protected records are determined to be public or if the entity determines records should be released after weighing competing interests under applicable Utah Code provisions.
