This solicitation for commercial items/services is prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this solicitation.
This solicitation is a Request for Proposals (RFP). The solicitation document and incorporated provisions and clauses are those in effect through the Federal Acquisition Regulation (FAR) which can be accessed at https://acquisition.gov/far/part-12.
The associated North American Industrial Classification System (NAICS) code for this procurement is 511210 – Software Publishers, with a small business size standard of $41.5M.
All interested companies shall provide a proposal that addresses the needs as provided in the Performance Work Statement (PWS) (see Attachment 1).
The contract period of performance is as followed:
The period of performance of the software contract is anticipated to be for a 12-month base year, with up to 4 option years of subscription maintenance services.
The period of performance of the implementation services contract is anticipated to last 12-months starting on or about 10 business days after contract signing.
Place of Performance
The Place of Performance shall be conducted primarily at the contractor’s offsite facilities, although occasional work at the U.S. Merchant Marine Academy in Kings Point, NY may also be allowed pending ongoing assessments of campus physical opening hours.

Evaluation Criteria
Award shall be made to the offeror whose proposal offers the best value to the government, considering technical capability, past performance, and price. The government will evaluate information based on the following evaluation criteria:
Factor 1: Technical
Part 1: Mandatory Requirement Evaluation
All Offers will first be evaluated against the mandatory requirement. If an Offeror does not meet the mandatory requirement, it will no longer be considered for award.
Subsequent Evaluation
For any offers which meet the mandatory requirement, each will be evaluated by reviewing evaluation events against evaluation criteria as described in Part 2 below.

Technical Sub-Factor Minimum response standards consistent with the PWS include:
Software Functional Fit –
Shall demonstrate software functionality for admissions, financial aid, registration, student records, student accounts, advising, degree audit, and curriculum, per PWS requirements.
Offerors in the competitive range may be invited to demonstrate their product. Discrepancies between the written response and the demonstration may be taken into consideration and impact the overall rating for this section.
Software Technical Fit
Shall provide a written response that demonstrates data integration, federation, and virtualization for tactical, operational, and business analytics, data architecture and information management practices, support model, performance, availability, scalability, per PWS requirements.
Offerors in the competitive range may be invited to demonstrate their product. Discrepancies between the written response and the demonstration may be taken into consideration and impact the overall rating for this section.
Implementation & Staffing
Shall provide a written response that demonstrates knowledge, skills and abilities to provide an implementation services approach that provides skilled services for functional, technical and project management activities, experienced staff that understand the product and the business needs of university, methodology that aligns with the PWS requirements.
Offerors in the competitive range may be invited to demonstrate their product. Discrepancies between the written response and the demonstration may be taken into consideration and impact the overall rating for this section.
Company Qual./ Experience
Shall provide a written response that demonstrates knowledge, skills and expertise in relevant solutions, install base in higher education, and demonstrate overall financial strength and stability of the company over the last 5 years.
The Offeror shall include up to two (2) references where their proposed product/s is in use. Offerors shall provide the following information for each reference:
• Institution Name
• Contact Name at the Institution
• Product name
• Year the product went into production at this institution
Offerors shall provide an introduction and general description of the Company's background, nature of business activities, and experience in providing higher education ERP systems for distance and continuing education programs as well as related services.
State whether your company is local, regional, national, or international. Include information on any affiliates and/or subsidiaries.
State locations from which the program will be administered if your company is awarded the contract.
Specify your geographic locations, company owned or independent contracted dealerships, number of field service/sales representatives.
Offerors shall submit audited financial statements for the past two (2) years (or equivalent data) to establish its financial capability to provide the required products and services on a long-term contract basis.

Part 3: Software Demonstrations
Offerors in the competitive range may be invited to demonstrate their product as described in Part 2- Written Response. Discrepancies between the written response and the demonstration will be taken into consideration and may impact the overall rating for the technical evaluation factor. Demonstration instructions will be provided to vendors at the time it is scheduled.
Factor 2: Past Performance
Past Performance
Attachment 3 – Past Performance Evaluation shall be submitted to up to 3 references, per the instructions in the form. References shall be relative to the technical requirements of this solicitation. References shall represent the product or service provided within the last 5 years.
The government may use other resources known to them to assess past performance. If no past performance is provided, offerors will receive a “neutral” overall rating for past performance.
Factor 3: Pricing
Subscription, Implementation and 5-yr Cost of Ownership
Offeror shall provide competitive pricing and total lifecycle costs over the first 5 years using Attachment 2 – USMMA Pricing Template. All aspects of the workbook shall be completed entirely.
Incentives may be provided for successfully adhering to the implementation schedule.
Evaluation factors are listed in order of importance above. Factors 1 and 2 when combined are more important than Price.
Evaluation Ratings & Definitions:
The following ratings will be assigned to each evaluation factor based on the individual evaluations of the evaluation panel, and overall consensus for each proposal. Please note that Past Performance will be rated based on the specified definitions for past performance provided below each rating definition.
Excellent
The response exceeds the technical and performance requirements. An assigned rating of “Excellent” indicates that, in terms of the specific factor, the response contains essentially no weaknesses. These are no significant weaknesses or risks. There is essentially no risk for the potential of unsuccessful contract performance.
For Past Performance Only
Past Performance met contractual requirements and exceeded many to the Government’s benefit. The contractual performance was accomplished with few minor problems for which corrective actions taken by the contractor were highly effective

Good
The response meets or exceeds the technical and performance requirements. An assigned rating of “Good” indicates that, in terms of the specific factor, the response may have few weaknesses. There are no significant weaknesses or risks. There is low risk for the potential of unsuccessful contract performance, For Past Performance Only
Past Performance met contractual requirements and exceeded some to the Government’s benefit. The contractual performance was accomplished with some minor problems for which corrective actions taken by the corrective actions taken by the contractor were effective.
Acceptable
The response meets the technical and performance requirements. An assigned rating of “Acceptable” indicates that, in terms of the specific factor, the response may contain weaknesses and/or significant weaknesses that are correctable but no deficiencies. If any weaknesses are noted, they should not seriously affect the contract performance. There is moderate risk for the potential of unsuccessful contract performance.
For Past Performance Only
Past Performance met contractual requirements. The contractual performance contains some minor problems for which corrective actions taken by the contractor appear or were satisfactory.
Marginal
The response slightly meets the minimum technical and performance requirements. An assigned rating of "Marginal" indicates that, in terms of the specific factor, the response meets the standard for minimal but acceptable performance and contains weaknesses and/or significant weaknesses that are considered correctable. There is high risk for the potential of unsuccessful contract performance.
For Past Performance Only
Past Performance did not meet some of the contractual requirements. The contractual performance reflects serious problem for which the contractor did not identify corrective actions. The contractor’s proposed actions were marginally effective or were not fully implemented.
Unacceptable
The response fails to meet a minimum requirement. The response is incomplete, vague, incompatible, or incorrect as to be unacceptable. An assigned rating of “Unacceptable” indicates that in terms of the specific factor, the response fails to meet performance or capability standards and contains at least one significant weakness that is not correctable without a major revision of the response. There is a high risk for the potential of unsuccessful contract performance.

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v)) of this provision.
(a) Definitions. As used in this provision—
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror.
Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).
Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or

Sensitive technology—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
Small disadvantaged business concern, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—
(i) One or more socially disadvantaged (as defined at13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR124.104(c)(2); and

Subsidiary means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation
Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
Veteran-owned small business concern means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C.
101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).

(iv) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract is the same as that used for these employees and equivalent employees servicing commercial customers.
