About this file

This is a sample contract document between the Agency for Community Transit (ACT) and a contractor for the procurement and implementation of an Enterprise Asset Management (EAM) system. The project, identified as Contract No. 26-2-16100, involves the procurement and deployment of a comprehensive SaaS cloud-based software solution to replace the existing Transman (TMT) system and support management of fleet vehicles, facilities, equipment, inventory, work orders, preventive maintenance, and lifecycle cost analysis. The contract is structured as a hybrid engagement combining fixed-price and time-and-material components, with a term beginning on the effective date and expiring upon satisfactory fulfillment of all obligations. The scope of work incorporates requirements from the RFP 26-1-1600 dated May 21, 2026, and the contractor's proposal in response thereto, which are incorporated by reference as contract documents.

Compensation is structured on a milestone-based payment schedule with retainage provisions. The contract establishes a 10 percent retainage on each completed milestone deliverable, which is released upon final project acceptance; however, retainage ceases once cumulative payments reach 50 percent of the total contract price if work remains satisfactory. Payment milestones include project management plan completion (10 percent), system design documentation (15 percent), sandbox environment deployment (10 percent), data migration and integration testing (15 percent), user acceptance testing (15 percent), training completion (10 percent), system go-live (15 percent), system acceptance (5 percent), and retainage release (5 percent). Invoices must be submitted by the 15th of the following month for prior month work and are subject to owner approval before payment. Payment is due within 30 days of proper invoice submission. The contractor must maintain specified insurance coverage including $1,000,000 commercial general liability, $1,000,000 business automobile liability, statutory workers' compensation with $500,000 employer's liability, $500,000 professional liability, and $2,000,000 cyber liability insurance. No subcontracting is permitted, and the contract includes comprehensive cybersecurity requirements, data security and sovereignty provisions, incident response obligations with 24-hour breach notification, and compliance with Illinois state law and IDOT operating assistance grant terms.

The decision of the Executive Director shall be binding upon the Contractor and the Contractor shall abide by the decision.

Performance During Dispute - Unless otherwise directed by the Owner, Contractor shall continue performance under this Contract while matters in dispute are being resolved.

Claims for Damages - Should either party to the Contract suffer injury or damage to person or property because of any act or omission of the party or of any of his employees, agents or others for whose acts he is legally liable, a claim for damages therefore shall be made in writing to such other party within a reasonable time after the first observance of such injury of damage.

Remedies - a) Unless this contract provides otherwise, all claims, counterclaims, disputes and other matters in question between the Owner and the Contractor arising out of or relating to this contract or its breach will be decided by arbitration administered by the Miles Mediation & Arbitration. b) The Contractor shall comply with all of the Owner’s resolutions and regulations applicable to this Contract and with any local, State or Federal laws or regulations applicable to the goods and services provided under this Contract.
