SECTION I – NOTICE OF REQUEST FOR PROPOSALS
The Metropolitan Airports Commission (“MAC”) invites the submission of Proposals from all interested and qualified proposers desiring to operate and manage a currency exchange Concession at the Minneapolis-St. Paul International Airport (“MSP” or “Airport”). Proposers are defined as the entity that signs Exhibit A (“Proposer”).
MSP is one of the nation’s busiest airports, with over 36 million passengers in 2025. MSP is an international airport, a hub for Delta Air Lines, and a gateway to Minnesota, the Upper Midwest region, and 15 Fortune 500 companies that are based in Minnesota. MSP is owned and operated by the MAC, which is governed by a 15-member Board of Commissioners. Additional information about MSP is available at www.mspairport.com.
The Airport is often a visitor's first impression of the region. In this Request for Proposal (“RFP”), MAC seeks trusted partners who will bring their own expertise to provide world-class concessions at MSP to enhance the passenger experience.
This RFP has been designed so Proposers can follow a step-by-step process from proposal preparation, to submittal, evaluation, and award. D. Proposer Considerations The Airport environment is quite different from other commercial environments. It is important for Proposers to note that the MSP operating environment presents a set of unique challenges that do not exist outside the airport environment.
1. The MSP passenger has a limited amount of time in an airport environment.
2. MSP concourse level facilities must remain open 365 days a year, with operating hours and staffing levels aligned to both hourly and seasonal fluctuations in passenger traffic. As part of these requirements, the Arrivals South Foreign Currency Exchange must operate from 11:00 AM to 7:00 PM, while the Main South Foreign Currency Exchange location must operate from 7:00 AM to 9:00 PM. These times are subject to change with prior MAC approval.
3. Employee recruitment and retention can be challenging in an airport environment.
Longer commute times, security badging requirements, and other factors can make it difficult to find and retain quality employees.
Each Proposer must carefully examine the RFP and related documents, the plans with respect to the concession area, and the facilities at the Airport. Each Proposer must judge for itself as to the completeness of all conditions and circumstances in the RFP for this concession. Failure on the part of any Proposer to make such examination and to investigate thoroughly the RFP and related documents will not constitute grounds for declaration by a Proposer that it did not understand the conditions with respect to its proposal.
E. Withdrawal of Proposal Proposals may not be withdrawn after the proposal due date. In submitting the proposal, the Proposer agrees that the proposal will remain valid for 180 calendar days after the deadline for submission of proposals and may be extended beyond that time by mutual agreement.
F. Airport Contact Person From the date the RFP is issued through the Commission award, Proposers shall not contact any members of MAC staff, or their advisors, in any way related to this RFP process except for the Airport Contact Person listed on the cover page of this RFP.
G. Title VI Solicitation Notice The MAC, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42 U.S.C. §§ 2000d to 2000d-4), 28 CFR § 50.3, and 49 CFR Part 21, hereby notifies all bidders that it will affirmatively ensure that any contract entered into pursuant to this advertisement, all contractors will be afforded full opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of the owner’s race, color, national origin, sex, creed, age, or disability in consideration for an award.

B. Selection Process Each proposal will be evaluated according to the following process to determine how well it meets the Evaluation Criteria outlined in Section V.A. Evaluation Criteria are for the purpose of the Review Team in evaluating the proposals and in making a recommendation to the Commission.
1. Minimum Requirements
The first step is to determine whether the proposal meets the Minimum Requirements found in Section V.B.1. Proposals failing to meet the minimum requirements, including completeness, format and content, may be rejected without further evaluation.
2. Evaluation / Scoring All information presented in the proposal may be verified and substantiated during the course of the evaluation process. Proposers may be asked to revise, clarify and/or provide additional information during the proposal review process. These requests will require prompt action by Proposers. Those proposals not rejected will be evaluated by the Review Team according to the Evaluation Criteria found in Section V.A.
3. Interviews and Field Evaluations If the Review Team deems it necessary, it may select some or all proposals as finalists and conduct oral interviews. Interviews will not be scored as specified in the Evaluation Criteria found in Section V.A. The Review Team may also conduct unscheduled visits at existing concession locations currently being operated or managed by the Proposer. The Review Team has sole determination of which Proposers will receive field visits.
4. Review Team Recommendation Proposals will be scored by the Review Team. Proposers may be asked to revise, clarify, and/or provide detailed information in an effort to complete evaluation.
All Proposers must understand that their proposals are subject to changes in an attempt to finalize the best possible outcome for MAC and the traveling public.
Any and all attempts made by the Proposer (not initiated by the Review Team or MAC) to materially alter a proposal during the Review Team’s evaluation, recommendation, or award portion of this process may result in the removal of that proposal from consideration. The Commission will not accept any changes to a proposal once submitted unless the MAC initiates or approves the proposed changes in an effort to negotiate an Agreement.
The Review Team will make its recommendation based on the review criteria and weighted points assigned to each criteria. The Review Team will recommend the award(s) to the Operations, Finance & Administration (OF&A) Committee. The recommendation memo to the OF&A Committee is mailed to the Committee and posted on MAC’s web site approximately one (1) week before the meeting.
5. Commission Decision
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 8 of 33
Based on the recommendation of the Review Team, the OF&A Committee will make its recommendation to the full Commission. The full Commission makes the final selection decision. Neither the OF&A Committee nor the full Commission are obligated to follow the recommendation of the Review Team. The Commission may award to any proposer it sees fit. Any Proposer may request to speak at the OF&A Committee meeting and/or at the full Commission meeting.
6. Award of Agreement Once the full Commission has made a final determination, MAC will notify the successful Proposers in writing and submit a proposed Agreement for signature.
MAC may consider proposed modifications to the Agreement submitted by Proposer, but Proposer’s failure to execute an Agreement within a reasonable time, as determined exclusively by MAC, may result in the withdrawal of the award and selection of another Proposer.
C. Review Team The Review Team will consist of a MAC commissioner, MAC staff evaluators, MAC staff advisors and outside specialists.
The evaluators are:
Naquandra Peterson Manager, Concessions & Business Development Jason Paltzer Assistant Director, Concessions & Business Development Katlyn Schenk Customer Programs Coordinator, Customer Experience Jay Noseworthy Manager, Concessions & Business Development
The non-scoring advisors for the Review Team are:
Mike Batt Financial Analyst Laurel Deneen Manager, Contracts and Proposals Matt Krogh Associate General Counsel, Legal Affairs Michael O’Donnell Manager, Concessions & Business Development Ed Podnieks Manager, Financial Analysis & Business Planning Alan Sasse IS Audit Manager, Internal Audit
MAC’s VP, Commercial Revenue Officer may add or substitute members of the Review Team with people with similar qualifications if it would further the goals of the Commission.
D. Overview of the Opportunity The purpose of this RFP is to select a proposer who will best fulfill MAC’s program goals and objectives as delineated in this RFP. MAC recognizes that emphasizing customer satisfaction in a friendly and efficient environment results in the most revenue to our tenants and rents to MAC.
1. MAC’s Purpose Statement The MAC’s purpose is to provide exceptional airport experiences, so Minnesota thrives. At its core, the MAC aims to connect the Twin Cities region to the world while using a sustainable business model that provides the best customer experience. The MAC also strives to remain well positioned for changes in the aviation industry.
2. Goals and Objectives MAC seeks only high-quality operators and firms who can enhance the passenger experience and will continue to improve the concession program and will creatively reflect the region’s economy, culture, and quality of life. Based on
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 9 of 33 this principle, MAC has established the following goals and objectives for this
RFP:
a. Meet or exceed the airport community’s desires and expectations while traveling through MSP.
b. Offer exceptional convenience to the traveling public while meeting or exceeding the public’s needs.
c. Provide exceptional customer service and innovative services throughout the term of the Agreement.
d. Further the public interest of the State by maximizing the economic benefits of MSP to the State of Minnesota generally.
3. Background Attachment 1 lists historic enplanements by country and airport for the years 2023- 2025. Historic concession revenue from the current foreign currency exchange concession is detailed below:
4. General Descriptions of the Opportunity All staffed Foreign Currency Exchange units are required to buy and sell foreign currency banknotes, in both US and foreign currencies.
Optional Services may include performing international and domestic wire transfers, issuing money orders, selling US postage stamps, and providing cash advances.
Unstaffed Foreign Currency Exchange ATM’s, which are optional, may dispense the top five (5) non-U.S. currencies, including Euros, as part of general foreign currency ATM services. These machines are not permitted to dispense US Currency, except if they are purchasing foreign currency and dispensing US currency in accordance with authorized services
5. Location of Opportunities See Attachment 4, which details a general plan for the future currency exchange concession space as well as the spaces for optional currency exchange ATM(s).
This is MAC’s preliminary plan. MAC is seeking proposals that take MAC’s plan and incorporate the Proposer’s ideas into an overall plan for the MSP concession opportunity.
The space is offered in “as is” condition and is not a traditional inline unit, the proposer will be required to build out and furnish a two hundred (200) square foot foreign currency concession within a small alcove. As a general matter, MAC is offering no tenant improvement allowances. However, MAC may perform certain specific items before or during tenant construction. Identification of these items is
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 10 of 33 ongoing, and MAC will identify by addendum the MAC-provided improvements, if any, by unit in advance of the proposal deadline.
6. Design & Construction Requirements The concept must be designed in accordance with MAC Tenant Design Criteria (see Attachment 2) and constructed according to MAC Construction Standards and Procedures.
Concessionaires will be required to construct and provide all fixtures for the facility unless otherwise specified. All designs must be reviewed and approved by MAC staff and must comply with the MAC Design & Construction Standards.
For more information on the construction process, see Attachment 5.
Failure to complete the design and construction and meet the assigned opening dates outlined in the Concessions Lease Agreement may result in liquidated damages as specified in the Agreement.
SECTION IV – SUMMARY OF BUSINESS TERMS
All Agreement terms are set forth in the Sample Concessions Lease Agreement (Attachment 3). A summary of key business terms is provided here for reference. The terms of the Concessions Lease Agreement govern if there is any discrepancy between this summary and the Concessions Lease Agreement.
A. Lease Term The term for the currency exchange concession is as follows: Five (5) years.
B. Operator Investment There is no minimum capital investment required for this opportunity. However, the Proposer must invest in the build-out of the space, ensuring that the concept is designed in accordance with MAC Tenant Design Criteria (see Attachment 2) and constructed according to MAC Construction Standards and Procedures.
C. Hours of Operation Hours of Operation are flexible based on International Departures and Arrivals. MAC, in its sole discretion, must approve base hours and any adjustments to operating hours prior to implementation. Expected hours of operation per location are as follows, Arrivals South Foreign Currency Exchange must operate from 11:00 AM to 7:00 PM, while the Main South Foreign Currency Exchange location must operate from 7:00 AM to 9:00 PM. The MAC may adjust the required hours. MAC reserves the right to require concessionaires to remain open longer hours in situations like weather delays.
D. Rent and Other Charges
1. Percentage Rent and Sales Commission
Proposers will propose to MAC a minimum of 4.25% of all turnover, (including turnover from Foreign Currency Exchange ATM’s) plus a minimum of 4.25% of the sales commission collected by the operator from the sale of all optional products and services, and a utility fee.
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 11 of 33
The minimum acceptable percentage rent has been established and cannot be offered at a lower rate in the proposal. Proposer is free to offer higher percentage rents based on any business criteria it feels is appropriate.
2. Storage and Office Space Rent MAC expects Proposers to explain within the proposal how storage will be addressed within the leasehold space. If Proposer requires support space outside of the leasehold, Proposer should address it specifically in the proposal submission.
Upon request, MAC will use its best efforts to provide support and storage space for this concession opportunity. The quality and availability of storage space varies.
Storage and Office space leasing will be addressed under a separate lease agreement. Such rent will be calculated based upon half of the current non-janitorial regular rate for the applicable Terminal. The 2026 Concessions Storage and Office rate at Terminal 1 is $48.28 per square foot per year, and at Terminal 2 it is $43.73 per square foot, per year . The rates may be adjusted annually by
MAC.
MAC will make its best efforts to understand the need and to provide the support storage or office space requested in the proposal, however, MAC is not obligated to provide the support space requested. Proposers are free to consider off-airport facilities.
3. Other Occupancy Charges
a. Cost Recovery
The following tenant costs are billed directly to the tenant by either MAC or other entities (e.g., governing health department, property taxes, maintenance/distribution, etc.). If they are billed by MAC, they are not considered as revenue to MAC, but rather are MAC’s cost recovery of the expenses paid by MAC and prorated to the tenants.
i. Taxes - Each concessionaire is solely responsible for payment of all applicable taxes per location to include storage spaces if applicable. Property taxes are billed directly by Hennepin County.
ii. Utilities – The Concessionaire shall pay to MAC forty-five cents ($0.45) per square foot per month as a utility fee to account for Lessee’s utility usage. This rate is subject to adjustment each year.
Such utility fee shall be due on or before the 1st day of each month for the upcoming month’s utility usage. Such utility fee shall not be prorated for any partial months.
iii. Building Permits - The unit must obtain a MAC building permit. The fee varies by location based on the size of the project. Fee schedules will be reviewed at the pre-proposal meeting.
SECTION V – INFORMATION TO BE SUBMITTED

This determination may include judgments on which proposal(s): (1) provide competitive rates for the customers, (2) provide a wide variety of foreign currencies for the international
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 12 of 33 passenger, (3) ensure that the layout and design of the G Concourse location contributes to potential sales and revenue, customer service, choice, price points, design and amenities for the specific location at MSP. In addition, the Review Team will judge each proposer’s plans for property management and operational efficiency. The criteria listed below are not of equal value or decision weight. Submittal requirements for these Evaluation Criteria are further defined in Section V.B, Proposal Format.
• Financial Offer 250 Points
• Concept & Design Plan 100 Points
• Management & Operations Plan 250 Points
Total Possible 600 Points
B. Proposal Format Your proposal must be submitted electronically through the MAC solicitation site at:
http://metroairports.bonfirehub.com Submit your proposal in a single PDF document, with Exhibits A through D each uploaded as separate documents. Please limit the Financial Offer to only the information required in Section V.B.4.
In your proposal, sections should be numbered and tabbed consecutively (as numbered below) with all requested information enclosed within each Section. In all instances, Proposer should provide as much information as possible, and when applicable, provide any relevant additional information. The RFP evaluation process involves the specific focused review of each major element of each proposal, measured against industry norms and capabilities. Having all the company information in one (1) place, in the order required, makes it easiest to effectively and equitably evaluate the proposal.
This is the opportunity for the Proposer to tell their story. Clearly define the concept, the market target, the merchandise assortment, the design, and the other elements, as requested. Please take the time to carefully read and understand the proposal requirements.
The format, organization, and content are all important in conducting an accurate and complete review of your proposal.
Proposers must be sure to answer the submittal requirements. Please provide any other information that may help the Review Team to understand the uniqueness of your proposal.
The proposal requirements in this Section are not meant to limit the creativity of the proposal.
They are intended only as minimum elements that must be included. It is the Proposer’s responsibility to incorporate all information that it feels is pertinent to effectively present your capabilities.
EACH PROPOSAL MUST BE TABBED, ORDERED, AND SUBMITTED IN THE
FOLLOWING FORMAT:
1. Executive Summary and Minimum Requirements
Include an Executive Summary of the important and unique features of the proposal which should identify the Proposer and state other general information to include the Proposer’s business organization, contacts and related numbers and addresses.

The Executive Summary must state how the Proposer meets the following Minimum Requirements. In order to be considered, Proposers for all batches must:
a. Have five (5) years of experience operating a Foreign Currency exchange in an airport or other high-traffic area.
b. Have no pending, active, or previous legal action that would, in the
MAC’s sole judgement, prevent the proposer from fulfilling the terms of the Agreement.
2. Properly Executed Proposal Acknowledgment Form (Exhibit A) Sign and submit the Proposal Acknowledgment Form. (See Exhibit A). The Proposal Acknowledgment Form must be executed in the name of the business actually proposing to perform the Agreement if awarded, followed by the signature of the officer authorized to sign for the firm or sole proprietor and the printed or typewritten name of the officer and office held.
If the signer is not a corporate President, Vice President, or general partner, please provide evidence of the authority of the signer. In the event of a joint venture proposal, officers authorized by both entities must sign the Proposal Acknowledgment Form. The address and telephone number of the Proposer must be typed or printed on the form.
3. Proposal Deposit Companies submitting proposals are required to provide a Proposal Deposit in the amount of $5,000.
Proposal Deposits must be in the form of an electronic transfer, a certified check, a cashier’s check, a letter of credit, or a Proposal Bond in such form and substance acceptable to MAC. Checks should be made payable and mailed to the Metropolitan Airports Commission, with the envelope addressed to the attention of the Airport Contact Person listed on the first page of this RFP. If the Proposer wishes to submit the deposit electronically through ACH, they must reach out to the Airport Contact Person via email to receive the appropriate forms.
No proposal will be reviewed unless the Proposal Deposit has been received Deposits will be held/or deposited by MAC until execution of the Agreement with the successful Proposer. If a Proposer is notified that it has been unsuccessful or disqualified, the deposit will be returned. If a Proposer is successful, the proposal deposit will be returned upon execution of the Agreement and a Rent Security Deposit will be required, as noted in the enclosed Sample Concessions Lease Agreement (See Attachment 3). No interest will be paid to Proposers on this Proposal Deposit.
If the successful Proposer(s) fails or refuses to execute the negotiated Agreement, the sum of the Proposal Deposit will be retained by MAC, not as a penalty, but as liquidated damages. The damages resulting from failure to enter into an executed Agreement are difficult to ascertain, and the entire sum of the Proposal Deposit is a reasonable estimate of these damages.
4. Financial Offer - 250 POINTS (Exhibits B and C) The Proposer must provide a Proforma Operating Statement (Exhibit C) that indicates the Proposer's projected gross sales and expenses. The proforma will be evaluated by the Review Team in terms of reasonableness, demonstrated understanding of the proposed concept, viability of the proposed operation and Rent Offer, and ability to fund continuing operations from cash flow generated by the
Foreign Currency Exchange Concession Agreement Request for Concession Proposals Page 14 of 33 business. Include Proposed Sales and Rent Schedule (Exhibit B) and Proforma Per Unit Operating Statement (Exhibit C).
You are free to offer higher percentage rents and step rents based on sales volume, gross margins or other business criteria as dictated by the concept. In all offers, you are not permitted to offer a lower percentage rent than the one designated in Exhibit B. Points are awarded based on projected rent to the MAC over the term of the agreement based on reasonable sales.
Projections The Review Team will evaluate your projections based on reasonableness and on its evaluation of that concept at MSP. In an effort to help the Review Team better understand the concept and to support your financial projections, you should include examples from other airports, street side locations or other high traffic areas where the concept has performed at a comparable level. Be sure to support your projections with examples, traffic counts, and specific customer feedback if available.
5. Concept and Design Plan – 100 Points Proposer must submit relevant information in sufficient detail to clearly define the proposed concept or theme for each location and to allow it to be distinguished from other Proposers in the same location.
