About this file
This is a draft long-form contract template from the Housing Authority of the County of Marin (MHA) for vendor service agreements. The contract establishes a framework for "as-needed" architectural and engineering services supporting MHA's infrastructure improvement projects across its housing portfolio in Marin County and San Francisco. The contract term is one year from the effective date, with an option for one additional one-year extension at MHA's discretion, provided MHA issues written notice no later than 30 calendar days prior to expiration. The cumulative performance period cannot exceed two years without mutual written agreement. Key service requirements include design services, construction management, cost estimating, and engineering specialties for general construction and rehabilitation projects, with two immediate priority needs: replacement of 524 exterior light fixtures with LED systems at Golden Gate Village (a National Register of Historic Places property) and comprehensive mapping and evaluation of existing irrigation systems with assessment reports and repair recommendations. The contract incorporates the solicitation documents, contractor's proposal, and HUD Form 5370-C as binding exhibits.
Compensation is structured on a unit-based, hourly, or other agreed basis with a maximum not-to-exceed amount of $123,456.78 for the initial term, with postage and mailing costs reimbursed as direct expenses without markup. Any work exceeding the not-to-exceed amount requires a formal written change order approved and signed by MHA before performance. Invoices must be detailed and itemized, submitted after service delivery, and paid within 30 working days of receipt, provided services meet contract specifications. The contractor must maintain comprehensive insurance coverage including workers' compensation, commercial general liability ($1,000,000 per occurrence), professional liability ($1,000,000 per occurrence / $2,000,000 aggregate), and vehicle liability ($1,000,000 per occurrence) with MHA named as additional insured. The contractor is classified as an independent contractor and must comply with all federal, state, and local laws, including Service Contract Act requirements, HUD regulations, Davis-Bacon wage standards, equal employment opportunity requirements, drug-free workplace standards, and anti-discrimination provisions. MHA retains the right to terminate the contract without cause upon written notice or for contractor default, and all work product becomes MHA property.

Following discontinuance of services, MHA may arrange for a meeting with Contractor to determine what steps, if any, Contractor can take to adequately fulfill its requirements under this Contract. In its sole and
