The lease term is ten years, with the anticipated turnover date for construction in Quarter 1 of 2028 and expected opening in Quarter 3 of 2028.

Proposers must submit a $10,000 proposal deposit and meet minimum requirements including five years of experience operating a financial institution branch in an airport or high-traffic location, with no pending or previous legal actions that would prevent contract fulfillment. The financial evaluation component (100 points) requires proposers to bid a minimum of 50% percentage rent on all ATM out-of-network fees, with terminal rent assessed at $96.55 per square foot for 2026 (adjusted annually on January 1st). Additional evaluation criteria include Concept and Design Plan (200 points) and Management & Operations Plan (300 points), totaling 600 possible points. Operating hours are tentatively set for 8:00 a.m. to 4:00 p.m. Monday through Friday, with ATMs operational 24 hours per day. There is no minimum capital investment requirement; however, proposers must fund all tenant build-out and improvements. Proposals must not exceed 15 pages (excluding exhibits and attachments) and must be submitted in a single PDF with separate documents for Exhibits A, B, and D. The selected proposer will be required to execute a Sample Concessions Lease Agreement with specific design and construction standards detailed in the RFP attachments.

SECTION I – NOTICE OF REQUEST FOR PROPOSALS

The Metropolitan Airports Commission (“MAC”) invites the submission of Proposals from all interested and qualified proposers desiring to operate and manage a Financial Institution Branch Concession Agreement at the Minneapolis-St. Paul International Airport (“MSP” or “Airport”). Proposers are defined as the entity that signs Exhibit A (“Proposer”).

MSP is one of the nation’s busiest airports, with over 36 million passengers in 2025. MSP is an international airport, a hub for Delta Air Lines, and a gateway to Minnesota, the Upper Midwest region, and 15 Fortune 500 companies that are based in Minnesota. MSP is owned and operated by the MAC, which is governed by a 15-member Board of Commissioners. Additional information about MSP is available at www.mspairport.com. Additional information regarding MSP enplanements can be found in Attachment 3 – Monthly Summary of Operations.

The Airport is often a visitor's first impression of the region. In this Request for Proposal (“RFP”), MAC seeks trusted partners who will bring their own expertise to provide world-class concessions at MSP to enhance the passenger experience.

This RFP has been designed so Proposers can follow a step-by-step process from proposal preparation, to submittal, evaluation, and award. Proposers may not rely on any implied representations or warranties (the existence of which are hereby disclaimed), or the accuracy of projections or prospective information provided in connection with this RFP. Proposers should make an independent and expert investigation and evaluation of all information provided in connection with this RFP.

IT IS IMPERATIVE THAT ALL PROPOSERS READ, REVIEW AND UNDERSTAND THIS RFP

AND ALL EXHIBITS AND ATTACHMENTS. YOUR ATTENTION IS SPECIFICALLY DIRECTED

TO THE DRAFT AGREEMENTS ATTACHED. SPECIFIC TERMS AND CONDITIONS OF THE

AGREEMENT TO BE AWARDED UNDER THIS RFP ARE CONTAINED THEREIN. ANY

REQUESTED CHANGES TO THE SAMPLE LEASE AGREEMENTS MUST BE NOTED IN THE

PROPOSED CHANGES. MAC RESERVES THE RIGHT TO MAKE ANY CHANGES TO THE

CONTENT, FORMAT, AND TERMS OF THE LEASE AGREEMENT.

Proposers are encouraged to send written questions concerning the RFP to the Airport Contact Person at MAC no later than Monday, October 12, 2026. Participants may also bring additional questions to this meeting.

2. Pre-Proposal Questions

MAC invites any and all questions referencing this RFP by the date outlined in Proposal and Award Schedule (Section III.A). Questions submitted after 5:00 P.M. on the due date may be ignored. Addenda will be made available to each person who has registered and downloaded the RFP from the MAC website http://metroairports.bonfirehub.com. Any addenda so issued become part of this RFP.

D. Proposer Responsibility The Airport environment is quite different from other commercial environments. It is important for Proposers to note that the MSP operating environment presents a set of unique challenges that do not exist outside the airport environment.

Financial Institution Concessions Agreement Request for Concession Proposals Page 6 of 27

1. The MSP passenger has a limited amount of time in an airport environment.

2. Branch location must be open during all standard banking business days with operating hours and staffing levels reflecting both the hourly and seasonal fluctuations in passenger traffic. ATM units must be operational 24 hours per day.

3. Employee recruitment and retention can be challenging in an airport environment.

Longer commute times, security badging requirements, and other factors can make it difficult to find and retain quality employees.

Each Proposer must carefully examine the RFP and related documents, the plans with respect to the concession areas, and the facilities at the Airport. Each Proposer must judge for itself as to the completeness of all conditions and circumstances in the RFP for this concession. Failure on the part of any Proposer to make such examination and to investigate thoroughly the RFP and related documents will not constitute grounds for declaration by a Proposer that it did not understand the conditions with respect to its proposal.

E. Withdrawal of Proposal Proposals may not be withdrawn after the proposal due date. In submitting the proposal, the Proposer agrees that the proposal will remain valid for 180 calendar days after the deadline for submission of proposals and may be extended beyond that time by mutual agreement.

F. Airport Contact Person From the date the RFP is issued through the Commission award, Proposers shall not contact any members of MAC staff, or their advisors, in any way related to this RFP process except for the Airport Contact Person listed on the cover page of this RFP.

G. Title VI Solicitation Notice The MAC, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42 U.S.C. §§ 2000d to 2000d-4), 28 CFR § 50.3, and 49 CFR Part 21, hereby notifies all bidders that it will affirmatively ensure that any contract entered into pursuant to this advertisement, all contractors will be afforded full opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of the owner’s race, color, national origin, sex, creed, age, or disability in consideration for an award.

*MAC reserves the right to adjust the schedule as necessary.

B. Selection Process Each proposal will be evaluated according to the following process to determine how well it meets the Evaluation Criteria outlined in Section V.A. Evaluation Criteria are for the purpose of the Review Team in evaluating the proposals and in making a recommendation to the Commission.

1. Minimum Requirements

The first step is to determine whether the proposal meets the Minimum Requirements found in Section V.B.1. Proposals failing to meet the minimum requirements, including completeness, format and content, may be rejected without further evaluation.

2. Evaluation / Scoring All information presented in the proposal may be verified and substantiated during the course of the evaluation process. Proposers may be asked to revise, clarify and/or provide additional information during the proposal review process. These requests will require prompt action by Proposers. Those proposals not rejected will be evaluated by the Review Team according to the Evaluation Criteria found in Section V.A.

3. Interviews and Field Evaluations If the Review Team deems it necessary, it may select some or all proposals as finalists and conduct oral interviews. Interviews will not be scored as specified in the Evaluation Criteria found in Section V.A. The Review Team may also conduct unscheduled visits at existing concession locations currently being operated or managed by the Proposer. The Review Team has sole determination of which Proposers will receive field visits.

4. Review Team Recommendation The Proposal will be scored by the Review Team. Proposers may be asked to revise, clarify, and/or provide detailed information in an effort to complete evaluation.

All Proposers must understand that their proposals are subject to changes in an attempt to finalize the best possible outcome for MAC and the traveling public.

Any and all attempts made by the Proposer (not initiated by the Review Team or MAC) to materially alter a proposal during the Review Team’s evaluation, recommendation, or award portion of this process may result in the removal of that proposal from consideration. The Commission will not accept any changes to a proposal once submitted unless the MAC initiates or approves the proposed changes in an effort to negotiate an Agreement.

The Review Team will make its recommendation based on the review criteria and weighted points assigned to each criteria but also may consider competitive issues in making its final recommendation. The Review Team will recommend the award(s) to the Operations, Finance & Administration (OF&A) Committee. The recommendation memo to the OF&A Committee is mailed to the Committee and posted on MAC’s web site approximately one (1) week before the meeting.

5. Commission Decision Based on the recommendation of the Review Team, the OF&A Committee will make its recommendation to the full Commission. The full Commission makes the final selection decision. Neither the OF&A Committee nor the full Commission are obligated to follow the recommendation of the Review Team. The Commission

Financial Institution Concessions Agreement Request for Concession Proposals Page 8 of 27 may award to any proposer it sees fit. Any Proposer may request to speak at the OF&A Committee meeting and/or at the full Commission meeting.

6. Award of Agreement Once the full Commission has made a final determination, MAC will notify the successful Proposers in writing and submit a proposed Agreement for signature.

MAC may consider proposed modifications to the Agreement submitted by Proposer, but Proposer’s failure to execute an Agreement within a reasonable time, as determined exclusively by MAC, may result in the withdrawal of the award and selection of another Proposer.

Prior to execution of the Agreement, MAC may request that Proposer submit to MAC signed statements of intent, subtenant agreements, or other evidence of intent from brands, licensors, franchisors, suppliers, subtenants, and/or other partners included within the proposal. If Proposer fails to do so to MAC’s satisfaction, MAC may withdraw award of the Agreement to Proposer.

C. Review Team The Review Team will consist of a MAC commissioner, MAC staff evaluators, MAC staff advisors and outside specialists.

The evaluators are:

Corey Day MAC Commissioner Naquandra Peterson Manager, Concessions & Business Development Katlyn Schenk Customer Programs Coordinator, Customer Experience Jason Paltzer Assistant Director, Concessions & Business Development Michael O’Donnell Manager, Concessions & Business Development

The non-scoring advisors for the Review Team are:

Mike Batt Financial Analyst Laurel Deneen Manager, Contracts and Proposals Matt Krogh Associate General Counsel, Legal Affairs Jay Noseworthy Manager, Concessions & Business Development Ed Podnieks Assistant Director, Financial Analysis & Business Planning Alan Sasse IS Audit Manager, Internal Audit

MAC’s VP, Commercial Revenue Officer or CEO may add or substitute members of the Review Team with people with similar qualifications if it would further the goals of the Commission.

D. Overview of the Opportunity The purpose of this non-exclusive RFP is to select one (1) proposer who will best fulfill MAC’s goals and objectives as delineated in this RFP. MAC recognizes that emphasizing customer satisfaction in a friendly and efficient environment results in the most revenue to our tenants and rents to MAC.

1. MAC’s Purpose Statement The MAC’s purpose is to provide exceptional airport experiences, so Minnesota thrives. At its core, the MAC aims to connect the Twin Cities region to the world while using a sustainable business model that provides the best customer experience. The MAC also strives to remain well positioned for changes in the aviation industry.

2. Goals and Objectives

Financial Institution Concessions Agreement Request for Concession Proposals Page 9 of 27

MAC seeks only high-quality operators and firms (and their qualified subtenants) who can enhance the passenger experience and will continue to improve the concession program and will creatively reflect the region’s economy, culture, and quality of life. Based on this principle, MAC has established the following goals and objectives for this RFP:

a. Meet or exceed the airport community desires and expectations while traveling through MSP.

b. Offer convenience to the traveling public while meeting or exceeding the public’s needs.

c. Provide exceptional customer service and an innovative experience throughout the term of the Agreement.

d. Maximize revenue to MAC.

e. Further the public interest of the State by maximizing the economic benefits of MSP to the State of Minnesota generally.

3. General Descriptions of the Opportunities

Financial institution branch with a mix of one (1) in line traditional location and three

(3) automated teller machines (ATM). Freestanding ATM will require standard electrical and data conditions.

4. Location of Opportunity (Attachment 3) The location of the unit, can be seen in Attachment 3, it will sit on the mezzanine level in the Main Mall area. Attachment 3 details a general plan for the future Financial Institution Branch and 3 (three) allotted ATM concession spaces. This is MAC’s preliminary plan. MAC is seeking proposals that take MAC’s plan and incorporate the Proposer’s ideas into an overall plan for the MSP concession opportunity.

All spaces are offered in “as is” condition. As a general matter, MAC is offering no tenant improvement allowances. However, MAC may perform certain specific items before or during tenant construction. Identification of these items is ongoing, and MAC will identify by addendum the MAC-provided improvements, if any, by unit in advance of the proposal deadline.

5. Design & Construction Requirements The concept must be designed in accordance with MAC Tenant Design Criteria (see Attachment 1) and constructed according to MAC Construction Standards and Procedures.

Concessionaires will be required to construct and provide all fixtures for the facility unless otherwise specified. All designs must be reviewed and approved by MAC staff and must comply with the MAC Design & Construction Standards.

For more information on the construction process, see Attachment 4.

Failure to complete the design and construction and meet the assigned opening dates outlined in the Concessions Lease Agreement may result in liquidated damages as specified in the Agreement.

SECTION IV – SUMMARY OF BUSINESS TERMS

Financial Institution Concessions Agreement Request for Concession Proposals Page 10 of 27

All Agreement terms are set forth in the Sample Concessions Lease Agreement (Attachment 2). A summary of key business terms is provided here for reference. The terms of the Concessions Lease Agreement govern if there is any discrepancy between this summary and the Concessions Lease Agreement.

A. Lease Term The term for the venue outlined in this RFP is as follows: Ten (10) years.

B. Transition Plan MAC will develop a transition and construction plan for the successful Proposer. The “Turnover Date” is the date that the selected Proposer is expected to begin to build-out its tenant improvements. The Turnover Date may vary for each unit.

The transition period is expected to occur in Quarter 1 of 2028. Assuming award in March of 2027, MAC’s goal is to have the unit completed and open by Quarter 3 of, 2028.

Each unit’s Rent Start Date will be the earlier of (i) the date the unit opens for business or

(ii) the unit’s assigned opening date in the Concessions Lease Agreement. Each unit’s assigned opening date is subject to change in MAC’s sole discretion.

Each agreement’s base term will begin at the conclusion of the transition period.

Failure to complete the design, construction and opening dates as prescribed in the Concessions Lease Agreement could result in liquidated damages as outlined in the Concessions Lease Agreement.

C. Operator Investment There is no minimum capital investment required for this opportunity. However, the Proposer must invest in the build-out of the space, ensuring that the concept is designed in accordance with MAC Tenant Design Criteria (see Attachment 1) and constructed according to MAC Construction Standards and Procedures

D. Hours of Operation The hours of operation are tentatively slated to be 8:00 a.m. and 4:00 p.m. Monday through Friday, however, proposers may suggest operating hours they believe would be most advantageous for the location. The MAC may adjust the required hours. MAC reserves the right to require concessionaires to remain open longer hours in situations like weather delays.

E. Rent and Other Charges

1. Terminal Rent, and Percentage Rent

Proposers will propose a minimum of 50% percentage rent to MAC on all ATM Out of network fees. Your proposed percent rent may increase or stay flat over time, provided it always must exceed the minimum of 50% percentage rent.

MAC will also collect square footage rent (Terminal Rent) for the physical space occupied. The estimated square footage of this location is 400 sq. ft., the rate changes annually on January 1st, and for 2026 the rate is $96.55 per square foot.

Throughout the Base Term, and any holdover periods, Proposers will pay both Terminal rent and a share of the ATM fees. Rent will start when the unit is open to the public and ATM transaction fees begin when the ATM’s become operational.

2. Other Occupancy Charges

a. Cost Recovery

The following tenant costs are billed directly to the tenant by either MAC or other entities (e.g., governing health department, property taxes, Financial Institution Concessions Agreement Request for Concession Proposals Page 11 of 27 maintenance/distribution, etc.). If they are billed by MAC, they are not considered as revenue to MAC, but rather are MAC’s cost recovery of the expenses paid by MAC and prorated to the tenants.

i. Taxes - Each concessionaire is solely responsible for payment of all applicable taxes per location to include storage spaces if applicable. Property taxes are billed directly by Hennepin County.

Building Permits – The selected Proposer must obtain a MAC building permit. The fee varies by location based on the size of the project.

Fee schedules will be reviewed at the pre-proposal meeting.

SECTION V – INFORMATION TO BE SUBMITTED BY PROPOSERS TO

MAC

A. Evaluation Criteria The Evaluation Criteria will assist the Review Team, considering the Airport as a whole, in determining which proposals are the most responsive to the needs of the Airport’s customers.

This determination may include judgments on which proposal: provide a competitive financial package, innovative design plan, and comprehensive management and operations plan. The criteria listed below are not of equal value or decision weight. Submittal requirements for these Evaluation Criteria are further defined in Section V.B., Proposal Format.

• Financial Offer 100 Points

• Concept & Design Plan 200 Points

• Management & Operations Plan 300 Points

Total Possible 600 Points

B. Proposal Format Your proposal must be submitted electronically through the MAC solicitation site at:

http://metroairports.bonfirehub.com Submit your proposal in a single PDF document, with Exhibits A, B and D each uploaded as separate documents. Please limit the Proposed ATM Transaction Fees to only the information required in Section V.B.4.

In your proposal, sections should be numbered and tabbed consecutively (as numbered below) with all requested information enclosed within each Section. In all instances, Proposer should provide as much information as possible, and when applicable, provide any relevant additional information. Use additional forms and written text to effectively communicate your concepts and qualifications. The proposal, excluding Exhibits and/or Attachments, must not exceed fifteen (15) pages, When applicable, visual aids, such as pictures, graphics, and menus may be used to supplement written text and do not count against page limits. Proposers are required to submit renderings for each concept including a basic floor plan with seat counts and a back-of-house layout.

The RFP evaluation process involves the specific focused review of each major element of each proposal, measured against industry norms and capabilities, and against the other proposals. Having all the company information in one (1) place, in the order required, makes it easiest to effectively and equitably evaluate the proposal.

This is the opportunity for the Proposer to tell their story. Clearly define the concept, the market target, the merchandise assortment, the design, and the other elements, as requested. Please take the time to carefully read and understand the proposal requirements.

The format, organization, and content are all important in conducting an accurate and complete review of your proposal.

Proposers must be sure to answer the submittal requirements. Please provide any other information that may help the Review Team to understand the uniqueness of your proposal.

The proposal requirements in this Section are not meant to limit the creativity of the proposal.

They are intended only as minimum elements that must be included. It is the Proposer’s responsibility to incorporate all information that it feels is pertinent to effectively present your capabilities.

EACH PROPOSAL MUST BE TABBED, ORDERED, AND SUBMITTED IN THE

FOLLOWING FORMAT:

1. Executive Summary and Minimum Requirements

Include an Executive Summary of the important and unique features of the proposal which should identify the Proposer and state other general information to include the Proposer’s business organization, contacts and related numbers and addresses.

This summary must also provide an overview of the uniqueness of the proposal. This Section must not contain any financial information (i.e. rents, gross margins, gross profits, etc.) or any other element that would indicate any portion of your Rent Offer.

The Executive Summary must state how the Proposer meets the following Minimum Requirements. In order to be considered, Proposers must:

a. Have five (5) years of experience operating a financial institution branch in an airport, other high-traffic area, or streetside location.

b. Have no pending, active, or previous legal action that would, in the

MAC’s sole judgement, prevent the proposer from fulfilling the terms of the Agreement.

Proposers are to provide the following information for the proposer, for the 10 years prior to the published proposal deadline: all pending, active, or previous legal actions, formal complaints and investigations, and formal defaults under any contract. Proposers are to supplement their proposals with any such information that may develop until MAC has awarded the relevant concession opportunity.

2. Properly Executed Proposal Acknowledgment Form (Exhibit A) Sign and submit the Proposal Acknowledgment Form. (See Exhibit A). The Proposal Acknowledgment Form must be executed in the name of the business actually proposing to perform the Agreement if awarded, followed by the signature of the officer authorized to sign for the firm or sole proprietor and the printed or typewritten name of the officer and office held.

If the signer is not a corporate President, Vice President, or general partner, please provide evidence of the authority of the signer. In the event of a joint venture proposal, officers authorized by both entities must sign the Proposal Acknowledgment Form. The address and telephone number of the Proposer must be typed or printed on the form.

3. Proposal Deposit Companies submitting proposals are required to provide a Proposal Deposit in the amount of $10,000.

Proposal Deposits must be in the form of an electronic transfer, a certified check, a cashier’s check, a letter of credit, or a Proposal Bond in such form and substance

Financial Institution Concessions Agreement Request for Concession Proposals Page 13 of 27 acceptable to MAC. Checks should be made payable and mailed to the Metropolitan Airports Commission, with the envelope addressed to the attention of The Airport Contact Person listed on the first page of this RFP. If the Proposer wishes to submit the deposit electronically through ACH, they must reach out to the Airport Contact Person via email to receive the appropriate forms.

No proposal will be reviewed unless the Proposal Deposit has been received Deposits will be held/or deposited by MAC until execution of the Agreement with the successful Proposer. If a Proposer is notified that it has been unsuccessful or disqualified, the deposit will be returned. If a Proposer is successful, the proposal deposit will be returned upon execution of the Agreement and a Rent Security Deposit will be required, as noted in the enclosed Sample Concessions Lease Agreement (See Attachment 2). No interest will be paid to Proposers on this Proposal Deposit.

If the successful Proposer(s) fails or refuses to execute the negotiated Agreement, the sum of the Proposal Deposit will be retained by MAC, not as a penalty, but as liquidated damages. The damages resulting from failure to enter into an executed Agreement are difficult to ascertain, and the entire sum of the Proposal Deposit is a reasonable estimate of these damages.

4. Financial Offer - 100 POINTS (Exhibit B) The successful Proposer shall be required to enter into a lease agreement for terminal space associated with the bank location. Terminal space rent will be assessed at the then current rate per square foot for the first year, and will be adjusted annually on January 1st.

In addition, the successful Proposer shall remit to the MAC a percentage of all ATM fees collected. Proposers must include their proposed percentage in their submission. The minimum acceptable percentage to be paid to MAC is fifty percent (50%).

These financial obligations will be incorporated into the final agreement executed with the selected Proposer.

Projections The Review Team will evaluate your projections based on reasonableness and on its evaluation of that concept at MSP. In an effort to help the Review Team better understand the concept and to support your financial projections, you should include examples from other airports, street side locations, or other high traffic areas where the concept has performed at a comparable level. Be sure to support your projections with examples, traffic counts, and specific passenger feedback if available.

5. Concept, and Design Plan – 200 Points Proposer must submit relevant information in sufficient detail to clearly define the proposed concept or theme for each location and to allow it to be distinguished from other Proposers in the same location. Take this opportunity to clearly communicate how the proposal and its proposed concepts would be the best business concepts for that location.

a. Concept

Describe in detail the concept or theme being proposed. Do not assume that the Review Team knows the company or the brands or concepts that are being submitted.

Financial Institution Concessions Agreement Request for Concession Proposals Page 14 of 27

i. Describe the overall concept/image or theme you are proposing for each location.

ii. Describe how the concept, brand, and theme will meet or exceed the Airport's goals and respond to the wants and needs of the Airport’s customers.

iii. Provide descriptions of the concept being proposed. If available, provide photos of other branch locations where this concept exists.

Include photos of store exterior, interior, signage, product displays, or any other visual information that would effectively communicate the concept.

iv. Submit an analysis showing how this concept succeeds elsewhere, and how you think this concept will be successful at MSP.

v. Describe sustainability attributes of the concept or theme being proposed for each location.

b. Design Plan

Proposer must submit completed plans from existing locations in sufficient detail to facilitate evaluation of the quality and design of the proposed tenant improvements. In an effort to save both time and money, Proposers are free to submit store photographs (exterior and interior), merchandise / display photographs, and plans from previous or current facilities at other locations or airports that the Proposer determines are examples of the facility that MAC can expect to see at MSP. Use this opportunity to describe how the overall design plan is consistent with the unit image, the sales / lifestyle trend, the target market, and the special needs of airport users. Proposers are encouraged to be creative with the utilization of dynamic and unique storefronts. MAC wishes to present a welcoming environment to the travelling public and all customers. Proposers should focus on enhancing accessible options in all concept designs. Additionally, to ensure a seamless experience for all customers, please outline the technology you propose to utilize to mitigate wait times and queue lines during peak hours. Be sure to include additional information that would be useful in evaluating the concept including any design, fixture, or materials changes that you would propose for MSP and why.

Your photographs and plans should give the review team a complete understanding of:

i. The overall design plan for the space. Proposers are required to submit renderings for each concept including a basic floor plan with seat counts and an appropriately sized proposed kitchen layout.

ii. General color scheme.

iii. Fixtures, seating (if applicable), casework, and equipment.

iii. Examples of signage and any other graphic elements.

Sustainability attributes of the design elements. The design is required to follow the MAC Sustainable Design and Construction Requirements. See the attached MAC Tenant Design Guidelines for more information.

iv. Window displays

Include a materials listing which demonstrates the image, quality, durability, and colors of the various materials to be used within the concept including:

i. Floor covering

ii. Wall covering

iii. Ceiling covering

iv. Counter materials

v. Product packaging

vi. Storage areas

If your proposal is successful, MAC will require specific plan submittals and reviews as detailed in Attachment 1.

At the end of the term, Proposers should use due diligence to repurpose, recycle, and/or up-cycle leasehold improvements including disposal of items.

6. Management & Operations Plan - 300 Points

Quality control of all concepts is a vital interest to MAC. Proposers are asked to submit sufficient information to allow the Review Team to evaluate how your management structure, staff, operations plan, and point of sale management will achieve the goal of operating a high quality, customer-focused enterprise. For each location the Proposer is to discuss the unit quality control standards that will be in place at each proposed unit. Include any maintenance plans with cleaning and inspection schedules. Discuss how high standards will be implemented and how tenant coordination will be conducted to ensure that the high standards are maintained. This is an appropriate section to demonstrate the company’s understanding of whatever differences you might expect between on- and off-airport operations and how the proposed concepts will best serve the traveling public. All brands proposed must be open 365 days per year.

a. Company History and Ownership

Provide a detailed company history, highlighting the company’s operating experience. Include years of operation for both airport and non-airport facilities. Provide a per unit listing of all facilities for up to seven (7) of the largest airports or non-airport locations. Include in this listing the location, facility name, square footage, type of operation, annual gross revenue, annual rent, Agreement term, and complete details of the rent structure including percentage rents for different product groups.

c. Management & Staffing In this Section, Proposer should explain in detail the number of years and extent of Proposer’s industry experience, with special emphasis upon prior experience with the development and management of such facilities at airports, major transportation centers, shopping centers, or other high-traffic/high-volume environments. Proposer should also provide details on the pertinent experience of persons who will be directly involved in the development and management of the facilities at MSP and must specifically identify its on-site manager and assistant manager with resumes attached.

This Section of the proposal should include the following:

Names and addresses of streetside branches, or airport programs developed and managed by the Proposer in the prior five (5) years.

Specifically identify any locations where the proposed Concession

Manager for MSP has managed one (1) or more of these developments.

Organizational chart specific to MSP operations, noting decision-making responsibilities. Describe the proposed staffing involved in tenant coordination and management.

Proposers must describe staffing levels and schedules to illustrate coverage of operating hours and good customer service. Provide emergency operations staffing procedures.

Assume for purposes of preparing your proposal the hours of operation for this unit shall be between 8:00 a.m. - 4:00 p.m. central time, Monday - Friday. Reference RFP Section IV.D for exceptions.

Additionally, describe labor and training practices. Recruiting, training, motivating, and retaining quality sales associates is vital to the success of each unit at MSP. Please provide the following information regarding the labor and training practices which will be used at MSP and show how the following can be utilized to accomplish MAC’s goals of improving the employee working environment such that quality employees seek out the opportunity to work at MSP’s concessions:

i. Describe how Proposer will handle employee transition, including the recruitment and hiring of employees that currently work at the Airport Concessions, and how employees will be compensated.

ii. Describe sources of management and non-management labor.

iii. Describe employee retention, programs, and your specific MSP plans.

iv. Describe any motivation programs or incentives your company has in place for employees.

v. Describe customer service training program or any training program unique to the concept.

vi. Describe any training programs you have in place for persons with learning or other disabilities.

vii. Note additional customer service policies and performance standards.

Communication with customers is vital for a successful business and high-quality customer service.

MAC is vitally interested in securing a knowledgeable and qualified workforce at every location. In the proposal, be sure to explain how the intended recruiting, training, and motivating practices will result in a superior staff. Be sure to provide a written plan showing the process that management plans to follow in filling positions at MSP and how that plan contributes to the fulfillment of MAC concession goals. The proposal must show the intended practices to recruit, compensate, motivate, and train the Proposer’s employees.

d. Maintenance and Deliveries

Describe with specifics your maintenance plan and procedures. Provide as much detail as needed to show MAC how you currently achieve high standards of cleaning and preventative maintenance. Provide any letters of support or awards won for the above efforts. Highlight any anticipated unusual equipment or problems that your MSP research has revealed.

Explain how storage will be addressed within the concept leased premises or otherwise.

The Agreement provides many specifics. Be sure to show how you intend to meet or exceed those stipulated requirements.

e. Customer Service Plan Describe how you will address the special needs of travelers, specific to the MSP market, such as families with small children, senior citizens, people with disabilities, and non-English speakers.

f. Sustainability Proposers should consider how they can align with and support MAC’s sustainability goals through services, processes, and policies related to sustainability. For example:

i. Sustainability Commitments

Proposers are encouraged to include any organizational sustainability policies, goals, programs, or distinctions they hold as part of their submission. This may be inclusive of strategies to reduce GHG emissions, conserve water, and minimize waste, or any other goals the organization has set.

ii. Materials and Packaging

Explain your approach to materials used in service delivery, including packaging, containers, or other physical components.

Preference is given to compostable or recyclable or materials consistent with applicable sustainability programs or standards, including BPI-certified compostable options where relevant. The use of polystyrene and single-use plastics such as straws, stir sticks, and bags is strongly discouraged and may be restricted in the future

iii. Promotion of Sustainable Practices

As appropriate to your services, describe how you will promote sustainable choices to customers, clients, or end users. This may include highlighting sustainable products, offering incentives, or integrating sustainability messaging into your operations.

7. Exceptions This RFP represents MAC’s proposed layout, use clauses, business terms, and concepts that MAC believes are in agreement with the expectations of the passengers and the needs of MAC. As a Proposer you must submit a proposal complying with all the provisions and requirements of the RFP, including the completion of Exhibits A, B and D. As an “Exception” to your proposal, you are free

Financial Institution Concessions Agreement Request for Concession Proposals Page 18 of 27 to offer for consideration provisions to the Sample Lease Agreement. As noted below, you must offer a concept for the space(s) contained in the RFP and you must meet or exceed the minimum percent transaction fee requirements. As part of this Section, MAC requires the Proposer to include a specific list of Exceptions to the requirements of the RFP and/or Agreement documents, if any, listed on a separate page labeled "EXCEPTIONS." Identify the RFP requirement, nature of the deviation, and explanation and any substitutions in language requested. MAC is not obligated to accept these new provisions or Exceptions, and if the Proposer is preliminarily selected, the selection will be subject to achieving agreement on the items you have identified in this Section.

NOTE: You must offer the minimum percent rent. Terminal rents may not be modified under this provision. The Exceptions clause cannot be used to eliminate any portion of the Minimum. Any proposal that does not follow this note will be rejected as non-compliant.

If there are no Exceptions to any portion of this RFP, Proposers must state that on the Exception page. If no Exceptions are identified and the Proposer's proposal is accepted by MAC, Proposer must conform to all of the requirements specified.

8. Review Team Field Visits/Evaluations & Interviews - NO POINTS

AWARDED

a. Field Visits The Review Team may visit (shop) many of the concepts that are offered in your proposal. Based on the proposals received, the Review Team will determine those Proposers and locations to be visited and when that visit will occur. The Review Team will evaluate the operation and its actual offerings and staffs. The time and place for those visits will not be announced prior to the visit and some locations might receive multiple visits.

b. Interviews If the Review Team deems it to be beneficial in its decision-making process, they are free to schedule an interview with a Proposer to clarify or review issues noted from the proposal. These interviews could come prior to or following the above field visits. The interviews have no specific point values, but may be used by the Review Team in developing or clarifying their final scores in the listed criteria.

SECTION VI - DATA PRACTICES

A. Treatment of Proposal Data

All data submitted to MAC by proposers are governed by the Minnesota Government Data Practices Act (MGDPA). Under Minn. Stat. § 13.591, once a proposal is due, the names of the proposers becomes public information. All other information in the proposal does not become public until MAC has completed the negotiation of its agreement with the selected proposer (“completion of the evaluation process”).

After MAC has completed the evaluation process, the evaluative data (data created or maintained by MAC as part of the evaluation process) and all of the information in the proposals become public, with the exception of trade secret data.

Financial Institution Concessions Agreement Request for Concession Proposals Page 19 of 27

A statement by a proposer that his or her data is copyrighted or otherwise protected does not necessarily prevent public access to the data in the proposal at such time that the data would otherwise become public by law.

Prior to the completion of the evaluation process, proposers are not entitled to inspect proposals submitted by other proposers or evaluative data created by MAC as part of the selection process. During that process, MAC staff, its consultants, and MAC Commissioners may be informed of the data in the proposals and may view the proposals.

Also, prior to the mailing of the staff memo, proposers may discuss the proposals with MAC Commissioners, but MAC Commissioners are not able to reveal the contents of the other proposals.

In MAC’s public committee and commission meetings, Commissioners may discuss any trade secret information submitted in the proposals to the extent reasonably necessary to conduct the business at hand. The discussed data, however, retain their classification as private or nonpublic.

If all responses to a proposal solicitation are rejected by the Commission prior to completion of the evaluation process, all proposal data, other than that which was made public at the time of proposal opening, remains private or nonpublic until a re-solicitation of the proposal results in completion of the evaluation process or a determination is made to abandon the process. If the rejection occurs after completion of the evaluation process, the data remain public. If a re-solicitation of proposals does not occur within one year of the proposal opening date, the remaining data then become public.

All of the abovementioned provisions in this section are governed by Minn. Stat. § 13.591.

Proposers who believe their proposals may contain data that qualify as trade secret information are directed to the following paragraphs.

In order to qualify for classification as trade secret information, the data must meet all of the provisions set forth in Minn. Stat. § 13.37, subd. 1(b). Trade secret information is defined as:

government data, including a formula, pattern, compilation, program, devise, method, a technique or process (1) that was supplied by the affected individual or organization, (2) that is the subject of efforts by the individual or organization that are reasonable under the circumstances to maintain its secrecy, and

(3) that derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use.

Proposers who wish to maintain a classification of trade secret information with respect to any data contained in their proposals must submit two versions of their proposal. Each version of the proposal must be conspicuously marked either “PUBLIC” or “NOT PUBLIC” on the cover page. In the not public version, proposer should redact all data claimed to be trade secret information under Minnesota law. In addition, because the MGDPA requires MAC to justify each redaction made to a document prior to its release to the public, MAC requires that proposer provide a redaction-by-redaction justification for the information’s classification as trade secret information. See Minn. Stat. § 13.03, subd.

3(f).

Trade secrets lose their protected status “if they are [not] the subject of efforts by the individual or organization that are reasonable under the circumstances to maintain [their]

Financial Institution Concessions Agreement Request for Concession Proposals Page 20 of 27 secrecy … .” Minn. Stat. § 13.37, subd. 1(b). Thus, each trade secret justification should include a description of the internal controls used by proposer to regulate the possession, use, and dissemination of the alleged trade secret. These controls could include:

employee non-disclosure agreements, “need to know” access policies, data segregation techniques, etc.

In addition, because trade secret information must “derive[] independent economic value” from its secrecy, each justification should include evidence of the financial value of the alleged trade secret.
