How the County Anticipates Contracting

It is the responsibility of each Responder to examine the entire solicitation, seek clarification in writing (inquiries), and examine its offer for accuracy before submitting the offer. Lack of care in preparing an offer shall not be grounds for modifying or withdrawing the offer after the due date and time, nor shall it give rise to any contract claim.

Solicitation Contact Person. Direct all inquiries related to the solicitation, including requests for or inquiries regarding, standards referenced in the solicitation, to the Procurement Officer. Do not contact any County personnel other than the Procurement Officer concerning the solicitation while in progress, through and including award.

Submission of Inquiries. Questions shall be submitted on or before the question due date in the “Vendor Discussions” section of Bonfire using the link noted on the Executive Summary. Answers to questions will be posted as an addendum in the “Supporting Documentation” section in Bonfire. Registered suppliers will be notified when the addendum has been posted. Any correspondence related to a solicitation should refer to the appropriate page and paragraph number of the solicitation, if applicable. The Procurement Officer will not respond to inquiries received in any other manner.

Verbal or Email Responses. Do not rely on verbal or email responses to inquiries as those do not constitute a modification of the solicitation. Only a solicitation addendum issued by the Procurement Officer in Bonfire can modify the solicitation.

PRE-SUBMITTAL CONFERENCE

The County will not conduct a Pre-Submittal Conference for this Solicitation.

OFFER PREPARATION

4.1 Online Documents. The solicitation documents are only provided online in Bonfire. The County will not provide any printed copies or other formats.

4.2 Deviations and Changes in Offer. Any unidentified alteration or modification to any Solicitation documents shall be null and void. Only modifications made through the use of the Attachment B-3 “Conformance Statements” will be considered by the County. Modifications are not permitted after offers have been opened except as permitted as part of contract negotiations.

4.3 Value Add Products or Services. Contractors are strongly encouraged to offer innovative and value-add products and/or services which are not specifically addressed as line items in the solicitation. Pricing offered should be noted on the pricing pages of the Contractor response in the format requested.

4.4 Evidence of Intent. The Offer Form within the solicitation shall include a signature by Responder’s duly, authorized officer, executive, principal, or agent. The signature will be deemed to signify the Responder’s intent to be bound by the offer and the terms of the solicitation and the Responder’s representation that the information provided is true, accurate and complete. Failure to submit verifiable evidence of an intent to be bound may result in rejection of the offer.

4.5 Exceptions to Solicitation Documents. If the submission of the offer is conditioned on exceptions to any of the solicitation documents, indicate “NO” on Attachment B-3 "Conformance Statements" and provide the required justification. Any exceptions taken elsewhere in an offer or any preprinted or standard terms will be void in that offer and without force or effect in any resulting contract unless such exception is specifically accepted by the Procurement Officer in a written statement.

4.6 Cost of Offer Preparation. The County will not reimburse any Responder any costs associated with responding to the solicitation.

4.7 Identification of Taxes in Offer. The County is subject to Arizona Transaction Privilege Tax (TPT) and local sales/use taxes, as set forth in the contract terms and conditions. Taxes shall be identified as separate items by amount or by rate, as applicable, in the offer.

4.8 Excise Tax. The County is exempt from certain federal excise tax on manufactured goods. The County will provide the necessary exemption certificates as evidence.

4.9 Employer Identification. Responder agrees to provide an employer identification number (EIN) or social security number to the County for the purposes of reporting monies paid by the County under the contract to appropriate taxing authorities; the submission is mandatory under 26 U.S.C. § 6041A. If that identifier is the social security number, the County will only use it for tax reporting purposes and the County shall only share it with appropriate County and federal officials.

4.10 Offer Validity Period. Responder shall hold the offer open for one hundred eighty (180) days after the solicitation due date indicated within the Executive Summary section of this solicitation.

4.11 Confidential Information. If a Responder believes that a portion of their proposal (or protest or other correspondence) contains a trade secret or other proprietary information, the Responder must:

a. Indicate and submit a statement with its Offer that the proposal contains such claimed confidential information and the period of time the information is claimed to be confidential and;

b. Designate clearly in the proposal each instance of that trade secret or other proprietary information using the term “confidential”.

Simply indicating that the proposal contains confidential information is not sufficient to claim the protections under the Pinal County Procurement Code PC1-104.

The Finance Director shall review the claim of confidentiality and provide a written determination. Until a written determination has been made, the information will not be disclosed to anyone who does not have a legitimate County interest.

NOTE: Contract terms and conditions, pricing, and information generally available to the public are not and will not be designated confidential information. Company financial information and W9’s are considered confidential and have been pre-determined as such unless otherwise indicated in the solicitation.

SUBMISSION OF PROPOSALS

The County will not consider a proposal submitted by any other method other than through Bonfire, and it will be deemed void upon submission.

Using Bonfire requires a certain level of technical competency. Carefully select staff to submit proposals and handle other solicitation administration matters in Bonfire. Bonfire Help Desk will be able to assist with technical questions but will not have ability to complete the Responder’s submittal tasks.

5.2 Requested Information. All requested information is listed in Attachment B.

a. Required Information. All requested information listed in Attachment B that has been identified as “Required” MUST be submitted as part of the Responder’s proposal.

c. Format. The maximum upload file size is 1000MB. Responders shall not embed any documents within your uploaded files, as they will not be accessible or evaluated.

d. Submittal Requirements. The Statement of Qualifications (SOQ) shall include a one-page cover letter, plus a maximum of 8 pages to address the SOQ evaluation criteria (excluding resumes but including an organization chart with key personnel and their affiliation). Resumes for each team member shall be limited to a maximum length of two (2) pages each. The County reserves the right to accept or reject any and all SOQs.

e. Key Personnel. The Consultant’s submittal of a proposal is a representation and commitment by the firm that it will provide the key personnel identified in the SOQ to perform the services associated with the contract for the duration of the contract. For all Key Personnel identified in the SOQ, the Responder shall include the individual’s existing and corporate responsibilities, corporate titles and document their availability and commitment to meeting Pinal’s needs performed under this contract. The Responder acknowledges that the County relied on this representation and commitment in its selection process and was a key factor in the selection of the most qualified Responder and award of the contract.

Key Personnel are those individuals whose qualifications are highly significant and appropriate in evaluating the overall qualifications of the project team. All Key Personnel identified in the Responder’s SOQ may not be replaced without written request to Pinal’s assigned Project Manager and written approval from Pinal.

f. Prime Consultant. A firm proposing as a prime consultant is not permitted to serve as a Subconsultant on another contract within the contract series. By submitting an SOQ as a prime consultant, the firm is stating that they will not be proposed on any other project team as a Subconsultant. In addition, it is the responsibility of the firm proposing as a prime consultant to ensure that prior to their submittal of their SOQ, they have written acknowledgement from their proposed subconsultants that they subconsulting firms will not submit an SOQ themselves as a prime consultant (copies of the written acknowledgement shall be kept on file, and available to submit upon request). Any firm that has submitted an SOQ as a prime consultant and is identified as a subconsultant in another prime consultant’s proposal shall have their prime consultant SOQ submission rejected. If a Prime Consultant lists firms as Subconsultants in its SOQ, the Prime Consultant must be able to provide Pinal with evidence, if requested, of written consent provided by the Subconsultant firms that are listed as part of their Prime Consultant’s SOQ, or that Prime Consultant’s SOQ will be rejected.
