About this file

This is a sample Proprietary Information Agreement template provided by GSA for use in federal solicitations. The agreement establishes confidentiality and protection obligations between a consultant retained by GSA to perform advisory and assistance services and an offeror responding to a solicitation. Under the terms outlined, the consultant agrees to protect the offeror's proprietary information from unauthorized use or disclosure for as long as it remains proprietary and to refrain from using such information for any purpose other than advising and assisting the Government on the specific solicitation and resultant contract award. The agreement references FAR 9.505-4(b) and GSA Class Deviation RFO-2025-36 as the regulatory basis for these protections. The template includes signature blocks for both the consultant and offeror representatives but notes that the specific contents of proprietary information agreements may differ based on negotiations between parties, subject to federal acquisition regulation requirements. GSA explicitly states it is not a party to the agreement itself.
