About this file

This document is an amendment to a solicitation for the purchase of up to 47,500 MWh of unbundled Energy Attribute Certificates (EACs) from carbon pollution-free electricity generation sources. The amendment provides answers to previous questions and clarifies the delivery requirements, removing the 60-day timeline. Offerors must be able to fully complete the required attestation reports, which can be provided after award. The proposal due date remains unchanged, and all other terms and conditions of the original solicitation remain in effect. This is a 100% small business set-aside, utilizing the Indian Energy Purchase Preference, with the applicable NAICS code being 221122 (Electric Power Distribution) and a 1,100 employee size standard.

Solicitation No. 47PA0724Q0001 Questions and Answers 2:

Q: Can a tribal utility that is a department of the Tribe use the Tribe’s UEI to send in a quote?

Does the Tribe itself qualify as a “Tribal Majority-Owned Business”? It appears you answered yes earlier, but this leads to some other questions.

A: The Offeror must use its own UEI in its quote. See FAR 52.204-6.

The Tribe itself qualifies as a Tribal Majority-Owned Business Organizations if it is an enterprise, partnership, consortium, corporation or other type of business organization in which the majority of the interest is owned and controlled by one or more Indian Tribes (25 U.S.C. §3502(d)(1)). It is a small business if it has 1,100 employees or less. If the Tribe’s UEI is used and it does not qualify as either a TMOB or a small business, then it will not be considered for award.

Q: If the Tribe’s UEI is used and the Tribe has more than 1100 employees, but the Tribal Utility has fewer than 1100 employees, who is the “Quoter”? The Tribe or the Tribal Utility?

A: The Offeror must use its own UEI in its quote. See FAR 52.204-6.

Q: Can a tribal utility that is a department of the Tribe obtain a separate UEI and submit under that UEI to meet the “fewer than 1100 employees” more than 1100 employees if the Tribe itself has and more than 1100 employees? It appears in 52.212-3 that “affiliates” of a concern must be taken into consideration if the Tribal Utility is small and the tribe is not small. Would this disqualify all entities owned/controlled by a larger tribe?

A: This does not appear to be a contracting question. Please reach out to the Small Business Association. According to FAR 19.301-1(f), the contracting officer shall accept an offeror’s representation in a specific bid or proposal that it is a small business unless (1) another offeror or interested party challenges the concern’s small business representation or

(2) the contracting officer has a reason to question the representation. Challenges of and questions concerning a specific representation shall be referred to the SBA in accordance with 19.302.

Q: If a tribal utility that is a department of the Tribe obtains a separate UEI and submits under that UEI can they state that they have fewer than $10m in federal grants if the Tribe itself has and more than $10m in grants but the Tribal Utility does not?

A: This does not appear to be a contracting question. Please reach out to the Small Business Association. According to FAR 19.301-1(f), the contracting officer shall accept an offeror’s representation in a specific bid or proposal that it is a small business unless (1) another offeror or interested party challenges the concern’s small business representation or

(2) the contracting officer has a reason to question the representation. Challenges of and questions concerning a specific representation shall be referred to the SBA in accordance with 19.302.

Q: For a generating resource with variable output like wind or solar, we can submit a quote for the actual generation that has already occurred, however, we can only estimate future generation (from date of quote through 12/31/24). Should we submit this as a firm quote or should there be a disclaimer about the actual generation?

A:We will only accept firm offers. If the quote contains a disclaimer, it will not be accepted. If a quoter offers a quote based on future generation, it will be obligated to provide that generation whether or not it is actually produced.

Q: On the SF 1449, in Block 17a, we assume you need our name. What is the “Code” and “Facility Code”? Should these be filled in?

A: No, please only fill in your name, address and contact information. You do not need to provide a Code or Facility Code.

Q: In FAR 52.209-7, the answer as to the active federal contracts or grants more than $10m may be different depending on whether the Tribal Utility or the Tribe. If the quote is submitted under the Tribe’s UEI, who is deemed to be the quoter when the Tribal Utility is a department of the Tribe?

A: If the quote is submitted under the Tribe’s UEI, then the tribe is the quoter.

Alternatively, the Tribal Utility may submit a quote using its own UEI.

Q: What if the generator does not have an Energy Information Administration (EIA) identification Facility ID Number or a Qualifying Facility identification number? Should we leave this blank?

A: This information is required in the Attestation Reports. Attestation Reports must be filled out completely in order to affirm delivery.

Q: Does the Indian Energy Purchase Preference for this solicitation apply to small businesses that are owned by Alaska Native Corporations?

A: Yes
