About this file
This document is an Attachment Supplement 3 detailing exceptions to contract terms and conditions for an Information Technology Maintenance and Operations Services contract between the State of Arizona's Department of Child Safety (DCS) and International Business Machines Corporation (IBM). The document is specifically associated with Solicitation No. BPM004453 and is located in the Office of Procurement & Contracts in Phoenix, Arizona.
The contract appears to cover Information Technology (IT) Maintenance and Operations Services, with IBM proposing modifications to various standard contract provisions. The document includes detailed proposed changes to sections covering areas such as background checks, insurance requirements, intellectual property rights, confidentiality, warranty of services, and indemnification. While specific pricing details are not explicitly outlined, the document suggests the contract involves IT services with provisions for potential modifications, subcontractor involvement, and comprehensive insurance and liability protections. The contract seems structured as an indefinite delivery vehicle that allows flexibility for the State of Arizona to procure IT services and maintenance as needed.

Not Applicable.
| 3.14 (1B) Records | |
| Inclusion of additional language: | |
| b. | Include personnel records for staff working at DCS sites, which contain applications for employment, job titles and descriptions, hire and termination dates, a copy of the fingerprint clearance card, wage rates, and effective dates of personnel actions affecting any of these items |

| 3.16 (1) Ownership of Intellectual Property | |
| Removal of existing RFP text in the first paragraph of Section 1 and replaced with: | |
| 1. | RIGHTS IN WORK PRODUCT. State will own the copyright in works of authorship that Contractor develops for State under the Statement of Work (“Project Materials”). Project Materials exclude works of authorship delivered to State, but not created, under the Statement of Work, and any modifications or enhancement of such works made under the Statement of Work (“Existing Works”), provided that, State has Government Purpose Rights to that work product as and when it was delivered to State. |
Rationale: Contractor uses IP for multiple clients and must be able to separate “Project Materials” that are specific to State in this opportunity from existing works used for multiple other clients that will be improved as time goes on.
1. RIGHTS IN WORK PRODUCT. All intellectual property originated or prepared by Contractor pursuant to the Contract, including but not limited to, inventions, discoveries, intellectual copyrights, trademarks, trade names, trade secrets, technical communications, records reports, computer programs and other documentation or improvements thereto, including Contractor’s administrative communications and records relating to the Contract, are considered work product and Contractor’s property, provided that, State has Government Purpose Rights to that work product as and when it was delivered to State.
| 3.18 (2) Subcontractors |
| Inclusion of additional language: |
2. The Contractor shall provide copies of each contract with a subcontractor relating to the provision of contract services to the Department within five (5) calendar days of the request. Such copies may be redacted to exclude exempt information pursuant to applicable non-disclosure agreements or FOIA laws.
Rationale: Contractor enters into NDAs with all its subcontractors thus limiting what information may be disclosed to the public in general. Information exempt from disclosure under AZ Public Records Law Section 39 shall be redacted from any disclosure to the State.
2. The Contractor shall provide copies of each contract with a subcontractor relating to the provision of contract services to the Department within five (5) calendar days of the request.
| 5.4 Assignment |
| The contractor agrees and understands that the contract shall constitute an assignment by the contractor to the State of Arizona of all rights, title and interest in and to all causes of action that the contractor may be under the antitrust laws of the United States or the State of Arizona for which causes of action have accrued or will accrue as the result of or in relation to the goods or services purchases or procured by the contractor in the fulfillment of the contract with the State of Arizona. Assignment of Contractor rights to receive payments and assignment by Contractor in conjunction with the sale of the portion of Contractor’s business that includes the product or service is not restricted. |
Rationale: Clarifies Assignment requirements for this Contract The contractor agrees and understands that the contract shall constitute an assignment by the contractor to the State of Arizona of all rights, title and interest in and to all causes of action that the contractor may be under the antitrust laws of the United States or the State of Arizona for which causes of action have accrued or will accrue as the result of or in relation to the goods or services purchases or procured by the contractor in the fulfillment of the contract with the State of Arizona.
| 5.6 Termination for Default |
| Inclusion of additional language in a new Section 2: |
In addition to the Uniform Terms and Conditions, the following shall apply:
1. The Department may immediately terminate this contract if the Department determines that the health or welfare or safety of service recipients is endangered.
2. The Contractor may immediately terminate this contract if the State fails to make any payment pursuant to the payment terms herein.
3. The Contractor may terminate this Contract in whole or in part due to the failure of the State to comply with any material term or condition of the Contract.
Rationale: Clarifies that IBM can terminate the Contract if the State does not complete its material contractual obligations or fails to make payment.
In addition to the Uniform Terms and Conditions, the following shall apply:
1. The Department may immediately terminate this contract if the Department determines that the health or welfare or safety of service recipients is endangered.
| 6.1 Risk of Loss |
| Contractor shall bear all risk of loss to Project Materials while in pre-production, production, storage, transit, staging, assembly, installation, testing, and commissioning, if and as those duties are within the Scope of the Work, until they have been accepted as conforming by State in the particular location and situation specified in the Order, or as specified generally elsewhere in the Contract if the Order does not provide particulars, provided that, risk of loss for nonconforming Materials will remain with Contractor notwithstanding acceptance to the extent the loss stems from the nonconformance. |
Rationale: “Materials” is too broadly defined whereas “Project Materials” as defined in Section 3.16 would be applicable to Risk of loss.
Contractor shall bear all risk of loss to Materials while in pre-production, production, storage, transit, staging, assembly, installation, testing, and commissioning, if and as those duties are within the Scope of the Work, until they have been accepted as conforming by State in the particular location and situation specified in the Order, or as specified generally elsewhere in the Contract if the Order does not provide particulars, provided that, risk of loss for nonconforming Materials will remain with Contractor notwithstanding acceptance to the extent the loss stems from the nonconformance.

Rationale: As a multinational technology company headquartered in Armonk, New York, with operations in over 170 countries worldwide, IBM’s Global Risk and Insurance department maintains an extensive portfolio of insurance policies. The changes below endeavor to align the contract language with the protections provided by IBM’s insurance policies.
