(a) Eligibility of SDVOSBs continues to be governed by the Small Business Administration regulations, 13 CFR subparts 125.8 through 125.13, as well as the FAR, except where expressly directed otherwise by the VAAR, and 38 CFR verification regulations for SDVOSBs.

(b) At the time of submission of offer, the offeror must represent to the contracting officer that it is a—

(1) SDVOSB concern

(2) Small business concern under the North American Industry Classification System (NAICS) code assigned to the acquisition; and

(3) Offerors must be verified in the SBA Veteran Small Business Certification Program as an SDVOSB to be eligible for an award. The Contracting Officer (CO) will use the SBA Small Business Search at https://search.certifications.sba.gov/ to verify SDVOSB status until further guidance is provided by the Department of Veterans Affairs.

(c) A joint venture may be considered an SDVOSB or VOSB concern if

(1) At least one member of the joint venture is an SDVOSB or VOSB concern, and makes the representations in paragraph (b) of this section;

(2) Each other concern is small under the size standard corresponding to the NAICS code assigned to the procurement;

(3) The joint venture meets the requirements of paragraph 7 of the size standard explanation of affiliates in FAR 19.101; and

Title 38, USC Section 4212(d), codified at 41 CFR Section 61-300, requires that federal contractors report, at least annually, the number and category of veterans who are within their workforce. Submission of the VETS-4212 reporting information can be done electronically at: http://www.dol.gov/vets/vets4212.htm. Award cannot be made unless the awardee has filed their VETS-4212 report. Therefore, all offerors are encouraged to file every year. The Contracting Officer may request a copy of the email confirmation of receipt notification, prior to awarding the project.

9. JOINT VENTURES: See 13 C.F.R. § 121.103(h)

(h) Affiliation based on joint ventures. A joint venture is an association of individuals and/or concerns with interests in any degree or proportion consorting to engage in and carry out no more than three specific or limited-purpose business ventures for joint profit over a two year period, for which purpose they combine their efforts, property, money, skill, or knowledge, but not on a continuing or permanent basis for conducting business generally.

This means that a specific joint venture entity generally may not be awarded more than three contracts over a two-year period, starting from the date of the award of the first contract, without the partners to the joint venture being deemed affiliated for all purposes. Once a joint venture receives one contract, SBA will determine compliance with the three awards in two years rule for future awards as of the date of initial offer including price.

As such, an individual joint venture may be awarded more than three contracts without SBA finding general affiliation between the joint venture partners where the joint venture had received two or fewer contracts as of the date it submitted one or more additional offers which thereafter result in one or more additional contract awards. The same two (or more) entities may create additional joint ventures, and each new joint venture entity may be awarded up to three contracts in accordance with this section. At some point, however, such a longstanding inter-relationship or contractual dependence between the same joint venture partners will lead to a finding of general affiliation between and among them.

For purposes of this provision and in order to facilitate tracking of the number of contract awards made to a joint venture, a joint venture must be in writing and must do business under its own name, and it may (but need not) be in the form of a separate legal entity, and if it is a separate legal entity it may (but need not) be populated (i.e., have its own separate employees). SBA may also determine that the relationship between a prime contractor and its subcontractor is a joint venture, and that affiliation between the two exists, pursuant to paragraph (h)(4) of this section.

10. NOTICE TO PROCEED (NTP): A notice to proceed (NTP) must be issued after award of a fully executed contract. The NTP date and time are “to be determined” after award to a successful offeror. Primary factor in determination to issue NTP must be the Prime Contractor submission of, and the Government review and approval of both Payment and Performance Bonds, both of which are enforceable legal documents.

11 . SECURITY REQUIREMENTS (GENERAL):

1. All personnel employed by the contractor in the performance of work, issued under this contract, or any representative of the contractor must abide by all security instructions and directives of the Department of Veterans Affairs. Employees are responsible for safeguarding all government property provided for contractor use.

1. At the close for each work period, government facilities, equipment and materials must be secured, lights, and all doors and window secured.

1. The contractor and, as applicable, subcontractor must not employ persons for work on this contract if such employee is identified as a potential threat to the health, safety, security, general well-being or operational mission of the station/campus and its population, nor must the contractor or subcontractor employ persons under this contract who have an outstanding criminal warrant as identified during background checks.

1. Contractors must ensure their employees and those of their subcontracts have the proper credentials allowing them to work in the United States. Employees and subcontractors later found to be undocumented or illegal aliens will be remanded to the proper authorities.

1. Contractor Badge Policies: All requests for contractor ID badges will be submitted through the station COR, and Police/Security office.

1. Vehicle registration, proof of insurance and a valid driver’s license must be presented for all vehicles while operating on the station/campus. All vehicles entering the station/campus are subject to search. Any refusal or non-consent by an employee will result in termination of their access and immediate confiscation of their ID badge.

12. BACKGROUND INVESTIGATIONS AND SPECIAL AGREEMENT CHECKS:

All contractor employees are subject to the same level of investigation as VA employees who have access to VA Sensitive Information. The level of background investigation commensurate with the level of access needed to perform the statement of work is: Low Risk. This requirement is applicable to all subcontractor personnel requiring the same access. As per VA Directive 0710, costs of background investigations will be borne by the contractor.

13. REFERENCES TO VA ENGINEER, RESIDENT ENGINEER OR PROJECT MANAGER:

Any reference contained within the solicitation/contract specifications and/or drawings to the “VA Engineer,” “Resident Engineer,” or “Project Manager” or their abbreviations shall be replaced with “Contracting Officer’s Representative (COR).”

SECTION M – Evaluation Procedures Source Selection Information -- See FAR 2.101 and 3.104

EVALUATION BASIS FOR AWARD

1. Basis for Contract Award.

This acquisition will utilize the Tradeoff source selection procedures in accordance with FAR 15.101-3 to make an integrated assessment for a Tradeoff award decision. The Government intends to award one contract as a result of this solicitation. In using the Tradeoff approach, the Government seeks to award to the offeror who gives the Government the greatest confidence that it will best meet or exceed the requirements affordably in a way that will be advantageous to the Government. This may result in an award to a higher rated, higher priced offeror where the decision is consistent with the evaluation factors and the Source Selection Authority (SSA) reasonably determines that the technical superiority and/or overall business approach and/or superior past and present performance of the higher priced offeror outweighs the cost difference. To arrive at a best value decision, the SSA will integrate the source selection team’s evaluations of the factors and subfactors described in this provision. While the Government will strive for maximum objectivity, the tradeoff process, by its nature, is subjective; therefore, professional judgment is implicit throughout the selection process. Award will be made to the responsible offeror whose proposal conforms to all solicitation requirements, such as terms and conditions, representations and certifications, technical requirements, and provides the best value to the Government based on the results of the evaluation described in paragraph 2 below. Contract terms and conditions consistent with customary commercial practices are specified in the solicitation/contract, with otherwise tailored terms and conditions specified in the Addendum to the solicitation/contract.

The Government reserves the right to conduct negotiations if determined necessary but intends to award without negotiation. Any negotiation will be conducted in accordance with FAR 15.204.

If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer, with the concurrence of the Source Selection Authority, may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

2. Factors and Subfactors and Relative Importance.

A detailed and complete analysis of each offeror’s proposal will be performed. The Government’s evaluation will be based on the following factors.

Phase 1:

Factor I. Technical/Risk Approach Factor II. Key Personnel Factor III. Schedule/Phasing Factor IV. Specialized Project Experience Factor V. Relevant/Recent Past Performance

Phase 2:

Price Technical Solutions

Each offeror’s proposal will be evaluated, and the Government will make a determination of the relevancy and confidence level. While the Government will strive for maximum objectivity, the Tradeoff process, by its nature, is subjective; therefore, professional judgment is implicit throughout the selection process. The offerors that provide the best value to the Government are based on the results of the evaluation criteria described in the paragraph below.

A. Relative Importance of Each Factor and Subfactor. Among the evaluation factors considered in the tradeoff decision, technical/management, which includes the technical/management rating and technical/management risk rating, is the most important followed by past performance, and then cost/price. Technical/management, which includes technical/management rating and technical/management risk rating, past performance, when combined are significantly more important than cost or price.

3. Proposal Evaluation. The evaluation process will be accomplished as follows:

FACTOR I - Technical/Risk Approach

Each offeror’s technical and management proposals shall be evaluated based on the factors below, to determine if the offeror provides a sound, compliant approach that meets the requirements of the SOW and demonstrates a thorough knowledge and understanding of those requirements and their associated risks. The technical proposal addresses each of the following factors in sufficient detail. For each factor, the offeror identifies risks, if any, associated with the proposed approach and actions the offeror will take to mitigate the identified risks. If no risks/mitigations are identified in the offeror’s proposal, it indicates the offeror does not consider there to be any risk associated with their proposed approach.

1. Technical Approach/Management Approach:

a. Design Approach : Describe the techniques and methods for an efficient, effective design; and

b. Construction Approach: Describe the techniques and methods for this construction project to include coordination with the design packages, projected timelines and coordination of work.

2. Risk Approach : Provide any risk associated with the technical approach (Design/Construction)

Factor II: Key Personnel The Key Personnel evaluation factor shall be rated as acceptable or higher. To be considered for award, an offeror must receive a minimum of acceptable rating for this factor.

The key proposed project personnel identified below must have a minimum of five (5) years’ experience in their respective fields. Use the “Key Personnel Evaluation” attachment, which follows this section; complete this form for each of the following key personnel:

1. Project Manager

2. Project Superintendent

3. Safety Officer

4. Architect

5. Civil Engineer

· For individuals identified in items 1 through 5 above, offeror shall state in their proposal that the individual is a current employee of the prime contractor or provide a letter of commitment stating the proposed individual will become an employee of the prime contractor prior to award.

To be considered acceptable or higher on this this factor, the offeror must provide project personnel who meet the minimum of 5 years’ experience and 3 projects of similar size and scope. Should the resumes for project personnel be omitted entirely or not have requisite experience of 5 years with a minimum of 3 projects of similar scope and complexity will be rated as unacceptable for this factor.

Please utilize the Key Personnel Attachment for this submission.

Factor III: Schedule Phasing Management

Contractor is to provide a phased schedule with a synopsis as to how the work will be accomplished within the 210- day period of performance. Offeror shall provide a high-level milestone plan of project execution to demonstrate their means and methods of approach to successfully manage and execute this Parking Structure project, which clearly demonstrates how the task will be accomplished in the space during the 210-day time period. It shall be no more than 5 pages in length.

Factor IV: Specialized Experience

Contractor shall demonstrate experience with managing design build, A/E and construction portions of the project for this parking structure project, while managing the construction work with the parking space or similar space with a 24 -hour operation or at the Contracting Officer’s discretion.

Provide a minimum of one (1) and a maximum of three (3) projects completed within the last five (5) years similar in size, complexity, and scope to this project. Projects must demonstrate an offeror’s experience as a prime contractor managing multiple subcontractors to include A-E firms if applicable. The five (5) years applies from the issuance date of the solicitation. If the contractor does not possess Design-Build (D-B) experience, provide a minimum of (1) and a maximum of two (2) projects completed by the A-E firm similar in size, complexity, and scope to this project in addition to the one (1) to three (3) projects submitted for the prime contractor.
