TASK ORDER ISSUANCE PROCEDURES
1. GENERAL
a. When the Government has a need for an order, the Government will issue a solicitation using the procedures outlined in FAR 16, but may employ the procedures of FAR 13, 14 or 15 as deemed necessary. If the TO will include design build services, the solicitation will be issued using the procedures outlined in FAR Subpart 36.3 - Two-Phase Design-Build Selection Procedures. Selection onto the MATOC IDIQ constitutes phase 1 of the solicitation. The TO solicitation is phase two of the two-phase procedure.
b. TOs will be awarded on Standard Form 1442.
c. The Government will not be obligated to reimburse the contractor for work performed, items delivered, or any costs incurred, nor shall the contractor be obligated to perform, deliver, or otherwise incur costs, except as authorized by duly executed TOs.
d. Each TO shall include as a minimum:
(i) Date of order.
(ii) Contract number and order number.
(iii) Contract item number and description, quantity, and unit price or estimated cost.
(iv) Delivery or performance schedule.
(v) Place of performance.
(vi) Any packaging, packing, and shipping instructions.
(vii) Accounting and appropriation data.
(viii) Method of payment and payment office.
e. Modifications to TOs will be issued on Standard Form (SF) 30.
f. MATOC Contractors for the Site Prep IDIQ are expected to have the capacity and qualifications to meet a wide array of site prep construction projects in all the identified locations. Each MATOC contractor is required to make a good faith effort to submit offers on all solicitations. MATOC contractors are required to contact the CO within two days of notification if they cannot participate in the walk through or submit an offer and shall provide justification for not participating.
g. In accordance with FAR 16.505(a)(10), no protest under Subpart 33.1 is authorized in connection with the issuance or proposed issuance of an order under a TO Contract except for a protest on the grounds that the order increases the scope, period, or maximum value of the contract; or a protest of an order valued more than $10,000,000.
2. COMPETITION
a. Competition for issuance of TOs is limited to those awardees under this contract. All awardees will be given a fair opportunity to be considered for each TO unless the CO applies one of the exceptions noted below. Upon determining the need to issue a TO, all awardees will be considered equally against the stated criteria.
b. Unless one of the exceptions noted below applies, each TO will be awarded, because of competition to the contractor whose offer is the most advantageous to the Government considering the criteria specified.
c. The CO reserves the right to make award of a TO without competition based upon one (1) of the circumstances described below:
i. The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
ii. Only one awardee can provide the supplies or services at the level of quality required because the supplies or services ordered are unique or highly specialized.
iii. The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
iv. It is necessary to place an order to satisfy a minimum guarantee.

and
b. will perform the contract in compliance with the joint venture agreement. Failure to submit the certification with the offeror’s proposal will render the offeror ineligible for award.
EVALUATION FACTORS FOR AWARD
1. Source Selection Process Overview. All proposals shall be subject to evaluation by a team of Government personnel. Proposals will be evaluated strictly in accordance with their written content. Subjective judgment by the government is implicit in the evaluation process.
a. The Government will first review proposals to determine whether they are complete and comply with the instructions set forth in this solicitation. The Government will eliminate all proposals that were submitted late and not subject to an applicable exception, fail to comply with all instructions, or are incomplete.
A complete proposal is one that includes all required information and documentation, including any applicable representations, forms, or clauses requiring information or signatures from offerors. Proposals which merely restate a requirement or state that a requirement will be met, without providing supporting rationale, will be deemed incomplete and not considered.
b. Next, the Government will evaluate each remaining offeror’s Volume I Technical
Capability. The Government will eliminate any proposals that are not technically acceptable.
c. The Government will then conduct a tradeoff process with all remaining offerors.
The Government will consider Volume II Past Performance and Volume III Price in this tradeoff process. In using this source selection process, the Government intends to make award based on which offeror(s) provide the best value to the Government considering and comparing the past performance and price of each remaining offeror. Past Performance is significantly more important than price in this process. The Government may thus choose to not make award to the offer with the highest past performance rating or the lowest priced offeror. In the interest of efficiency, the Government reserves the right to conduct the evaluation in the most effective manner. The Government intends to rate and then rank each offeror before deciding which offerors present sufficient value to merit award. The Government reserves the right to not make award to offerors who do not present sufficient value considering past performance and price. The Government intends to award to two (2) to five (5) offerors but reserves the right to make any number of awards or no award at all depending on what it determines to be in its best interest and the quality of offers received.
d. The Government intends to make award without discussions, but it reserves the right to conduct discussions if doing so would be in the best interest of the Government. Initial proposals should contain offeror’s best offer. The Government may request clarifications, as described in FAR 15.306(a).
e. The Seed Project task order will be awarded to the offeror who presents the best value to the Government considering Past Performance and Price.
2. Evaluation Factors
a. Technical Acceptability (Bonding)
i. Sub Factor 1: The Government will first conduct a technical acceptability review of all remaining Offerors to determine to determine whether they are verified at https://veterans.certify.sba.gov as a SDVOSB under NAICS Code:
238390 – Other Building Finishing Contractors which has a $19 Million small business size standard.
ii. Sub Factor 2: The Government will then determine whether remaining offerors are able to meet the following bonding requirements. Each offeror must demonstrate its ability to obtain bonding for a minimum amount of $150,000.00 per individual task order and an annual bonding aggregate minimum of $20,000,000.00. The offeror shall demonstrate all bonding comes from the Bureau of the Fiscal Service (BFS), Surety Bonds, List of Certified Companies found at https://www.fiscal.treasury.gov/surety-bonds/list-certified-companies.html. In addition, the awarded offeror of the seed project shall provide performance and payment bonds IAW FAR 28.102-1(a) for the bid amount of the seed project.
iii. Any Offeror who receives a rating of Unacceptable in any part of the technical acceptability review will be eliminated from consideration for award.
b. Past Performance
i. The Government will assess the relative risks associated with an
Offeror's likelihood of success in fulfilling the solicitation's requirements as indicated by that Offeror's record of past performance. In this context, “Offeror” refers to the proposed prime contractor and all proposed major subcontractor(s). A major subcontractor is defined as one whose subcontract is for more than 25% of the total proposed price. In either case, the prime contractor and proposed major subcontractor(s) will be assessed individually and the results will then be assessed in their totality to derive the Offeror’s Past Performance rating. A joint venture will be assessed on the combined performance of each or as a team of the joint venture offerors.
ii. Sub-Factor 1 – The Government will conduct a performance risk assessment based on the quality, relevancy, and recency of the Offeror's past performance, as well as that of its major subcontractors, as it relates to the probability of successful accomplishment of the required effort. Offerors are cautioned that the Government will review available past performance data available in the Contractor Performance Assessment Reporting System (CPARS). The Government reserves the right to consider past performance information from any available source and may contact customers other than those identified by the Offeror when evaluating past performance. Since the Government may not necessarily interview all the sources provided by the Offerors, it is incumbent upon the Offerors to explain the relevance of any data provided. Offerors are reminded that the burden of proving low performance risk rests with the Offerors.
Per FAR 15.305(a)(2)(iv), “[i]n the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.”
The Government intends to use the following rating system to guide its analysis:
Past Performance Rating Key
Rating Definition
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has little expectation that the offeror will be able to successfully perform the required effort.
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectations that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No recent/relevant performance record is available, or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.
The Government intends to use the following rating system to guide its evaluation of the relevance of past performance information:
Past Performance Relevancy Rating Key
Rating Definition
Very Relevant
Present/Past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
An example would be site prep construction project $1M or greater, with the VA or other Government agencies on a healthcare installation (internal/external). *Note, $1M is used as a benchmark based off the seed project’s magnitude Between $1,000,000 and $2,000,000..
Relevant
Past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
An example would be a site prep construction project $1M or greater, with other Government agencies on a healthcare installation (internal/external).
Somewhat Relevant
Past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
An example would be a site prep construction project less than $1M on a healthcare installation (internal/external).
Not Relevant
Past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
An example would be a site prep construction project less than $1M not on a healthcare installation.
iii. Sub-Factor 2 – Experience Modification Rating (EMR). As part of its performance risk assessment, the Government will consider each offeror’s EMR as it relates to the probability of successful accomplishment of the required effort.
c. Price: Fixed Price. The Government will evaluate offers by adding the total of all line-item prices. The Total Evaluated Price will be that sum. The Government will evaluate the total proposed price of the Seed Project of all Offerors who are not eliminated before the tradeoff process stage as an indicator of the value the Offeror will provide on future task orders. The Government will also evaluate the Total Evaluated Price to determine whether proposals are fair and reasonable.
A.6 V.T.C.A. Tax Code §151.311
Offerors are hereby notified that in accordance with V.T.C.A., Tax Code §151.311, the purchase of tangible personal property for use in the performance of a contract for an organization exempted under Section 151.309 or 151.310 of this code is exempt if the tangible personal property is incorporated into realty in the performance of the contract.
