STATEMENT OF WORK

1. GENERAL INFORMATION

The Department of Veterans Affairs WV Construction Team, comprising of Beckley, Clarksburg, Huntington and Martinsburg VA Medical Centers, has a requirement for two indefinite-delivery/indefinite quantity (IDIQ) contracts for construction services. One contract will be awarded to cover VAMC Martinsburg, WV and VAMC Clarksburg, WV while a second contract will be awarded to cover VAMC Beckley, WV and VAMC Huntington, WV.

These contracts require a general contractor to provide construction services to prepare site for building operations, including demolition and removal of existing structures, and furnish all labor, tools, materials, equipment, supplies and supervision to perform work as required by individual Task Orders (TO) as assigned under the resulting contract from this solicitation. Each contract will be an Indefinite-Delivery/Indefinite Quantity (IDIQ) type contract that encompasses a broad range of non-recurring maintenance and minor construction on real property located at the VA Medical Center, 510 Butler Ave, Martinsburg WV 25405, VA Medical Center, 1 Medical Center Drive, Clarksburg, WV 26301 or VA Medical Center, 200 Veterans Avenue, Beckley, WV 25801 and VA Medical Center, 1540 Spring Valley Drive, Huntington, WV 25704. Task Orders will vary in size and dollar amounts but, shall not be less than $2,000.00 or exceed $750,000.00 per task unless negotiated and approved by the IDIQ Contracting Officer. Each contract shall not exceed $15,000,000.00 maximum over the Base and all Option Years. Task orders will involve, but will not be limited to trades, such as carpentry, concrete, roofing, site work, excavation, interior renovation, carpet, window and door installation, electrical, steam fitting, plumbing, painting (interior/exterior), demolition, masonry or metal stud and sheetrock walls, install acoustical ceilings and light fixtures, HVAC, installation of ceramic tile/VCT flooring. Informal shop drawings, incidental to the job reflecting the plan of action and the completed project, may be required.

During the contract period, FMS at each location will identify projects for task orders, which will be issued by a Contracting Officer. The Contracting Officer will appoint a Contracting Officer’s Representative (COR) for each task order issued. The Government has the right to withdraw a proposed task order before and after the receipt of the Contractor's proposal for the proposed task order. The contractor’s performance shall not interfere with Patient Care of Hospital Operation. If necessary, for reasons of Patient Care/Hospital Operation, the Contracting Officer (CO) may direct the contractor to temporarily stop work or limit the types of work that can be performed. This may occur with little or no notice. Any official Stop Work Order required will be conducted in accordance with FAR and VAAR.

An emergency phone number must be provided where a Contractor point of contact can be reached twenty-four hours a day/seven days a week (24/7) to include at night, during weekends or holidays. That person must have the ability to obligate the Contractor. Contractor’s office or satellite base must be operational prior to award of the contract and throughout the duration of the contract and must be open for business from 8:00 a.m. to 4:30 p.m., Monday through Friday, excluding Federal holidays.

Contractor’s work and responsibility shall include all Contractor planning, programming, administration, and management necessary to provide all work required by this solicitation. The Contractor shall conduct the work in strict accordance with the contract and all applicable Federal, State, and local laws, regulations, codes, or directives for each Medical Center. The Contractor shall insure that all work provided meets, or exceeds the scope of work for each task order, the contract specifications, and any special specifications included with any task order or specified or included in any applicable documents.

The Government will provide the basic requirements for each task order to the Contractor detailing the work to be accomplished. The detail provided would vary from project to project from complete design documents to a general idea of what is required with no drawings. The Contractor is required to use whatever information is provided and submit a complete proposal regardless of the amount of information provided by the Government. In some cases, the Contractor shall be required to suggest methods and materials for performing the work necessary for a project. For task orders where the Government provides no drawings, the Contractor shall provide adequate drawings clearly indicating what work is included with the proposal.

2. TASK ORDER PRICING

The Contractor shall submit detailed estimates (a suggested attached Estimate Spreadsheet may be used) for itemized Direct Costs calculations. All subcontracted work shall be represented by detailed estimates as well. The Contractor shall use the suggested estimate spreadsheet or an approved equal Sub-contractor and Prime Contractor summary estimate sheet(s) with direct costs markups, with the markups detailed in the contract. All proposals shall include full breakdowns of costs to show hours, hourly rates, material and equipment descriptions and pricing.

(1) When requested by the contracting officer, the contractor shall submit proposals for task order work. Proposals, to be submitted as expeditiously as possible but, within 30 calendar days after receipt of request, shall be in legible form, original and two copies, with an itemized breakdown that will include material, quantities, unit prices, labor costs (separated into trades), construction equipment, etc. (Labor costs are to be identified with specific material placed or operation performed.) The contractor must obtain and furnish with a proposal an itemized breakdown as described above, signed by each subcontractor participating in the task order work regardless of tier. The contractor may be requested to provide proposals from more than one subcontractor.

(2) The Contractor's proposal for the task order shall be reviewed by the COR using the latest edition of R.S. Means cost data. This data and/or the Independent Government Estimate (IGE) created from cost research and R.S. Means cost data shall be used as a basis for negotiations with the Contractor along with the itemized proposals.

(3) Relative to the value of the total project, a declining scale of the percentage of overhead and profit will be used with rates provided in the contract(s). Profit shall be computed by multiplying the profit percentage by the sum of the direct costs and computed overhead costs.

(4) The prime contractors fee on work performed by subcontractors will be based on the net increased cost to the prime contractor.

(5) Overhead and contractor’s fee percentages shall be considered to include insurance other than mentioned herein, field and office supervisors and assistants, security police, use of small tools, incidental job burdens, and general home office expenses and no separate allowance will be made therefore. Assistants to office supervisors include all clerical, stenographic and general office help. Incidental job burdens include, but are not necessarily limited to, office equipment and supplies, temporary toilets, telephone and conformance to OSHA requirements. Items such as, but not necessarily limited to, review and coordination, estimating and expediting relative to the task order are associated with field and office supervision and are considered to be included in the contractor’s overhead and/or fee percentage. Separate line items on proposal breakdowns for these items will not be allowed.

3. TASK ORDER BONDING:

Performance and payment bonds are required as prescribed in FAR 28.102-1 for projects over $150,000.00. Payment bonds shall be provided for each task order in excess of $35,000.00. Performance and payment bonds shall be delivered to the Contracting Officer no later than ten (10) calendar days after award of each individual task order or at a date agreed upon with the Contracting Officer.

The penal sums of the performance and payment bonds are stated in FAR Clause 52.228-15, Performance and Payment Bonds – Construction. The Contractor shall not begin work until bonds are properly executed and furnished to the Contracting Officer. A Notice to Proceed (NTP) will be issued for each task/delivery order once all requirements have been met.

The bond cost for task order proposals shall be the actual amount the contractor expects to pay for the bond. The actual bond invoice received must be submitted with the invoice to collect payment for any bonds on a task/delivery order. In accordance with VAAR 852.228-70, Bond Premium Adjustment, when net changes in original contract price affect the premium of a Corporate Surety Bond by $5.00 or more, the government, in determining the bases for final settlement, will provide for bond premium adjustment computed at the rate shown in the bond. Additional bond costs will not be considered throughout the task/delivery order period.

4. MINIMUM AND MAXIMUM CONTRACT VALUE:

The guaranteed minimum quantity of work which will be required under each contract, and which will be initiated by one or more task/delivery orders, will not be less than $2,000.00 throughout the contract period. Individual task orders shall not exceed $750,000.00, unless mutually agreeable by both parties and upon approval of the IDIQ Contracting Officer. Each contract shall not exceed $15,000,000.00 maximum over the Base and all Option Years.

5. CONTRACTOR STAFF AND EMPLOYEES:

Prior to issuance of the first Task/delivery work order, the Contractor shall provide the Contracting Officer with a telephone number at which the Contractor may be contacted at any time during regular working hours and an emergency number at which the Contractor may be contacted in situations requiring immediate attention. A separate superintendent shall be established for each task order and shall maintain a 30 Hour OSHA card that is to be submitted prior to the start of work. The accepted superintendent shall always be present work is being conducted. All employees or subcontractor employees must have a 10 Hour OSHA card that is supplied prior to the first day onsite. Contractor security badges are required to work at each Medical Center. Forms will be provided with each individual task and employees will always be required to wear and/or display proper badging.

6. WORK PROGRESS AND SCHEDULES:

A weekly meeting shall be held with the Contractor, Contracting Officer, and Contracting Officer’s Representative (COR), if necessary, to discuss work progress; problems; and/or differing site conditions that may result in potential change orders.

For task orders with performance periods of thirty (30) calendar days or more, or at the direction of the Contracting Officer, a Progress Schedule shall be prepared and submitted to the Contracting Officer within ten (10) calendar days of notice-to-proceed for a project. The work shall be scheduled so that, upon the start of construction, work progresses in an appropriate and diligent manner. A schedule, which does not reflect steady and reasonable progress throughout the construction period, will be rejected. The schedule shall identify any critical path items that could delay the project. An updated schedule shall be submitted with each payment request and approved prior to payment will be released.

For task orders with a performance period of less than thirty (30) calendar days, no progress schedule shall be required; unless deemed necessary by the Contracting Officer.

7. VETS 4212:

The Veteran’s Employment and Training Service (VETS) of the U.S. Department of Labor has issued the Final Rule to revise reporting requirements for federal contractors and subcontractors under the Vietnam Era Veterans’ Readjustment Act of 1974, as amended (VEVRAA). The final rule, which is intended to minimize paperwork burdens for contractors, was published in the Federal Register on September 25, 2104 and is required beginning in the 2015 annual reporting period. As legislatively mandated under 38 U.S. code, Section 4212, codified at 41 CFR Section 61-300, respectively, contractors and subcontractors who enter into, or modify a contractor or subcontract with the federal government, and whose contract meets the criteria set forth in the above legislation/regulations, are required to report annually on their affirmative action efforts in employing Veterans.

8. SYSTEM FOR AWARD MANAGEMENT (SAM):

Federal Acquisition Regulations require that federal contractors register in the System for Award Management (SAM) database at http://www.sam.gov and enter all mandatory information into the system. Award cannot be made until the contractor has registered. Bidders are encouraged to ensure that they are registered in SAM prior to submitting their bid.

9. REQUIRED REGISTRATION WITH CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (CPARS)

This contract will require reporting in Contractor Performance Assessment Reporting System (CPARS); therefore, the contractor shall provide a POC to the contracting officer at time of award who will be responsible for managing reports/CPARs on this contract and will be assigned the role as “contractor representative” within CPARS.

This system is used Federal-agency wide as a solution for the collection of Contractor Past Performance Information (PPI). This is being implemented throughout Veterans Health Administration (VHA) in an attempt to be in compliance with the requirements of FAR part 42 for documenting contractor performance assessments and evaluations.

Past performance information is relevant information for future source selection purposes regarding a contractor’s actions under previously awarded contracts. It includes, for example, the contractor’s record of conforming to contract requirements and to standards of good workmanship; the contractor’s record of forecasting and controlling costs; the contractor’s adherence to contract schedules, including the administrative aspects of performance; the contractor’s history of reasonable and cooperative behavior and commitment to customer satisfaction; the contractor’s record of integrity and business ethics, and generally, the contractor’s business-like concern for the interest of the customer. Each contractor is required to register in the Contractor Performance Assessment Reporting System (CPARS) @ https://www.cpars.gov. The Contracting Officer/Contracting Officer Representative will evaluate the contractor's performance annually. The report shall be assigned in CPARS to the contractor's designated representative (contractor representative) for comment.
