The contactor shall provide Reusable Medical Device (RMD) courier service to transport both contaminated and sterile and sterile RMD daily between the Wilkes-Barre VA Medical Center (WBVAMC) to and from the Allentown Outpatient Clinic (AOPC) in accordance with the attached Performance Work Statement (PWS). (See PWS for complete details).

A two-year, firm-fixed priced, Indefinite Delivery/Indefinite Quantity (IDIQ) is intended for courier services using FAR 13 procedures.

Task Orders to authorize and fund performance, availability of VA Funding.

Contract Effective Date: 04/20/2025 Contract Expiration Date: 04/19/2027

B.2 PRICE SCHEDULE

A single two-year firm-fixed priced Indefinite Delivery Indefinite Quantity (IDIQ) contract type will be awarded with single year ordering periods. The Government will issue 12-month unilateral fixed priced task orders to authorize and fund performance.

NOTE: The Government shall order the below-specified guaranteed minimum under this IDIQ contract during the fiscal year in which the contract is awarded. The maximum amount under this contract is not guaranteed.

NOTE: Offerors shall complete all pricing fillable below and provide a firm-fixed price (CLINS 0001) in accordance with the CLIN below and the Performance Work Statement (PWS).

CLIN descriptions describe current trip averages per month. If the average number of trips per month is consistently higher (over by 3 months) or lower (under by 3 months), the VA or vendor may request a renegotiation of any firm-fixed priced CLIN (based on new trip, mileage, and wait time averages). CLINs will be reviewed every 6 months to verify actual trip averages per month.

SECTION C - CONTRACT CLAUSES

C.1 52.216-18 ORDERING (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from contract effective date through contract expiration date.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor’s fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor’s email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

C.2 52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of $50,000.00;

(2) Any order for a combination of items in excess of $300,000.00; or

(3) A series of orders from the same ordering office within 7 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

C.3 52.216-20 DEFINITE QUANTITY (OCT 1995)

(a) This is a definite-quantity, indefinite-delivery contract for the supplies or services specified, and effective for the period stated, in the Schedule.

(b) The Government shall order the quantity of supplies or services specified in the Schedule, and the Contractor shall furnish them when ordered. Delivery or performance shall be at locations designated in orders issued in accordance with the Ordering clause and the Schedule.

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that time shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period;

provided, that the Contractor shall not be required to make any deliveries under this contract after expiration date .

C.4 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR

(APR 1984)

Funds are not presently available for performance under this contract beyond Current Fiscal Year. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond Current Fiscal Year, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

C.7 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT

REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a

Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office.

Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the

D.1 PERFORMANCE WORK STATEMENT

Courier Services - Department of Veterans Affairs Wilkes-Barre VA Medical Center

Section 1. GENERAL INFORMATION

1.1 Description:

The Department of Veterans Affairs Medical Center, Wilkes-Barre, PA; Sterile Processing Service (SPS) has determined the need for a Reusable Medical Device (RMD) transport service for both contaminated and sterile RMD. This requirement includes the transport of both contaminated and sterile Reusable Medical Devices (RMD) daily between the Department of Veterans Affairs Medical Center, (WBVAMC), 1111 East End Boulevard, Wilkes-Barre PA 18711 to and from the Allentown Outpatient Clinic (AOPC) 3110 Hamilton Boulevard, Allentown PA 18103, Monday through Friday with the exception of federal holidays.

A two-year indefinite delivery indefinite quantity (IDIQ) contract is intended for courier services.

IDIQ contract will serve as an indefinite delivery vehicle and authorization to proceed will be provided via task orders placed against. This will be contingent upon the availability of VA funding and VA medical centers’ needs.

Contractor shall provide all necessary management, labor, equipment, vehicles, resources, information security (HIPAA), and insurance to provide courier services to and from the Veteran Affairs Medical Centers (VAMCs), Community Based Outpatient Clinics (CBOCs), and various locations cited in the PWS Courier Services Schedule (Attached).

All work is to be performed in accordance with applicable federal, state, and local regulations or ordinances, including any specified regulations for information security (HIPAA), dangerous goods, diagnostic specimens, or bio-hazardous materials. The following training, insurance, licenses, and certifications are required of Contractor.

Product delivery to and from the Department of Veterans Affairs Wilkes-Barre Medical Center, 1111 East End Boulevard, Wilkes-Barre, PA 18711 and the Allentown Outpatient Clinic (AOPC) 3110 Hamilton Boulevard, Allentown PA 18103 will occur during duty hours for SPS which are 05:30 AM-24:00 PM ET Monday through Friday. The government-recognized US holidays are New Year’s Day, Martin Luther King, Jr. Day, President’s Day, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans’ Day, Thanksgiving Day, and Christmas Day. If the holiday falls on a Sunday, it is observed on Monday.

The Sterile Processing Service (SPS) requires a program to transport sterile and contaminated surgical instruments between WBVAMC and AOPC Monday through Friday with the exception of federal holidays according to the following daily schedule:

1.1.1 Sterile pick up of RMD from WBVAMC by 11:00AM

1.1.2 Drop off sterile RMD and pick up of contaminated instruments from AOPC by

12:30PM.

1.1.3 Drop off contaminated RMD and pick up of sterile RMD from WBVAMC by

2:00PM.

1.1.4 Drop off sterile RMD and pick up of contaminated RMD from AOPC by 3:30PM.

1.1.5 Drop off contaminated RMD to WBVAMC by 5:00PM.

Service program transport must include environmentally controlled and monitored vehicle that consistently meets the VHA Directive 1116 Management of Critical and Semi-Critical RMD guidelines of 66-72 degrees Fahrenheit and 20-60% humidity. There must be wall mounted environmental controlled sensors in the vehicle. Additional sensors for the monitoring of transport environment will be in each clean and soiled transport bin to monitor internal conditions while in travel.

There must be a physical separation between soiled and sterile at all times, as in, a solid wall or barrier in separate cargo areas, both environmentally controlled and secured. The transport bins that are used to travel the soiled and sterile RMD must be braced into place in two separate areas in the unit with sealed compartments and easy access.

Environmental control conditions must be in compliance with ANSI/AAMI ST79 which is mandated within the VAMC system for safe transport.

The procedures for packaging and transporting of contaminated items off-site for reprocessing must comply with applicable Department of Transportation (DOT) and state regulations.

Alerts will be electronically notified to both the shipper and the Chief of SPS in real time when environmental parameters do not meet compliance.

Daily records and account history must be stored and sent to the shipper as standard practice via reports according to shipper preference.

Records, to include Photo Proof of Delivery (POD), will be kept for a period of 3 years in accordance with VHA Directive 1116 Management of Critical and Semi Critical RMD and Records Disposition 1150.3 Quality Management (QM) Records (Confidential and Non- Confidential).

This individual works on site, has authority to provide direction to Contractor if within scope of the contract, does not constitute and change to the contract, and has no funding implications. The VAMC POC shall report any indication of non-compliance to COR/CO and the Contracting Officer will promptly take appropriate action. Such appointment must be in writing and must state the Veteran Affairs Medical Center (VAMC) POC’s scope of authority and limitations. This individual does not have authority to change the terms and conditions of the contract.

3.0 Requirement:

Items to be picked up and delivered include but are not limited to:

Soiled and Sterile Reusable Medical Devices of a Critical and Semi-Critical Spaulding Classification.

Additional Courier/Contractor Requirements and Responsibilities:

3.1 Environmentally monitored and controlled vehicle. The controlled parameters within the unit must be in compliance with VHA Directive 1116 Management of Critical and Semi- Critical RMD environmental standards for the transport and storage of RMD.

Recommended parameters must meet 66–72-degree Fahrenheit and 20-60% humidity at all times for the safety and integrity of the RMD.

3.2 Breach alerts sent to Chef of Sterile Processing Service and the shipper in real time of environmental deviations withing the unit.

3.3 The procedures for packaging and transporting contaminated items off-site for reprocessing must comply with the applicable Department of Transportation (DOT) and state regulations.

Certain contaminated “non-waste” products are considered to be “infectious substances” under DOT regulations. The DOT defines an infectious substance as a “material known or reasonable expected to contain a pathogen. A pathogen is a microorganism that can cause disease in humans or animals (49 CFR 173.134 [a] [1]. Such products quality as Class 6, Division 6.2, hazardous materials and thus fall under DOT’s regulations for “Infectious Substances (Etiologic Agents).”

3.4 Certain states also have regulations that can affect the transport of contaminated items.

Clean and contaminated items should be separated to prevent cross- contamination during transport Vehicles (motorized or manual) used for transporting contaminated items between health care facilities should a) provide for the complete separation of contaminated items from clean and sterile items; b) be secured within the vehicle to prevent damage to contents and to prevent contamination by spills; c) allow for ease of loading and unloading; d) allow for decontamination after use; e) remain closed at all times except during loading and unloading; f) be completely enclosed to prevent leaks; and g) be checked periodically to ensure that there are no leaks. Transport vehicles that are loaded and ready for transport should not be left unattended in unsecured areas. As stated previously: “a physical separation between soiled and sterile at all times, as in, a solid wall or barrier in separate cargo areas, both environmentally controlled and secured. The transport bins that are used to travel the soiled and sterile RMD must be braced into place in two separate areas in the unit with sealed compartments and easy access.”

3.5 Fixed, flat rate acceptance by contractor for billing, per trip, between facilities.

3.6 Training and certification of all drivers in the following:

3.6.1 AAMI ST79 2020, OSHA BBP 29 CFR 1910.1030

3.6.2 49 CFR 173.134 Class 6, Division 6.2, Cat. A & B, UN 3373

3.6.3 OSHA BBP, HIPAA, Distracted Driving, Hours of Service, CXT

3.6.4 Work Practice Controls; Hazards, Training Focus: Proper Tub Handling, Transport, Loading, Unloading, and Safety. BBP Event Responses, Sill Kit/PPE Usage, Reports and Health Evaluation.

Schedule of performance:

3.7 Product delivery to and from the Department of Veterans Affairs Wilkes-Barre Medical

Center, 1111 East End Boulevard, Wilkes-Barre, PA 18711 and the Allentown Outpatient Clinic (AOPC) 3110 Hamilton Boulevard, Allentown PA 18103 will occur during duty hours for SPS which are 06:30 AM-24:00 PM ET Monday through Friday. The government-recognized US holidays are New Year’s Day, Martin Luther King, Jr. Day, President’s Day, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans’ Day, Thanksgiving Day, and Christmas Day. If the holiday falls on a Sunday, it is observed on Monday.

3.8 The Sterile Processing Service (SPS) requires a program to transport sterile and contaminated surgical instruments between WBVAMC and AOPC Monday through Friday with the exception of federal holidays according to the following daily schedule:

2.3.1 Sterile pick up of RMD from WBVAMC by 11:00AM

2.3.2 Drop off sterile RMD and pick up of contaminated instruments from AOPC by

12:30PM.

2.3.3 Drop off contaminated RMD and pick up of sterile RMD from WBVAMC by

2:00PM.

2.3.4 Drop off sterile RMD and pick up of contaminated RMD from AOPC by 3:30PM.

2.3.5 Drop off contaminated RMD to WBVAMC by 5:00PM.

3.9 All deliveries and pickups of soiled and sterile RMD will occur in the Sterile Processing Service at WBVAMC. All soiled picks at AOPC will be in Room 251 of the dental clinic soiled utility room. All sterile deliveries to AOPC will be designated by Clinic Administration Officer and shall be distributed and stored immediate in compliance with VHA Directive 1116 Management of Critical and Semi Critical RMD.

3.10 Delivery shall be coordinated with the POC, Chief of Sterile Processing Service, Monday through Friday 08:00 AM-16:30 PM ET.

Government Responsibilities.

VAMCs will provide the bags, totes, coolers, containers, locks, and zip ties. Items will always be secured (locked), while in Contractor’s possession. The Wilkes-Barre VAMC will supply all appropriate travel courier containers in accordance with ANSI/AAMI ST 79 and 58 regulations as well as VHA Directive 1116(2) Management of Critical and Semi-Critical Reusable Medical Devices.

4. Contractor Vehicles/Personnel.

The Contractor and its drivers shall comply with the following:

(1) Obtain and maintain all insurances required by state and federal law for operation in any state applicable to the associated Contract Line Items (CLINs).

(2) Obtain and maintain all bonds required by state and federal law.

(3) Obtain and maintain all licenses required by state and federal law.
