About this file
This document is a solicitation for a Blanket Purchase Agreement (BPA) to provide dairy and juice products to various Department of Veterans Affairs (VA) facilities within Veterans Integrated Service Network (VISN) 4. The VA intends to award multiple 5-year BPAs for these products.
The solicitation includes detailed specifications and requirements for the dairy and juice products, including freshness, packaging, and delivery. It also outlines the ordering procedures, pricing data, and authorized ordering limits. The VA is seeking quotes for the estimated quantities of various milk, juice, and other dairy products required over the 5-year ordering period. Quotes are due by September 6, 2024. The VA will evaluate quotes based on technical, past performance, and price factors, with the aim of awarding to the most advantageous offeror. This is an unrestricted procurement with multiple small business set-asides.

B.3 INTRODUCTION
In the spirit of the Federal Acquisition Streamlining Act and The Department of Veterans Affairs hereby enter into a cooperative agreement, otherwise referred to as a Blanket Purchase Agreement (BPA), to further reduce the administrative costs of acquiring supplies/services.
The agreement details all products with accompanying prices and descriptions, which may be ordered under this BPA.
All orders placed against this BPA are subject to the terms and conditions of all the clauses and provisions in full text or incorporated by reference in this document.
B.4 TERMS AND CONDITIONS
The contractor agrees to the following terms of a Blanket Purchase Agreement (BPA) exclusively with the Department of Veterans Affairs.
B.5 ORDERING
Orders will be placed against this BPA via e-mail, Electronic Data Interchange (EDI) or in hardcopy format. Each individual BPA Order will describe the tasks, services and deliverables required.
Ordering Officers may be used for orders against this BPA.
The CO will furnish the contractor with the names of individuals delegated OO authority by separate letter upon issuance of the agreement, see VAAR 808.470. When COs appoint OOs after award, the CO will furnish the contractor with an updated list of individual OOs authorized to place orders against the contract or agreement, see VAAR 816.570. OOs may not negotiate contract terms and conditions, determine price reasonableness, or determine best value. OOs are responsible for issuing and administering orders placed under the contract or agreement identified in the appointment letter. OOs do not have authority to modify any of the terms and conditions in the contract or agreement. The CO must approve any changes in or deviations from the terms and conditions of the contract or agreement in writing prior to placing orders invoking those terms and conditions. The contractor shall accept orders against the contract or agreement only from the CO or authorized OOs and fulfilling orders from persons other than the CO or OO may result in an unauthorized commitment. Ordering officers (OOs) will be authorized to place orders under this contract. Fulfilling orders from persons other than the CO or OO may result in loss or delay in payment for supplies/services provided under such orders. Orders will be placed via Electronic Data Interchange (EDI) if possible. If the vendor cannot set up EDI, e-mail or hardcopy can be provided. Specific ordering procedures will be modified into the agreement after award.
B.6 PRICING DATA
1. The prices included on the BPA list (or applicable "discounted" rates submitted in a proposal response to an RFQ resulting in award) that are in effect on the effective date of an order shall govern that order's basic performance period. With regard to any later years, the proposed year rates as incorporated into the order award are in effect until such time, if applicable, that the contractor has been authorized a rate increase culminating from a negotiation with the Contracting Officer.
2. The BPA holder can voluntarily reduce offered prices at any time by giving 24-hour advance notice (by electronic-mail) to the Department of Veterans Affairs/Contracting Officer. This BPA also allows for additional discounts if a "large order" is placed at one time. An advanced notice is not required for discounts offered for only an individual order. Whether an order is large enough to warrant such a discount is subject to the discretion of the BPA holder.
3. The BPA holder may also increase BPA prices with valid justification and prior approval. Any BPA price increase shall not take effect until the Department of Veterans Affairs/Contracting Officer receives written notification (U.S. mail or electronic-mail) and reviews for approval .Any order already issued shall not be affected by any change to BPA pricing. The prices offered under this BPA will undergo at least a quarterly review by the Department of Veterans Affairs/ Contracting Officer. A monthly review may take place at the discretion of the awardee and contracting officer.
B.6 AUTHORIZED LIMITS
The Government estimates, but does not guarantee, that individual BPA Orders placed against this Agreement may reach $10,000 /per Order. This Order Limit may be increased by mutual agreement of the parties as necessary, in whole or part. The authorized Ceiling Limit of the Agreement is set at $250,000 over a fiscal year of the period covered by the Agreement; this ceiling is also not a guarantee. Authorization for individual orders above the stated order and/or Ceiling Limits must be coordinated through the Contracting Officer before larger valued orders can be issued and prior to commencement of work. All unauthorized work, regardless of amount, will be processed through the ratification process.
B.7 EXTENT OF OBLIGATION
The Government shall be obligated only to the extend of authorized purchases actually made under this BPA.
B.8 AUTHORIZED REPRESENTATIVES
The primary Contracting Officer (CO) for this Agreement is: Department of Veterans Affairs Network Contracting Office 4 Victoria Droz, Contracting Officer victoria.droz@va.gov The Primary Point of Contact for projects under this Agreement is: Heather.Shimko@va.gov
B.9 PRECEDENCE
The Terms and conditions included in this BPA apply to all purchases made pursuant to it. In the event of an inconsistency between the provisions of this BPA and the Contractor's invoice, the provisions of this BPA will take precedence.

C.3 VAAR 852.215-70 SERVICE-DISABLED VETERAN-OWNED AND
VETERAN-OWNED SMALL BUSINESS EVALUATION FACTORS (JAN 2023)
(DEVIATION)
(a) In an effort to achieve socioeconomic small business goals, VA shall evaluate offerors based on their service-disabled veteran-owned or veteran-owned small business certification status and their proposed use of eligible certified service-disabled veteran-owned small businesses (SDVOSBs) and certified veteran-owned small businesses (VOSBs) as subcontractors.
(b) Eligible and certified service-disabled veteran-owned small businesses offerors will receive full credit, and offerors qualifying as veteran-owned small businesses will receive partial credit for the certified Service-Disabled Veteran-Owned and Veteran-Owned Small Business Status evaluation factor. (d) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.
