If the Offeror submits annexes, documentation, attachments or the like, not specifically required by this solicitation, such will count against the Offeror’s page limitations unless otherwise indicated in the specific volume instructions below. Pages in violation of these instructions, either by exceeding the margin, font, printing, or spacing restrictions or by exceeding the total page limit for a particular volume, will not be evaluated. Pages not evaluated due to violation of the margin, font or spacing restrictions will not count against the page limitations. The page count will be determined by counting the pages in the order they come up in the print layout view.

The Government is not required to contact references provided by the Offeror. Also, references other than those identified by the Offeror may be contacted by the Government to obtain additional information that will be used in the evaluation of the Offeror's past performance. The Government may consider past performance information obtained through other sources which is reasonably available and determined to be relevant. Past performance information obtained will be used for both the responsibility determination and best value decision.

E.7 52.212-2 EVALUATION—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

FACTOR 1 – Technical Capability Subfactor 1 – Transition-In Approach Subfactor 2 – Technical Capability Subfactor 3 – Sample Task Order

FACTOR 2 – Past Performance

FACTOR 3 - Price

Technical and past performance, when combined, are significantly more important than the Price Factor.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

E.7 ADDENDUM TO 52.212-2 EVALUATION—COMMERCIAL ITEMS (OCT 2014)

A. BASIS FOR AWARD

Best Value Tradeoff The VA intends to award one (single) Indefinite Delivery Indefinite Quantity (IDIQ), contract to an Offeror based on the proposal that is determined to be the best value to the Government. However, the Government reserves the right to make no award if considered to be in the Government’s best interest to do so. Within the best value continuum, FAR 15.101 defines best value as using any one or a combination of source selection approaches. This process permits tradeoffs, in accordance with FAR 15.101-1, among price and non-price factors and allows the Government to select other than the lowest priced proposal or other than the highest technically rated proposal. The following factors shall be used to evaluate offers: Technical, Past Performance and Price.

The Technical Factor is significantly more important than the Past Performance Factor. The Past Performance factor is significantly more important than the Price Factor. The Technical Factor shall be comprised of three subfactors: Subfactor 1-Transition-In Approach, Subfactor 2-Technical Capability, Subfactor 3-Sample Task Order Technical Capability. All technical subfactors are of equal importance.

To receive consideration for award, a rating of no less than "Acceptable" must be achieved for the Technical Factor. If a rating of less than “Acceptable” is received for the Technical Factor, no other factors will be evaluated. The non-price factors, when combined, are significantly more important than the Price Factor.

Only Offerors that provide the necessary technical detail to ensure the Government has a complete understanding of the Offeror’s capabilities will be considered for award.

B. FACTORS TO BE EVALUATED

1. TECHNICAL

Subfactor 1 - Transition-In Approach Subfactor 2 - Technical Capability Subfactor 3 - Sample Task Order

2. PAST PERFORMANCE

3. PRICE

C. EVALUATION APPROACH

All proposals shall be subject to evaluation by a team of Government personnel. The Government reserves the right to award without discussions based upon the initial evaluation of proposals. Proposals will be evaluated strictly in accordance with their written content. Proposals which merely restate the requirement or state that the requirement will be met, without providing supporting rationale, are not sufficient.

D. TECHNICAL EVALUATION APPROACH.

For the Technical Evaluation Factor, the evaluation process will consider the following:

a. Understanding of the Problem - The proposal will be evaluated to determine the extent to which it demonstrates a clear understanding of all features involved in solving the problems and meeting and/or exceeding the requirements presented in the solicitation and the extent to which uncertainties are identified and resolutions proposed.

b. Feasibility of Approach - The proposal will be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. The proposal will be evaluated to determine the level of confidence provided the Government with respect to the Offeror's experience, methods and approach in successfully meeting and/or exceeding the requirements in a timely manner.

The Technical Factor rating will be expressed as an adjectival assessment of Outstanding, Good, Acceptable, Susceptible to Being Made Acceptable or Unacceptable.

a. Outstanding - A proposal that meets or exceeds all of the Government’s requirements, contains extensive detail, demonstrates a thorough understanding of the problems, and is highly feasible (low risk).

b. Good - A proposal that meets or exceeds all of the Government’s requirements, contains at least adequate detail, demonstrates at least an understanding of the problems, and is at least feasible (low to moderate risk).

c. Acceptable - A proposal that at least meets all of the Government’s requirements, contains at least minimal detail, demonstrates at least a minimal understanding of the problems, and is at least minimally feasible (moderate to high risk).

d. Susceptible to Being Made Acceptable - An approach which, as initially proposed, cannot be rated Acceptable because of minor errors, omissions or deficiencies, which are capable of being corrected without a major rewrite or revision of the proposal. For award without discussions, proposals with this rating are considered “Unacceptable”.

e. Unacceptable - A proposal that contains a major error(s), omission(s) or deficiency(ies) that indicates a lack of understanding of the problems or an approach that cannot be expected to meet requirements or involves a very high risk; and none of these conditions can be corrected without a major rewrite or revision of the proposal. A proposal that fails to meet any of the Government’s requirements after the final evaluation shall be ineligible for award regardless of whether it can be corrected without a major rewrite or revision of the proposal.

E. PAST PERFORMANCE EVALUATION APPROACH.

Any and all (Prime & Subcontractor) past performance will be evaluated to determine whether each reference is relevant (based on size, scope, and complexity as compared to this requirement), recent (within the past three years), and reflects performance which is satisfactory or better. The Offeror will be evaluated to determine the extent to which their performance demonstrates the likelihood of successful performance in providing requirements similar in size, scope, and complexity to this solicitation.

In the case of an Offeror without relevant or recent past performance, as indicated on Attachment A or based on the determination of relevance by the Government, the Offeror may not be evaluated favorably or unfavorably and will be given a neutral rating.

Past Performance Factor Rating Definitions.

a. Low Risk: Little doubt exists, based on the Offeror’s past performance record, that the contractor can successfully perform requirements similar in size, scope, and complexity to this solicitation. The past performance is relevant, recent, and the CPARS/PPIRS or PPQs reflect satisfactory or better performance.

b. Moderate Risk: Some doubt exists, based on the Offeror’s past performance record, that the contractor can successfully perform requirements similar in size, scope, and complexity to this solicitation. The past performance is relevant and recent. The CPARS/PPIRS or PPQs may reflect minimally satisfactory performance.

c. High Risk: Significant doubt exists, based on the Offeror’s past performance record, that the contractor can successfully perform requirements similar in size, scope, and complexity to this solicitation. The past performance is relevant, recent, but the CPARS/PPIRS or PPQs may not reflect satisfactory performance.

d. Neutral: The Offeror has no relevant or recent past performance.

F. PRICE EVALUATION APPROACH.

Price will be evaluated but not adjectivally rated.

The Government will conduct a price analysis to evaluate price reasonableness in accordance with FAR 15.404-1(b) based on the total proposed price for all Contract Line Item Numbers (CLINs) for the base period of performance and all option periods together. Reasonableness may be determined based on pricing information submitted with the Offeror’s proposal and by comparison of 1) competitive offers received in response to the solicitation; 2) proposed prices against the Independent Government Cost Estimate (IGCE) and 3) any other price analysis technique authorized in FAR 15.404-1(b). For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business.

Specifically, the Government will use the “Total Proposed Price” for evaluation purposes. Total Proposed Price will be calculated as follows:

1. To determine “Total CLIN Price”, first the Government will determine the “Labor Category Total Price” by CLIN. This will be calculated by multiplying the proposed fully burdened labor rates by the Government provided total hours to obtain a total price for each labor category by CLIN (Rate x Hours = “Labor Category Total Price”). Then, the Government will sum all “Labor Category Total Prices” for each CLIN to arrive at the “Total CLIN Price”.

2. To obtain the “Total Proposed Price”, the Government will first sum the “Total CLIN Price” for each CLIN, with the Government provided Travel amounts, (“All CLIN Totals”) (L18 on Attachment D, Main Pricing Sheet). Next, the Government will add the Management Reserve to “All CLIN Totals” (L19 on Attachment D, Main Pricing Sheet) and after that apply the SAC SLA Fee (3%) (L20 on Attachment D, Main Pricing Sheet).

3. The “Total Proposed Price” for evaluation purposes is represented in L21 of Attachment D, Main Pricing Sheet.

*A management reserve of 10% has been added to the total estimates in each period to account for unanticipated requirements and future unknown support required to meet emerging issues and program growth.

The Government will verify the Offeror’s calculation of the total proposed price. Further, the Government may make adjustments to the evaluated price if mathematical errors are identified. The Pricing Workbook and the price proposal narrative will facilitate the price evaluation.

The Government shall evaluate the proposed pricing only for the base IDIQ contract. Pricing for the Sample Task Order will not be evaluated for contract base award purposes.

Unbalanced Pricing - The Government will evaluate whether the Offeror has submitted unbalanced pricing. An unbalanced price is one where the price of one or more contract line items is significantly overstated or understated and which will result in the Government paying an unreasonably high price for contract performance or otherwise present an unacceptable level of risk to the Government. If the Contracting Officer determines that the risk is unacceptable, then the offer can be rejected.
