C - Description/Specifications

C.1. PROJECT INFORMATION

This announcement is for the selection and award of an Architect-Engineer Multidiscipline Contract that would provide planning, design, and construction administration support for construction of the new

Smithsonian Institution’s Bezos Learning Center (BLC). The BLC will be located to the east of the

National Air and Space Museum National Mall Building (NASM-NMB) on the site of the 1988 restaurant.

C.1.1. OBJECTIVE:

The successful offeror will provide planning and design services for the Bezos Learning Center (BLC) comprising an education center, food service, astronomy park with observatory and a reconfiguration of the existing loading dock. The project includes collections handling; exhibit spaces; vertical transportation;

hazmat abatement; blast; chemical, biological and radiological (CBR) mitigation; confirmation of programming; studies; concept design; schematic design; design development; construction documents;

A/E Construction Phase Services; early construction packages and USGBC - LEED and/or SITES certification. Construction of the BLC will be delivered via Construction Manager as Constructor and procured using the successful offeror’s 35% design submission. Early packages will be part of the design submission to allow construction to proceed and complete in 2026.

C.1.2. BACKGROUND

The National Air and Space Museum, designed by Gyo Obata of Helmuth Kassabaum and Obata, is a series of alternating masses of polished natural stone and glass. Four sections are clad in Colonial Rose granite. The modern design of the museum reflects the modernity of the technology during the space race era in which it was built, while still fitting in with the national grandeur of the Mall.

Obata took care to align the structure with the existing Hirshhorn Museum and the National Gallery of

Art’s west building. The recesses of the Air and Space Museum “align with the projecting portion of the

National Gallery’s south elevation as if the buildings might fit together like two pieces of a puzzle.” The stone alternates between glass in three recessed exhibit bays; flooded with even, north-facing light, these glass areas feature heavy truss systems to support the planes suspended above. Window walls were placed at the end of each building to bring in large artifacts; the one at the west end is still active. The exhibition spaces display air and space craft suspended in air against the natural backdrop of the sky. Wing-shaped sculptural bollards provide an unobtrusive security element at the museum’s north entrance.

In 1988 the original architects designed a restaurant pavilion at the east end with a glazed space frame structure to complement the original building. The geometrically designed roof of the restaurant could be said to resemble a lunar landing vehicle.

On July 14, 2021, the SI announced that it would be receiving the largest philanthropic gift since its founding from Mr. Jeff Bezos. A portion of the gift supports exhibit construction within the NASM-NMB, and the bulk of the gift provides for the construction and operations of a “world class center for education based at NASM.” The new Bezos Learning Center (BLC) will be a pan-Institutional resource that will be overseen by the NASM Director and the Associate Director for Education and Visitor Experience. A primary focus of its programs shall reach traditionally underserved communities in Washington, DC and across the nation, both at the site of the new facility and virtually, as the Center will employ the latest technological resources and developments available for student engagement. Other ancillary programming will take place within and surrounding the facility, such as a 600- to 700-seat quick-service (fast casual) restaurant accessible from the Museum’s main level and an Astronomy Park on the East Terrace. The

333302-22RF-0010028 Page 7 of 85 permanent installation of the currently temporary Phoebe Waterman Haas Observatory will be addressed as a part of the overall BLC project efforts. In addition, the existing loading and adjacent basement spaces including those supporting food service will be re-configured to support the new missions and functions of the BLC.

C.2. DESIGN CONSIDERATIONS

The selected A/E shall provide multidisciplinary architectural and engineering services for the preparation of pre-project planning and programming documents and studies, concept design, schematic design, design development, and construction documents for the construction of the new Bezos Learning Center, A/E

Construction Phase Services, and services to achieve LEED and/or SITES certification. The multidisciplinary team shall include, at a minimum, the following disciplines and expertise:

(ii) The Contracting Officer should have known that the certified cost or pricing data in issue were defective even though the Contractor or subcontractor took no affirmative action to bring the character of the data to the attention of the

Contracting Officer.

(iii) The contract was based on an agreement about the total cost of the contract and there was no agreement about the cost of each item procured under the contract.

(iv) The Contractor or subcontractor did not submit a Certificate of Current Cost or Pricing Data.

(2)(i) Except as prohibited by subdivision (c)(2)(ii) of this clause, an offset in an amount determined appropriate by the Contracting Officer based upon the facts shall be allowed against the amount of a contract price reduction if -

(A) The Contractor certifies to the Contracting Officer that, to the best of the Contractor's knowledge and belief, the Contractor is entitled to the offset in the amount requested; and

(B) The Contractor proves that the certified cost or pricing data were available before the "as of" date specified on its Certificate of Current

Cost or Pricing Data, and that the data were not submitted before such date.

(ii) An offset shall not be allowed if -

(A) The understated data were known by the Contractor to be understated before the "as of" date specified on its Certificate of

Current Cost or Pricing Data; or

(B) The Government proves that the facts demonstrate that the contract price would not have increased in the amount to be offset even if the available data had been submitted before the "as of" date specified on its Certificate of Current Cost or Pricing Data.

(d) If any reduction in the contract price under this clause reduces the price of items for which payment was made prior to the date of the modification reflecting the price reduction, the

Contractor shall be liable to and shall pay the United States at the time such overpayment is repaid

(1) Interest compounded daily, as required by 26 U.S.C. 6622, on the amount of such overpayment to be computed from the date(s) of overpayment to the Contractor to the date the Government is repaid by the Contractor at the applicable underpayment rate effective for each quarter prescribed by the Secretary of the Treasury under 26 U.S.C.

(2) A penalty equal to the amount of the overpayment, if the Contractor or subcontractor knowingly submitted certified cost or pricing data that were incomplete, inaccurate, or noncurrent.

52.215-11 Price Reduction for Defective Certified Cost or Pricing Data - Modifications. (JUN 2020)

(a) This clause shall become operative only for any modification to this contract involving a pricing adjustment expected to exceed the threshold for submission of certified cost or pricing data in Federal Acquisition Regulation (FAR) 15.403-4(a)(1) on the date of execution of the modification, except that this clause does not apply to any modification if an exception under FAR

15.403-1(b) applies.

(b) If any price, including profit or fee, negotiated in connection with any modification under this clause, or any cost reimbursable under this contract, was increased by any significant amount because (1) the Contractor or a subcontractor furnished certified cost or pricing data that were not complete, accurate, and current as certified in its Certificate of Current Cost or Pricing Data, (2) a subcontractor or prospective subcontractor furnished the Contractor certified cost or pricing data that were not complete, accurate, and current as certified in the Contractor's Certificate of Current

Cost or Pricing Data, or (3) any of these parties furnished data of any description that were not accurate, the price or cost shall be reduced accordingly and the contract shall be modified to reflect the reduction. This right to a price reduction is limited to that resulting from defects in data relating to modifications for which this clause becomes operative under paragraph (a) of this clause.

(c) Any reduction in the contract price under paragraph (b) of this clause due to defective data from a prospective subcontractor that was not subsequently awarded the subcontract shall be limited to the amount, plus applicable overhead and profit markup, by which (1) the actual subcontract or (2) the actual cost to the Contractor, if there was no subcontract, was less than the prospective subcontract cost estimate submitted by the Contractor; provided, that the actual subcontract price was not itself affected by defective certified cost or pricing data.

(d)(1) If the Contracting Officer determines under paragraph (b) of this clause that a price or cost reduction should be made, the Contractor agrees not to raise the following matters as a defense:

(i) The Contractor or subcontractor was a sole source supplier or otherwise was in a superior bargaining position and thus the price of the contract would not have been modified even if accurate, complete, and current certified cost or pricing data had been submitted.

(iv) The Contractor or subcontractor did not submit a Certificate of Current Cost or Pricing Data.

(2)(i) Except as prohibited by subdivision (d)(2)(ii) of this clause, an offset in an amount determined appropriate by the Contracting Officer based upon the facts shall be allowed against the amount of a contract price reduction if -

(e) If any reduction in the contract price under this clause reduces the price of items for which payment was made prior to the date of the modification reflecting the price reduction, the

52.215-21 Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or

Pricing Data - Modifications. (NOV 2021)

(a) Exceptions from certified cost or pricing data. (1) In lieu of submitting certified cost or pricing data for modifications under this contract, for price adjustments expected to exceed the threshold set forth in Federal Acquisition Regulation (FAR) 15.403-4(a)(1) on the date of the agreement on price or the date of the award, whichever is later, the Contractor may submit a written request for exception by submitting the information described in paragraphs (a)(1)(i) and (ii) of this clause. If the threshold for submission of certified cost or pricing data specified in FAR 15.403-4(a)(1) is adjusted for inflation as set forth in FAR 1.109(a), then pursuant to FAR 1.109(d) the changed threshold applies throughout the remaining term of the contract, unless there is a subsequent threshold adjustment. The Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted, and whether the price is fair and reasonable-

(i) Identification of the law or regulation establishing the price offered. If the price is controlled under law by periodic rulings, reviews, or similar actions of a governmental body, attach a copy of the controlling document, unless it was previously submitted to the contracting office.

(ii) Information on modifications of contracts or subcontracts for commercial products or commercial services. (A) If -

(1) The original contract or subcontract was granted an exception from certified cost or pricing data requirements because the price agreed upon was based on adequate price competition or prices set by law or regulation, or was a contract or subcontract for the acquisition of a commercial product or commercial service; and

(2) The modification (to the contract or subcontract) is not exempted based on one of these exceptions, then the

Contractor may provide information to establish that the modification would not change the contract or subcontract from a contract or subcontract for the acquisition of a commercial product or commercial service, to a contract or subcontract for the acquisition of other than a commercial product or commercial service.

(B) For a commercial product and commercial service exception, the

Contractor shall provide, at a minimum, information on prices at which the same item or similar items have previously been sold that is adequate for evaluating the reasonableness of the price of the modification. Such information may include -

(1) For catalog items, a copy of or identification of the catalog and its date, or the appropriate pages for the offered items, or a statement that the catalog is on file in the buying office to which the proposal is being submitted. Provide a copy or describe current discount policies and price lists (published or unpublished), e.g., wholesale, original equipment manufacturer, or reseller. Also explain the basis of each offered price and its relationship to the established catalog price, including how the proposed price relates to the price of recent sales in quantities similar to the proposed quantities.

333302-22RF-0010028 Page 22 of 85

(2) For market-priced items, the source and date or period of the market quotation or other basis for market price, the base amount, and applicable discounts. In addition, describe the nature of the market.

(3) For items included on an active Federal Supply Service

Multiple Award Schedule contract, proof that an exception has been granted for the schedule item.

(2) The Contractor grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this clause, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation, access does not extend to cost or profit information or other data relevant solely to the Contractor's determination of the prices to be offered in the catalog or marketplace.

(b) Requirements for certified cost or pricing data. If the Contractor is not granted an exception from the requirement to submit certified cost or pricing data, the following applies:

(1) The Contractor shall submit certified cost or pricing data, data other than certified cost or pricing data, and supporting attachments in accordance with the instructions contained in Table 15-2 of FAR 15.408, which is incorporated by reference with the same force and effect as though it were inserted here in full text. The instructions in Table 15-2 are incorporated as a mandatory format to be used in this contract, unless the Contracting

Officer and the Contractor agree to a different format and change this clause to use

Alternate I.

(2) As soon as practicable after agreement on price, but before award (except for unpriced actions), the Contractor shall submit a Certificate of Current Cost or Pricing

Data, as prescribed by FAR 15.406-2.
