About this file
This is a Master Agreement document between Gwinnett County Public Schools (GCPS) in Georgia and a service provider for the delivery of a Comprehensive Online Marketplace Platform for the Purchase of Goods and Services. The agreement establishes the contractual framework for a cloud-based procurement platform designed to enable public agencies to efficiently procure goods and services. The initial contract term is three years from the effective date of execution, with two optional one-year renewal terms available at the sole discretion and approval of the District. The agreement is subject to Georgia Code Section 20-2-506(b) and will automatically renew at the beginning of each calendar year for the remainder of any renewal term unless the District provides written notice of termination by December 1 of the current year.
The Master Agreement establishes that the Board of Education of Gwinnett County has set a not-to-exceed amount for the contract, which may be awarded to multiple vendors, with the combined spend across all awarded vendors not to exceed the annual spend authorization established by the Board. Authorization for specific goods or services under individual vendor awards remains at the sole discretion of the District. The agreement incorporates by reference multiple documents including the solicitation request, the service provider's proposal response, proposal clarification questions, and the notice of award, with the Master Agreement taking precedence in cases of conflict. The contract is governed by Georgia law and shall be performed in the State of Georgia, with disputes to be resolved in Gwinnett County state courts or federal court for the Northern District of Georgia, Atlanta Division. The District retains the right to publish and advertise this agreement's availability for cooperative purchase agreements through national cooperative purchasing agencies, subject to prior written permission from the District.
