1Prices shall remain firm and fixed for the first twenty-four (24) months of the Contract. No price adjustment shall be permitted during the initial twenty-four (24) month period unless required by law or expressly approved by the State in writing.
2After the initial twenty-four (24) month period, and only if the Contract is extended or otherwise remains in effect, the Contractor may submit a written request for a price adjustment during each twelve (12) month Contract period. Any request must be submitted thirty (30) calendar days before the applicable Contract anniversary date.
3Any approved adjustment shall be limited to the lesser of:
(a) the percentage change in the applicable index for the preceding twelve (12) month period;
(b) the Contractor’s documented manufacturer, supplier, or market increase directly affecting the applicable line item; or
(c) three percent (3%) annually.
4OEM and aftermarket replacement parts shall remain fixed for the Contract Term; actual parts cost may vary based on verifiable invoice cost.
5The State may approve, deny, or partially approve any price adjustment request in its sole discretion. The State may also require a price decrease if the applicable index decreases. Approved price adjustments shall apply only to future purchase orders issued after written approval by the State and shall not be retroactive.
6A Contract extension shall not automatically entitle the Contractor to a price adjustment. Any price adjustment requested in connection with a Contract extension must be submitted in accordance with this section and must include the required index, manufacturer, supplier, and cost documentation. If no price adjustment is approved in writing by the State, the then-current Contract pricing shall remain in effect during the extension period.
