Section 00 00 00 - Procurement and Contracting Requirements

GENERAL CONDITIONS

GENERAL CONDITIONS

1. GENERAL INTENT

The Government intends to evaluate offers and award a contract without discussions (except clarifications, as described in FAR 15.306(a)). Therefore, your initial offer should contain your best terms from a price and technical standpoint. The Government reserves the right to conduct discussions in the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition, among the most highly rated proposals. Information regarding the source selection process, content of proposals, evaluation of proposals, and best value source selection evaluation criteria to be used is located in Section 00 21 16 Instructions to Proposers.

2. BASIS FOR AWARD

The Government intends to evaluate proposals and award a contract without discussions with Offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In addition, if the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

The Lowest Price Technically Acceptable process is appropriate for this acquisition. The best value is expected to result from selection of the technically acceptable proposal with the lowest evaluated price. Proposals will be evaluated in the following order:

a. Evaluated for completeness, per responsiveness to the RFP;

b. Ranked in price order (coefficient totals), from lowest to highest;

c. Evaluated against the criteria, starting with the lowest priced proposal;

d. This process will be repeated until the first Technically Acceptable proposal is reached. That

Offer will be selected for award;

e. No other Offers will be evaluated after identification of the Lowest Priced Technically

Acceptable Offer.

An overall non-price factors/subfactors rating must be at least “ACCEPTABLE” in order to be eligible for award.

An “UNACCEPTABLE” rating in any factor/subfactor results in the overall non-price factors proposal being rated “UNACCEPTABLE” unless corrected through discussions. An overall non-price factors rating of “UNACCEPTABLE” makes a proposal ineligible for award.

The Government reserves the right to eliminate from consideration for award any or all offers at any time prior to award of the contract; to negotiate with Offerors in the competitive range; and to award the contract to the Offeror submitting the lowest priced, technically acceptable offer.

3. CONTRACT TYPE

This is a Firm Fixed Price Indefinite Delivery/Indefinite Quantity (IDIQ) Job Order Contract (JOC), in accordance with FAR 52.216-1. The period of performance will be for a 1-year Base period and four (4) 1-year Option periods.

4. SET ASIDE DETERMINATION

In accordance with FAR Subpart 19.8, it has been determined that competition for this procurement will be limited to SBA-certified 8(a) Disadvantaged Small Business (DSB) Program participants, with the assigned NAICS - 236220, Commercial and Institutional Building Construction; that has a size standard of $39.5 million. STATEMENT OF WORK

STATEMENT OF WORK

Naval Research & Development Establishment (NRDE) Support Office Job Order Contract (JOC) for Locations:

Naval Air Station (NAS) Patuxent River, Naval Support Facility (NSF) Dahlgren & NSF Indian Head

1. Purpose: The purpose of this General Construction JOC (as defined under NAICS Code 236220) is to provide commercial, industrial and institutional construction services with minimal design information (i.e. work plans) for new construction, repairs, rehabilitation, renovation and alterations for a broad range of facilities. This JOC is intended to provide rapid response for NRDE supported commands at specific installations within the National Capital Region, in a cost effective manner. Each Task Order (TO) issued under this contract will have specific information such as guide specifications, criteria, and scope. Design-Build is not allowed on this contract. TO’s for design only shall not be placed against the contract. However, minimal design services (i.e. work plans, shop drawings) related to construction may be required. Firm-fixed-price TO’s for construction will be placed against the contract. Work locations include:

• NAS Patuxent River

• NSF Dahlgren

• NSF Indian Head

• NSA U.S. Naval Academy

This contract will be used as one of many tools for a contracting method available to the Government for the types of construction services as referenced above that may be required by the agency. All TO’s issued under this contract will be reviewed and deemed appropriate for this acquisition method.

2. Description: The Contractor shall provide, upon receipt of a TO, all labor, materials, supplies, parts (to include system components), plant, supervision, tools, transportation, equipment, and related services, (except when specified as Government furnished), for projects including, but not limited to, commercial, industrial and institutional construction services for new construction, repairs, rehabilitation, renovation and alterations for a broad range of facilities. Work shall be performed in strict accordance with all terms, conditions, special contract requirements, specifications, drawings, attachments, and exhibits contained in the Request for Proposal (RFP) for the TO or incorporated by reference.

Work and responsibility shall include all TO planning, scoping meetings, programming, administration, and management necessary to provide support for TO(s) awarded. Conduct the work in strict accordance with the basic contract and all applicable Federal, State, and local laws, regulations, codes, or directives. Provide related services such as preparing and submitting required reports, perform administrative work, and submit necessary information as specified under this contract and within each TO. Ensure that all work provided meets the scope of work for each TO and any special specifications included with the individual TO or included in any applicable documents.

The Government will provide the scope of work, detailing the work to be accomplished. Depending on the complexity of the project, the detail provided may vary from a general idea of what is required, with no drawings, to complete design documents. The Contractor shall use the information provided by the Government and submit a complete proposal. The contractor is responsible for verification of all existing conditions. The Contractor shall not rely on information provided by the Government, such as drawings, work plans, for dimensions or existing conditions. The Contractor is responsible for taking measurements as needed to submit proposals and complete project scope. For TO’s where the Government provides no drawings, the Contractor shall provide a work plan description in their proposal to clearly show an understanding of what work is to be included in the contract.

Complete all work and services under this contract in accordance with schedules established in each TO. Submittal dates will be included in the TO. These dates identify when submittals are due in the issuing office and other addresses identified in the TO. Types and numbers of submittals and dates and places for review meetings shall be established by each TO.

3. Definitions: The following terms apply to this contract (the list is not all inclusive):

Abbreviations, Plural Words – Abbreviations, where not defined in Contract Documents, will be interpreted to mean the normal construction industry terminology, determined by recognized grammatical rules, by the Contracting Officer Representative or Contracting Officer. Plural words will be interpreted as singular and singular words will be interpreted as plural where applicable for context of contract documents.

• Contracting Officer (KO) - The official given authority to bind the Government to contracts. They have authority to enter into, administer, or terminate contracts and make related determinations and findings.

• Contracting Officer’s Representative (COR) - For the purposes of this contract, the Contracting Officer’s Representative is anyone with authority delegated by the Contracting Officer to manage day-to-day contract operations and inspect Contractor work, and who represents the Government.

• Contractor - A corporation, partnership, joint-venture, business association, firm, individual or association that has entered into a contract with United States for the purpose of providing supplies, materials, equipment, or services. The Contractor provides similar supplies and services contemporaneously to the general public under terms and conditions similar to those offered to the Government. Herein, the term Contractor is used to describe the successful offeror, awarded the JOC contract described by this document.

• Construction - The action taken to accomplish construction; i.e., repair, renovation, minor new construction.

• Directed, Requested, Approved, Accepted, etc. - These terms imply "by the Contracting Officer", unless otherwise indicated. Approved by COR or Contracting Officer in no way releases the Contractor from responsibility to fulfill requirements of the Contract Documents.

• Furnish - Supply and deliver to project site, ready for unloading, unpacking, assembly, installation, and similar subsequent requirements.

• Incidental (work, waste, etc.) - Items that are minor in nature, necessary to perform the work as described, but not of such magnitude as to require a line item in a cost proposal. Examples include: preparation necessary to perform the work as described but that is not typically accounted for by a line item cost, waste of 15% or less on installed materials, small amounts of fasteners and fittings that are not typically tracked individually, hand tools that are not exhausted in a single use, pick up or delivery of incidental items, etc.

• Independent Review - The Government may, at its expense, obtain an independent review of the Contractor’s work. The independent reviewer shall be a person or business qualified to perform the work the Contractor is performing. The person designated to conduct the independent review should not have had previous personal involvement in the project. The Government may have the TO reviewed by the local jurisdiction, an Engineering firm not involved in the contract, or by others.

• Independent Testing Laboratory - An independent (from the Contractor) entity engaged to provide inspections, tests, interpretations, reports and similar services.

• Indicated - Shown on drawings by notes, graphics or schedules, or written into their portions of Contract Documents. Terms such as "shown", "noted", "scheduled", and specified" have the same meaning as "indicated", and are used to assist the reader in locating particular information.

• Install - Operations at project site, including unloading, unpacking, assembly, erection, placing, anchoring, applying, working to dimension, finishing, curing, and protecting, cleaning, and similar requirements.

• Installer - Entity (firm or person) engaged to install work, by Contractor, Sub-Contractor or Sub-Sub- Contractor. Installers are required to be skilled experts in work they are engaged to install.

• Minimum Requirements - Indicated requirements are for a specific minimum acceptable level of quality/quantity, as recognized in the industry. Actual work must comply (within specified tolerances), or may exceed minimums within reasonable limits. Refer uncertainties to the KO or COR before proceeding.

• Overlapping/Conflicting Requirements - Where compliance with two or more standards that establish different or conflicting requirements for minimum quantities or quality levels is specified, the most stringent requirement written directly into the Contract Documents is intended and will be enforced (generally), unless specifically detailed language written into the Contract Documents clearly indicates that a less stringent requirement is acceptable. Refer uncertainties to the KO or COR for a decision before proceeding.

• Project Site or Site - Location for performance of the work for a specific TO.

• Provide - Furnish and install, complete and ready for intended use.

• Site Survey - An inspection of a facility required to accomplish a design/build construction action and normally part of the work plan.

• Task Order (TO) - An individual requisition for construction services ordered against this contract, as described within the scope of work, specifications, drawings, sketches or other TO documentation issued with the request for proposal for the TO. Each TO is solicited, proposed, negotiated, and awarded individually.

• Transportation - Movement, typically by motor vehicle, of personnel, material or equipment to, from or within the job site, necessary to assemble the work, receive materials/equipment on the site, or provide labor for the work. Does not include pulling waste dumpsters, which is included in the TO line item for trash disposal.

Does not include transportation associated with mobilization/demobilization, such as moving large equipment (e.g., for earthmoving), trailers, etc. Does not include cranes, concrete pump trucks, or other means of moving materials on site that are typically charged for separately, as dictated by industry standard.

• Work Plan (Minimum Design) - A detailed package consisting of diagrams, manufacturers’ data/cut sheets, specifications, estimates, shop drawings, etc., suitable to provide details to repair or construct a facility.

4. Overall Responsibility: The Contractor shall be responsible for all site surveys, calculations, work plans, construction actions, equipment startups, and testing, repair, and/or training required for satisfactory completion of the work as required by each individual TO. This shall include, but not be limited to, providing labor, equipment, materials, applicable engineering documentation, and other necessary services and/or products for the construction, implementation, or testing that may be required by the individual TO. The contractor is responsible for verification and documentation of existing conditions and dimensions. The contractor is responsible for verification of all drawings/work plans provided by the Government. The Contractor will provide all grounds maintenance in the space provided for the project site, project storage, and Contractor’s office facilities.

5. Project Manager (PM): The Contractor shall provide a responsible PM to represent all matters pertaining to work under this contract. The PM shall have the responsibility of overall supervisor, estimator and be responsible for management of all the ongoing, completed and proposed projects. The PM shall provide a regular status report of all awarded projects no less than monthly to the KO. At a minimum, the report shall indicate TO title, value, location, milestones, and names of individuals assigned to Superintendent, Site Safety and Health Officer, and Quality Control Manager. The report will be used to evaluate the need for supervision of individual TO at the time of negotiation. The PM shall be available in person, by telephone, or radio to respond to any and all problems during normal working hours. The Contractor shall provide a detailed resume of the proposed PM for review and approval by the KO. If during the life of this contract, the Contractor changes or replaces the PM, approval by the KO is required. The cost of project management is included in the Contractor’s coefficient and will not be compensated separately unless directed by the KO.

6. Superintendent: Unless specified otherwise in the individual TOs, the Contractor shall provide supervision in accordance with FAR Clause 52.236-6 Superintendence by the Contractor (APR 1984). A Superintendent is the Contractor’s representative at the site who is responsible for continuous field supervision, coordination, completion of work and, unless another person is designated, for prevention of accidents. The Superintendent needs at least five

(5) years of construction superintendent experience. The Superintendent shall be able to converse in and understand the English language. If any TO involves non-English speaking workers, the Contractor shall provide the ability to translate instructions to the entire work force. The Contractor shall provide to the KO for approval the names and qualifications of the proposed responsible Superintendent(s) authorized to act for the Contractor. The Superintendent(s) shall be authorized by the Contractor to maintain sufficient civilian personnel to accomplish all phases of the work in a satisfactory and acceptable manner and to discharge for cause unsatisfactory employees. It shall be the responsibility of the Contractor to provide a responsible official of the company to represent him in all matters pertaining to work under this contract. He/she shall be available, in person, by telephone, to respond to any and all problems to the Contracting Officer at all times when work is being performed. The Superintendent is included in the Contractor’s coefficient and will not be compensated separately unless directed by the KO.

*Consult with the local construction office to determine the ability for the Superintendent to perform multiple roles on the specific TO based on the hazards of the project, job complexity, size, and any other pertinent factors.

7. Site Safety and Health Officer (SSHO): Provide an SSHO that meets the requirements of EM 385-1-1 Section

1. The SSHO must ensure that the requirements of 29 CFR 1926.16 are met for the project. Provide a Safety oversight team that includes a minimum of one person at each project site to function as the SSHO. The SSHO or an equally-qualified Alternate SSHO must be at the work site at all times to implement and administer the Contractor’s safety program and Government-accepted Accident Prevention Plan. The SSHO and Alternate SSHO must have the required training, experience, and qualifications in accordance with EM 385-1-1 Section 01.A.17, and all associated sub-paragraphs. If the SSHO is off-site for a period longer than 24 hours, an equally-qualified alternate SSHO must be provided and must fulfill the same roles and responsibilities as the primary SSHO. When the SSHO is temporarily (up to 24 hours) off-site, a Designated Representative (DR), as identified in the Activity Hazard

Analysis (AHA) may be used in lieu of an Alternate SSHO, and must be on the project site at all times when work is being performed. Note that the DR is a collateral duty safety position, with safety duties in addition to their full time occupation. The Contractor shall provide a detailed resume of the proposed SSHO for review and approval by the KO. The SSHO should hold certificates for OSHA 30, EM 385-1-1 Construction Safety Hazard Awareness for Contractors and current 1st Aid/CPR/AED training. SSHO should have at least 3 years’ experience in a site safety role. If during the life of this contract, the Contractor changes or replaces the SSHO, approval by the KO is required.

The SSHO is included in the Contractor’s coefficient and will not be compensated separately unless directed by the KO.

*Consult with the local construction office to determine the ability for the SSHO to perform multiple roles on the specific TO based on the hazards of the project, job complexity, size, and any other pertinent factors.

8. Quality Control Manager (QCM): The Contractor shall provide a competent QCM at the work site to implement and manage the QC program. The QCM is the manager of all QC activities. The QCM needs at least five

(5) years of construction experience. The QCM will need to complete the Construction Quality Management for Contractors Class (CQM-C). This course must be taken and the final test must be passed by any person aspiring to be the QCM or alternate. The QCM is included in the Contractor’s coefficient and will not be compensated separately unless directed by the KO.

*Consult with the local construction office to determine the ability for the assigned QCM to perform multiple roles on the specific TO based on the hazards of the project, job complexity, size, and any other pertinent factors.

9. Minimum Supervision / Additional Oversight Directed by the Government: The Government recognizes that in order for the Contractor to most efficiently manage TOs, the Contractor will typically request to provide the minimum amount of supervision required. Depending on the complexity/location/value/volume of the TO(s), and/or the existing workload of the Contractor’s staff, the Government will decide at the time of TO negotiations on the appropriate supervision for a specific TO. The Government may allow for a single individual to perform multiple roles (Superintendent, SSHO, QC) on multiple TO’s at multiple sites. A single individual will not be allowed to perform an unreasonable number of roles at multiple sites and/or for multiple TOs. Alternatively, the Government may require additional oversight (distinct individuals performing distinct roles) on a specific TO. The costs for SSHO, QCM, and Superintendent shall be included in the Contractor’s proposal and negotiated for each

TO.

10. Specifications, Codes and Standards: The current DOD Unified Facilities Guide Specifications (UFGS) consisting of Divisions 01 through 48 of specifications in the Construction Specifications Institute’s (CSI) Master format are incorporated by reference into this solicitation. References in this section are for Contractor informational purposes only. Specifications will be agreed upon at the task order level.
