1.2 Introduction
1.2.1 Scope of Services .
PURPOSE OF SOLICITATION: The Oregon Department of Forestry ("ODF") is seeking Proposals to provide Project Work Services through Work Order Contracts (“WOC”) issued under a Service Agreement (“SA”). ODF is seeking to establish a pool of Contractors to furnish all equipment and labor to perform Project Work (including but not limited to road construction or improvement, road brushing, road maintenance, rock quarry development, stream enhancement, site preparation, soil stabilization, water runoff control measures, rock crushing, rock stockpiling, and road vacating, etc.) as detailed in this RFP. The geographic scope of this SA is the Clatsop State Forest and Tillamook State Forest managed by the Astoria, Forest Grove, and Tillamook Districts.
ODF expects that this RFP will result in the award of Project Work Service Agreements to a pool of Contractors. The initial contract term shall be for three (3) years. The Service Agreements are anticipated to start December 30, 2026, and end on December 30, 2029. This SA may be renewed annually, upon mutual agreement of the parties through written amendment, for three (3) additional one
(1) year terms based on the current terms and conditions provided that the total contract term does not extend beyond December 30, 2032, or as otherwise allowed by law.
During the initial three-year Contract period, ODF expects to award one to several WOCs per year under the SA. WOCs will include all the project work that is normally associated with a timber sale contract.
These WOCs may include road construction or improvement, road brushing, road maintenance, rock quarry development, stream enhancement, site preparation, soil stabilization, water runoff control measures, rock crushing, rock stockpiling, and road vacating.
1.2.2 Quantity of SAs Awarded.
It is anticipated that approximately twenty-five (25) Proposer(s) will be selected for SA award from this solicitation. Agency, in its sole discretion, may select more or fewer Proposers based on the Proposals submitted and the results of the evaluation. ODF may use a Competitive Range process, as described in OAR 137-047-0261, to determine the number of Service Agreements that are awarded as a result of this solicitation.
1.2.3 Offer Period.
A Proposer's Proposal is a firm offer, irrevocable, valid and binding on the Proposer for not less than one hundred and twenty (120) calendar days following the Closing Date for this RFP. Agency may request, orally or in writing that Proposer extend, in writing, the offer period.
1.2.4 WOC Assignments.
Specific projects will be assigned as needed by Agency via WOCs. The WOC Assignment process is described in Exhibit E of the sample SA (RFP Attachment A). There is no guarantee that any specific amount of Services will be assigned or overall dollar amounts will be expended through the duration of the SA. Any WOC assignments must be within the scope of the Services described in this RFP. Assigned WOCs will identify a schedule for delivery, costs, and include or incorporate by reference a Statement of Work with clearly defined tasks and deliverables.
RFP S-62900-00018313 Page 5 of 28
Agency may conduct a separate solicitation for any project and may make assignments to firms under other contracts or SAs.
1.2.5 SA Duration.
SAs are anticipated to be effective by December 30, 2026. The initial contract term shall be for three (3) years. This SA may be renewed annually, upon mutual agreement of the parties through written amendment, for three (3) additional one (1) year terms based on the current terms and conditions provided that the total contract term does not extend beyond December 30, 2032, or as otherwise allowed by law.
1.2.6 WOC Assignment Period.
WOCs may be assigned for an initial period of three (3) years from the execution date of the SA. The WOC assignment period may be extended for three (3) additional one (1) year periods based on Agency’s need, availability of funding, and contractor’s performance. Any WOCs assigned may be amended (including before and after expiration of the WOC assignment period), within the scope of the assigned project, as reasonably necessary to complete the needed Services or subsequent phases of phased-development projects. A WOC is considered assigned when Agency has issued notice of WOC assignment to the selected firm. All WOC assignments are tentative until negotiations are successfully completed, all required signatures have been obtained on the WOC, and ODF has issued a notice to proceed to Contractor.

Copies of public information may be requested by any person. If a Proposal contains any information that is considered by the Proposer to be trade secret under ORS 192.345(2), or to be otherwise exempt from disclosure under the Oregon Public Records Law, ORS 192.311 through 192.498, each sheet of such information shall be marked by the Proposer with the following legend:
"This data is exempt from disclosure under ORS 192, and shall not be disclosed except in accordance with the Oregon Public Records Law, ORS 192.311 through 192.498."

Proposers are cautioned that price information submitted in response to an RFP is generally not considered a trade secret under the Oregon Public Records Law.
Agency shall take reasonable measures to hold in confidence all such labeled information, but the State shall not be liable for release of any information when required by law or court order to do so, whether pursuant to the Oregon Public Records Law or otherwise and shall also be immune from liability for disclosure or release of information under the circumstances set out in ORS 646.473(3).

h) To extend any SAs that result from the RFP without an additional RFP process for up to an additional two (2) years, pursuant to OAR 137-047-0805.
The intent of the RFP is to identify a Proposal from a Proposer that has a level of specialized skill, knowledge and resources to perform the work described in the RFP. Qualifications, performance history, expertise, knowledge and the ability to exercise sound professional judgment are primary considerations in the selection process. Agency reserves the sole right to determine the best Proposal.

Agency shall conduct an evaluation of the Proposals received in response to the RFP.
The stages of review and evaluation are as follows:

RFP S-62900-00018313 Page 12 of 28

4.2 Negotiations.
ODF may negotiate the following items with all eligible Proposers:
a) The statement of work; and
b) Any other terms and conditions determined by ODF in its sole discretion to be reasonably related to those expressly authorized for negotiation. Accordingly, Proposers will not submit and ODF will not accept for negotiation, any alternative terms and conditions that are not reasonably related to those expressly authorized for negotiation.
4.3 Evaluation Criteria.
Points will be given in each criteria and a total score will be determined. The maximum points available for each criteria are identified below.
Evaluation Criteria:
Evaluation Criteria Points Financial Information 100 Equipment Available 100 Work Experience 200 Safety and Regulatory Compliance 100 Response Time 100 Ability to perform multiple WOCs 50 Organizational Structure (attached to worksheet) 50

ODF further reserves the right to consider past performance, historical information and facts, whether gained from the Proposal, Proposer interviews, references, ODF or any other source in the evaluation process. ODF may postpone the award or execution of the Contract after the announcement of the notice of intent to award in order to complete its investigation.

Agency intends to respond in writing to properly-filed intent-to-award protests submitted by Proposers claiming to be adversely affected or aggrieved. Any response provided by Agency, however, is not intended to, and may not in and of itself constitute, confirmation that the Proposer is in fact adversely affected or aggrieved and therefore entitled to protest an intent to award.
4.5.7 Insurance Certification.
The apparent successful Proposers shall provide all required proofs of insurance to Agency within seven
(7) calendar days from when it is notified that ODF desires to enter into a Work Order Contract (WOC).
