1. PROJECT INTRODUCTION AND OVERVIEW

1.1 PURPOSE OF REQUEST FOR PROPOSAL

The purpose of this Request for Proposal (RFP) is to solicit proposals, through a competitive process, for the procurement of ultra-low ash natural gas engine oil.

Following receipt of proposals, Eastern Municipal Water District (EMWD) may, at its discretion, elect to shortlist to a select few to participate in the interview stage of the selection process. It is the intent of EMWD to receive responses to the RFP and, if appropriate, conduct individual interviews in order to select a Company which, in the opinion of EMWD, is the best suited to perform the work. The purpose of this RFP, therefore, is to provide EMWD with the information necessary in order to select the most advantageous Proposer.

The terms and conditions contained herein constitute the full and complete understanding of the parties. However, should your firm request additional contractual terms and conditions for consideration, such requests must be clearly identified on the Additions, Deletions and/or Exceptions Exhibit and submitted at the time of proposal submission. No additional terms and conditions will be accepted following receipt of proposals, and EMWD will consider such additional contractual terms and conditions as part of its evaluation process.

1.2 GENERAL OVERVIEW – EMWD

As a member of the Metropolitan Water District of Southern California (Metropolitan), Eastern Municipal Water District (EMWD) was organized under the Municipal Water District Act of 1911 for the primary purpose of importing Colorado River water to augment local water supplies. Over the past 75 years, EMWD has grown substantially and, today, provides water, wastewater, and recycled water service to a population of approximately 1 million people within a 601 square mile service area. The District is governed by a publicly elected Board of five Directors who are elected for four-year terms serving comparably sized districts based on population.

Retail customers of EMWD are located within the cities of Canyon Lake, Hemet, San Jacinto, Menifee, Moreno Valley, Murrieta, Perris, Fallbrook, and Temecula, as well as the unincorporated communities of French Valley, Good Hope, Homeland, Lakeview, Mead Valley, Murrieta Hot Springs, Nuevo, Romoland, Valle Vista, and Winchester. The District also supplies water on a wholesale basis to the Cities of Hemet and San Jacinto; the Lake Hemet Municipal Water District; Fallbrook Public Utility District; Rainbow Municipal Water District, Nuevo Water Company; and Rancho California Water District. The District operates

RFP #3835 5

2. SCOPE OF WORK

2.1 BACKGROUND

EMWD is soliciting proposals for the supply and delivery of an ultra-low ash, natural gas engine oil (NGEO) to be used in approximately fifty-four (54) stationary industrial high-speed 4-cycle engines manufactured by Caterpillar and Waukesha. These engines primarily operate on pipeline-quality natural gas, with one unit operating on digester gas. All natural gas-fueled engines are equipped with Non-Selective Catalytic Reduction (NSCR) systems, including Miratech and Bact-Aid catalytic converters. Approximate annual usage is 10,000 gallons.

Historically, EMWD utilized ashless engine oil, which contributed to premature catalytic converter failures and non-compliance with the South Coast Air Quality Management District (SCAQMD) Rule 1110.2. Through operational field testing, maintenance records, and experience, EMWD has determined that the use of ultra-low ash NGEOs that balance engine protection with catalyst preservation is essential for long-term compliance and reliability.

Accordingly, all proposed NGEO products must meet the following chemical and performance specifications:

2.2 PRODUCT REQUIREMENTS

Proposed product shall mee the following requirements:

Specification Required Value Sulfated Ash 0.05% – 0.1% by weight Phosphorus Content 370 ppm ± 10 ppm Zinc Content 400 ppm ± 10 ppm Viscosity Grade SAE 40 Base Oil Type Formulated specifically for natural gas engines

In addition, the product must meet the following performance and compatibility criteria:

I. Designed for use in high-speed, 4-cycle stationary engines operating on pipeline or digester gas.

II. Demonstrated compatibility with NSCR catalysts, including Miratech and Bact-Aid catalytic converters.

o A statement or certification from the manufacturer verifying the product’s suitability for engines equipped with NSCR catalytic systems and compliance with SCAQMD Rule 1110.2.

o Documentation of OEM engine approvals or successful field use in comparable applications.

III. Proven field performance or OEM approvals supporting use in Caterpillar and Waukesha engines.

IV. Must aid in maintaining compliance with SCAQMD Rule 1110.2 emission requirements.

RFP #3835 6

I. All discharge connections and hose ends shall be plugged, capped, blind flanged, or otherwise contained to prevent any spillage of oil.

II. In the event of any spillage, the supplier shall immediately notify EMWD’S Safety, Risk, and Emergency Management Department, the Mechanical Services designee, or EMWD’s IOC department at 951-928-3777 ext. 6265

III. The supplier shall be fully responsible for all cost associated with the cleanup and removal of any spilled product and contaminated materials, including any fines or regulatory imposed costs related to the spillage. The supplier shall also restore EMWD’s site to its original condition at its sole cost.

E. Vehicle and Equipment Inspection: All delivery vehicles and equipment shall be regularly inspected and maintained in accordance with DOT and OSHA standards.

Be advised that all information contained in proposals submitted in response to this solicitation is subject to the California Public Records Act (Government Code Sections 6250 et seq.), and the information’s use and disclosure are governed by this Act. In the event of litigation concerning the disclosure of information Proposer considers exempt (e.g., Trade Secret, Confidential, or Proprietary) EMWD shall act as a stakeholder only, holding the information until otherwise ordered by a court or other legal process. If EMWD is named in an action arising out of a California Public Records Act request for any information Proposer deems confidential, proprietary, or trade secret, Proposer shall defend at its own expense and indemnify EMWD, its officers, employees, and agents from any and all liability, claims, losses, damages, costs, and expenses, including attorney’s fees, in any such action or proceeding arising under the California Public Records Act
